STAR DIAMOND CORPORATION ANNOUNCES FIRST QUARTER 2025 RESULTS

SASKATOON, SK, May 13, 2025 /CNW/ - Star Diamond Corporation ("Star Diamond" or the "Company") reports that unaudited financial results for the quarter ended March 31, 2025, will be filed today on SEDAR+ and may be viewed at www.sedarplus.ca once posted. (In thousands of Canadian dollars, except common share or per share amounts or as otherwise noted).
OverviewStar Diamond is a Canadian natural resource company focused on exploring and evaluating Saskatchewan's diamond resources. Star Diamond holds a 100% interest in the Fort à la Corne Project, (FALC Project, which includes the Star – Orion South Diamond Project, or the "Project"). These properties are in central Saskatchewan, near established infrastructure, including paved highways and the electrical power grid, which provide significant advantages for future possible mine development.
The Company also holds a 100% interest in the exploration and evaluation properties and assets of the Buffalo Hills Diamond Project (the "BH Project") located approximately 400 kilometres northwest of Edmonton, Alberta, Canada (see "Corporate Developments").
Fort à la Corne mineral propertiesThe Company currently holds a 100% interest in certain Fort à la Corne ("FALC") kimberlites (see March 26, 2024, news release: Star Diamond Corporation completes acquisition of Rio Tinto's 75% interest in Fort à la Corne Joint Venture) including the Star and Orion South Kimberlites. The FALC mineral properties are located in the Fort à la Corne Provincial Forest, 60 km east of Prince Albert, Saskatchewan. Highway 55, located to the north of the Project, connects Prince Albert with several towns located directly north of FALC to the town of Nipawin, east of FALC. Highway 6 runs north south and is located to the east of FALC.
Recent activities relating to the Star - Orion South Diamond Project and Fort à la Corne mineral propertiesThe Revised Mineral Resources estimate (see July 24, 2024 news release: Star – Orion South Diamond Project Revised Mineral Resources Estimate) will now be incorporated into a re-optimized open pit mine plan for the Project, which will include a re-evaluation of Mineral Reserves and an economic assessment based thereon. It is anticipated that this work will be completed during 2025-26 and will result in an updated Pre-feasibility Study including a revised statement of Mineral Reserves for the Project, if warranted, and an economic assessment based thereon.
Effective January 1, 2025, the Company has outsourced the Chief Financial Officer ("CFO") to Mr. Carmelo Marrelli, replacing Mr. Rick Johnson.
In January 2025, the Company disposed of its remaining share position in Wescan Goldfields Inc. ("Wescan") for gross proceeds of $114.
On February 18, 2025 and February 27, 2025, Star Diamond closed a non-brokered private placement (the "Offering") of convertible debentures (the "Debentures") to raise aggregate gross proceeds of $335 and $230, respectively, which resulted in total gross proceeds of $565. The Debentures bear simple interest at a rate of 8% per annum and are convertible into common shares of the Company in certain circumstances, including upon a qualified offering to raise aggregate gross proceeds in excess of $2,000. Pursuant to the closing of both tranches of the Offering, the Company issued an aggregate combined total of 28,250,000 share purchase warrants ("Warrants"), being one Warrant for each $0.02 principal amount of Debentures purchased. Each Warrant is exercisable to acquire one common share of the Company at an exercise price of $0.06 for a period of 2 years from the closing. In connection with the Offering, Mr. Mason, CEO of the Company, purchased Debentures in the aggregate principal amount of $25. Ms. Lisa Riley, director of the Company, has purchased Debentures in the aggregate principal amount of $20.
On February 27, 2025, the Company announced the resignation of George Read as Senior Vice President Corporate Development effective February 28, 2025) and his appointment as a Senior Technical Advisor.
Buffalo Hills mineral propertiesThe Company holds a 100% interest in the exploration and evaluation properties and assets of the Buffalo Hills (BH) Project. Located approximately 400 kilometres northwest of Edmonton, Alberta, Canada, the BH Project includes 21 mineral leases covering 4,800 hectares and is a significant and accessible field of diamond-bearing kimberlites, with similarities to the Company's Fort á la Corne kimberlites. The BH Project is located in the Buffalo Hills Kimberlite District, which contains at least 38 individual kimberlite bodies, of which 26 kimberlites are diamond-bearing and a number of which outcrop at surface. Exploration on these kimberlites started in 1996, and small parcels of diamonds have been collected from various exploration programs on many of those considered most prospective.
Quarter End ResultsFor the three months ended March 31, 2025, the Company recorded a net loss of $966 or $0.00 per share (2024 – net loss of $886 or $0.00 per share). The increase in net loss was primarily due to the following:
Exploration and evaluation expenditures increased to $467 in 2025 (2024 - $289). Exploration and evaluation expenditures incurred during 2025 were primarily due to security and maintenance, continued diamond analyses, and test work for the FALC Project. due to increased depreciation of property, plant and equipment. In 2025, exploration and evaluation expenditures also included $225 of depreciation of property, plant and equipment (2024 - $1).
Unwinding of discount of environmental rehabilitation provision increased to $66 in 2025 (2024 - $nil).
Corporate development decreased to $13 in 2025 (2024 - $138) due to reduced marketing and publications issued in 2025.
On March 31, 2025, the Company had $321 (December 31, 2024 - $164) in cash and cash equivalents and a working capital deficit (excess of current liabilities over current assets) of $1,002 (2024 – working capital deficit of $1,017). The decrease in working capital deficit was a result of proceeds received from convertible debentures and sale of shares in Wescan Goldfields Inc., offset by net cash used in operating activities. In 2025, the Company initiated the following cost reductions:
We have moved our head office to a smaller area in the same building resulting in a 70% drop in our office lease payments;
All marketing and consulting contracts have been paused;
The Board agreed to forgo cash compensation until such time as the Company is on better financial footing; and
Certain management/employee functions will be reduced or eliminated.
A budget has been prepared for the completion of the PFS of $3,000 which is subject to the completion of a financing.
However, the ability of the Company to continue as a going concern and fund its expenses in an orderly manner will require additional forms of financing. There can be no assurance that the Company will succeed in obtaining additional financing, now or in the future. Failure to raise additional financing on a timely basis could cause the Company to suspend its operations and planned activities.

OutlookFort à la Corne mineral propertiesStar Diamond's technical team will focus on the technical investigation and evaluation of the Star – Orion South Diamond Project, with the goal of a future development decision. The initial work was completed in 2024 with a revised Mineral Resource estimate for the Star – Orion South Diamond Project, which will form the foundation of an updated Prefeasibility Study ("PFS"). The PFS will enable a Feasibility Study, on which a production decision can be based.
Buffalo Hills mineral propertiesManagement continues to review the recent results from the diamond valuation and typing analysis with a view to possible work programs and a potential path forward for the asset. A more detailed update on activities at Buffalo Hills will be provided as it becomes available.

U.S. envoy closely eyes Canada defence spending; says NATO about collective defence
OTTAWA - The American ambassador to Canada is closely watching as Ottawa shapes its defence budget, but says the U.S. will not dictate what the Canadian government must spend. 'We're not expecting anything; that's not our job to make those expectations,' Ambassador Pete Hoekstra said in an interview with The Canadian Press this past Friday, a day after NATO defence ministers endorsed new spending targets. Hoekstra also said the point of the NATO military alliance is to defend each other when under attack. He noted Americans haven't forgotten the 'investment and the sacrifice' Canadian troops made in Afghanistan when the U.S. invoked the NATO treaty's article on collective defence. 'They were fulfilling the commitment that they made to NATO — that when one of us is attacked we are all attacked, and we will defend each other,' Hoekstra said of Canadian soldiers. Hoekstra was not directly commenting on U.S. President Donald Trump's statement in March that Washington would not necessarily come to the aid of countries that don't pay their fair share on defence and that Canada has been freeloading on American defence of the continent. He did acknowledge Canada's defence spending has been an 'irritant' in the relationship with the U.S. This past week, defence ministers from NATO countries met in Brussels to discuss raising the member spending target on defence to as much as five per cent of GDP. Canada has never met NATO's existing spending target of two per cent since it was established in 2006. Trump and Prime Minister Mark Carney are engaged in what both sides have characterized as 'intensive' discussions toward the new economic and security deal the two leaders agreed to work on once the Canadian election concluded in April. NATO figures suggest Canada's defence spending rose from about one per cent in 2014 to 1.33 per cent in 2023. The NATO secretary-general's annual report, released in April, said Canada's defence spending would hit 1.45 per cent for 2024. In terms of absolute dollars, a Canadian Global Affairs Institute analysis last year said Canada ranks as the seventh largest spender in NATO, and the 14th largest in the world. Carney promised during the recent election campaign to move up Canada's deadline for meeting the 2 per cent threshold from 2032 to 2030 or sooner but has not yet shown a plan for how to do that. It will require Canada to add billions of new dollars annually. The prime minister is set to join other heads of government from NATO countries for an annual summit starting June 24 in the Netherlands. They are expected to approve a new defence investment plan that defence ministers hammered out this week, which would have member nations invest 3.5 per cent of GDP on core defence spending, and 1.5 per cent on defence and security-related investment such as infrastructure and resilience. That proposal is coming amid waning American commitments and a revanchist Russia. In recent years, both Democrats and Republicans have urged Canada to boost its Arctic defence, and the previous Biden administration praised much of what Ottawa outlined in an Arctic foreign policy last year. Trump has suggested defence of the Arctic is part of his 'Golden Dome' plan for a continental missile-defence shield. On May 27, the president said he told Ottawa it would cost US$61 billion to be part of the project. Hoekstra said he hasn't seen a breakdown of the costs, but said the 'really awesome technology' is likely estimated at 'proportionally what we think the Canadian share should be.' Defence Minister David McGuinty said Canada was reviewing its defence spending from 'top to bottom' and would have more to say about its plans soon, though the government isn't planning to table a budget until the fall. Hoekstra framed NATO as part of the wide partnership the U.S. has with Canada in security, which also includes secure energy flows and stopping illicit drugs. 'We need to do the things that will keep our citizens safe,' Hoekstra said. 'There are a lot of things that Americans and Canadians have in common, and we're looking forward to great days.' Hoekstra said Trump is trying to take the U.S. off an unsustainable trajectory, which he framed as millions of people crossing the U.S. border undocumented, spending way beyond government revenue and large trade deficits. 'The president is transforming that, because we need to,' he said. Trump's discussions with Carney will likely include the sweeping reform of border security that the Liberals tabled in Parliament last week. Hoekstra had yet to go through the legislation as of Friday. The ambassador said he's focused on win-win policies for both countries and not the prospect of Canada becoming an American state, despite Trump raising the notion as a way for Canadians to save on the cost of joining his Golden Dome project. Former Canadian diplomat Colin Robertson has said Hoekstra is limited in how much he can diverge from Trump's comments. But he said the ambassador has great access to the president, and his public messaging likely reveals how he has been advising Trump. 2 TSX Value Stocks to Buy When Everyone Else Is Selling

As of this writing, the S&P/TSX Composite Index, which is the benchmark for the Canadian stock market, is nearing new all-time highs. The index is up by almost 17% from its low on April 8, 2025. Typically, savvier investors who can see through the noise of a market sell-off focus on investing when everyone else sells. What if I told you those investors still have opportunities to buy undervalued stocks even when the market is hitting new all-time highs? Year to date, the TSX is up by 5.75%. However, the TSX still has plenty of stocks trailing behind the rest of the market. Today, I will discuss two of them to help you determine whether they might be good candidates to consider long-term winners or stocks to avoid like the plague in your self-directed portfolio. Air Canada (TSX:AC) is a battered and bruised giant in the Canadian airline industry. The $6.05 billion market-cap company is Canada's flag-bearing and largest airline. The company operates domestic, U.S.-Canada transborder flights and several international routes worldwide. Air Canada was one of the top 20 largest airlines worldwide before COVID struck in 2019. Since the pandemic, the stock has failed to recover to better valuations. Despite not operating any flights, AC stock faced considerable cash burn to maintain its fleet, resulting in massive debt for the company without a recovery through operational revenue. Air Canada's most recent earnings report for the first quarter of 2025 saw it report $5.2 billion in revenue. Slightly down from $5.23 billion in the same quarter last year, the airline still generated around $387 million in adjusted earnings before interest, taxes, depreciation, and amortization (EBITDA). The company continues to expand its capacity, and while it may take a long time, there seems to be a recovery on the horizon. Suncor Energy (TSX:SU) is another battered stock but in an entirely different industry. The $61.02 billion market-cap firm based in Calgary is an integrated energy company. It has operations that include oil sands development, production and upgrading, petroleum refining, offshore oil and gas operations, and wholesale distribution networks to retail the end product directly to consumers. The company is also advancing its transition into a lower-emission future. The company trades at roughly 10.29 times trailing earnings, indicating that it might be undervalued right now. As of this writing, Suncor stock trades for $49.71 per share and distributes $0.57 per share each quarter to its shareholders, reflecting a 4.59% annualized dividend yield. It can be a good investment to consider for locking in high-yielding dividends and long-term capital gains. For most investors, investing when the market is going downward does not make sense. Why invest in a bear market when there's nothing but losses everywhere? Smarter investors know how to use those downturns as opportunities to invest in undervalued stocks at a bargain. Despite what some investors might think, there still are opportunities during upticks to invest in bargains. Suncor stock and Air Canada stock might seem very risky investments, and that's because they are. However, the potential to recover to better valuations in the long run is there.
