BIG ROCK BREWERY INC. ANNOUNCES RESULTS OF ANNUAL GENERAL AND SPECIAL MEETING OF SHAREHOLDERS
CALGARY, AB, May 14, 2025 /CNW/ - Big Rock Brewery Inc. (TSX: BR) ("Big Rock" or the "Corporation") is pleased to announce that its shareholders approved all resolutions at its annual general and special meeting of shareholders held today (the "Meeting"). The resolutions approved at the Meeting were as follows:
The resolution to fix the number of directors of the Corporation to be elected at the Meeting at four (4) directors was approved.
The resolution to appoint the four (4) nominees as directors of the Corporation to serve until the next annual meeting of shareholders of the Corporation, or until their successors are elected or appointed, was passed by way of ballot and each of the directors received the following votes for their election:

The resolution to approve the unallocated stock options under the Corporation's stock option plan was approved with 17,734,870 (99.53%) of the shares represented at the Meeting voting in favour of the resolution.
The resolution to approve the unallocated restricted share unit awards under the Corporation's restricted share unit award plan was approved with 16,783,952 (94.19%) of the shares represented at the Meeting voting in favour of the resolution.
The resolution to appoint MNP LLP as the Corporation's auditors was approved.

EU ministers back plan to cut flight delay compensation
EU transport ministers on Thursday voted to raise the threshold for airline compensation, meaning passengers could soon only be entitled to payouts after flight delays of four hours, instead of the current three. A majority of the ministers voted in favour of the change in Luxembourg, according to information from diplomatic circles obtained by dpa. The European Parliament can still make changes to the new rules. The four-hour rule is set to apply to distances of up to 3,500 kilometres. For longer flights, a six-hour limit is planned. Consumer advocates have warned that the change would result in significantly fewer passengers receiving compensation. According to the European Union's current Air Passenger Rights Regulation, passengers are entitled to compensation for delays of three hours or more, provided that the airline is at fault. The amount of compensation depends on the distance: €250 ($286) for flights up to 1,500 kilometres, €400 for flights up to 3,500 kilometres and €600 for long-haul flights exceeding 3,500 kilometres. The airlines argue that they are unable to provide a replacement aircraft and crew within three hours in many European locations, and that this can lead to additional flights being cancelled because the high compensation payments have already been incurred. Members of the European Parliament, who must still approve the new regulation, have expressed resistance to a change. Jan-Christoph Oetjen, of Germany's pro-business Free Democrats, said before the vote that he sees no reason to change the parliament's existing position. He expects it to maintain the three-hour requirement. Jens Gieseke, another German member of parliament, agreed: "As a parliament, we will not accept any deterioration of the status quo."

Scalable Capital raises $175m to enhance retail investment access in Europe
Digital investment platform Scalable Capital has raised €155m ($175m) in a funding round led by Sofina, an investment company, and Noteus Partners, a pan-European technology investor focused on growth equity. Existing investors Balderton Capital, Tencent, and HV Capital also participated, bringing the total investment in Scalable Capital to over €470m (more than $535m). Sofina managing director Maxence Tombeur said: 'Noteus is proud to support Scalable Capital as it continues to democratise retail investing in Germany and across Europe.
