Blackstone offers $3.5 bln for Japan's TechnoPro as deal competition heats up

TOKYO, Aug 6 (Reuters) - Blackstone (BX.N), opens new tab said on Wednesday it would launch a $3.5 billion offer to take TechnoPro Holdings (6028.T), opens new tab private, the latest in a series of deals that have helped push M&A dealmaking to record levels in Japan this year.
The world's largest alternative asset manager is offering 507.4 billion yen, or 4,870 yen per share, for TechnoPro, a 17.4% premium to its closing average for the past three months.
Global private equity firms are competing to close deals to take Japanese companies private, following management reforms to tackle low valuations.
Blackstone was up against rival private equity powerhouse Bain Capital in the final round of bidding for engineering staffing firm TechnoPro, three people with knowledge of the matter said.
Last week Swedish investment firm EQT announced a $2.7 billion tender offer for lift-maker Fujitec, while in February KKR took software developer Fuji Soft private after a protracted bidding war with Bain.
Blackstone is looking to expand aggressively in Japan, one of the people said. The sources declined to be named as they were not authorised to speak to the media.
The TechnoPro acquisition marks Blackstone's seventh in Japan and its third private equity deal in 2025, it said in a press statement.
Real estate has also been a major focus for investors. In December 2024, Blackstone acquired a central Tokyo office and hotel complex for 400 billion yen in a deal it said was the biggest property investment by a foreign investor in Japan.
Bain and KKR, meanwhile, are part of three rival groups preparing to bid for brewer Sapporo Holdings' real estate business at a sale price also expected around 400 billion yen, according to two sources familiar with the matter, Reuters reported last week.
Shares in TechnoPro closed down 2% at 4,876 yen. The Nikkei business daily reported the plan late on Tuesday, saying Blackstone would offer a price below 4,900 yen.
The tender offer is expected to commence on August 7.

Net profit for April-June for Apple's (AAPL.O), opens new tab top iPhone assembler and Nvidia's (NVDA.O), opens new tab server maker likely came in at T$39.8 billion ($1.33 billion), up from T$35.05 billion a year earlier. Foxconn, formally called Hon Hai Precision Industry, last month reported record second-quarter revenue on strong demand for AI products but cautioned about geopolitical and exchange rate headwinds. Global trade uncertainty could dim the prospects for its outlook this year, as it has a major manufacturing presence in China, though Washington and Beijing this week extended a tariff truce for another 90 days. Most of the iPhones Foxconn makes for Apple are assembled in China, but the bulk of those sold in the United States are now produced in India. The company is also building factories in Mexico and Texas to make AI servers for Nvidia. In its July sales report, Foxconn said while the third quarter should see on-year growth - the company does not provide numerical guidance - the impact of "evolving global political and economic conditions" would need continued close monitoring. Foxconn has also been looking to expand its footprint in electric vehicles, which the company sees as a major future growth generator, though that has not always gone smoothly. Earlier this month, Foxconn said it had struck a deal to sell a former car factory at Lordstown, Ohio, for $375 million, including its machinery, but said it would continue to use the site to make a broader range of products aligned with its strategic priorities. Foxconn has expanded beyond its traditional role as an iPhone assembler in other areas too. Last month it formed a strategic partnership with industrial motor maker TECO Electric & Machinery ( opens new tab to build data centres. Foxconn holds its earnings call at 3 p.m. (0700 GMT) in Taipei on Thursday, where it will also update its outlook for the year. The bank has been lining up for potential buyers of the business, which could attract private equity firms and private credit players, as per the report, opens new tab. No final decision has been made in regards to the business — which has about $11 billion in assets — and BMO might opt to hold onto it, Bloomberg said. Bank of Montreal did not immediately respond to a Reuters request for comment. The bank's transportation finance arm provides loans and leases, which are tailored primarily for trucks and trailers across North America. It also serves inventory financing and fleet cost management needs for the sector. BEIJING, Aug 13 (Reuters) - Beijing E-Town Semiconductor Technologies ( opens new tab, a semiconductor equipment firm backed by Beijing's government, on Wednesday said it has sued U.S. chip equipment supplier Applied Materials (AMAT.O), opens new tab over alleged trade secrets infringement. Applied Materials had illegally obtained and used Beijing E-Town's core technology secrets related to plasma sources and wafer surface treatment, the Beijing-based company said according to a filing on the Shanghai Stock Exchange. The company, which is seeking 99.99 million yuan ($13.94 million) in compensation, alleged that Applied Materials had disclosed technical secrets by applying for a patent in China and claiming the patent's application rights. Applied Materials did not immediately respond to a request for comment. In 2016, Beijing E-Town acquired Mattson Technology, a California-based semiconductor wafer processing equipment designer and manufacturer. Applied Materials sued Mattson in 2022, alleging that it had hired its former employees with the intention of stealing trade secrets. In 2023, Mattson countersued Applied Materials making similar accusations. In the new case filed with the Beijing Intellectual Property Court, Beijing E-Town alleged that Applied Materials had hired two former Mattson employees, who were later listed as the principal inventors behind a patent filed by Applied Materials in China. The patent, filed with China's intellectual property administration, disclosed confidential technical know-how jointly held by Beijing E-Town and Mattson, Beijing E-Town said. Applied Materials' actions, the Beijing firm said, violated China's fair competition law and constituted infringement of its trade secrets.
