ADNOC Distribution approve H2 2024 dividend, bringing total annual payout to $700mln

ABU DHABI - ADNOC Distribution today announced shareholder approval of all agenda items at its Annual General Assembly Meeting (AGM), including the shareholder approval of a final cash dividend of $350 million (AED1.285 billion) for the second half of 2024 to be distributed in April 2025.
This brings the total annual dividend for 2024 to $700 million (AED2.57 billion), yielding 6.1 percent, based on the 25th March 2025 closing share price of AED3.39, in line with the company's 2024-28 dividend policy of maintaining annual payouts of $700 million or a minimum of 75 percent of net profit, whichever is higher.
Dr. Sultan Ahmed Al Jaber, Chairman of ADNOC Distribution, said, "Financially, 2024 was another record-breaking year. We delivered against our five-year strategy, achieving significant milestones that strengthened our market position and set the stage for long-term success. For the second consecutive year, our EBITDA surpassed $1 billion, driven by record fuel volumes—which increased by nearly 9 percent—and sustained non-fuel retail growth, which have allowed us to deliver strong shareholder returns."
In 2024, ADNOC Distribution unveiled a five-year growth strategy underpinned by commitments to domestic growth, building international platforms, and future-proofing its business. By successfully executing this strategy, the company achieved a record EBITDA of $1.05 billion (AED3.86 billion) in 2024, a 5 percent year-on-year increase driven by record fuel volumes, strong non-fuel retail growth, and higher contributions from its operations in Saudi Arabia and Egypt.
The 2024 dividend reflects the company's ability to generate strong free cash flow, which totalled $756 million (AED2.78 billion) in 2024.
Since its IPO in 2017, the company has distributed a total of $4.8 billion (AED17.4 billion) in dividends and delivered 92 percent in total shareholder returns.
This year's dividend distribution of $700 million marks a 3.5x increase from the $200 million distributed in ADNOC Distribution's first year as a listed company.
Bader Saeed Al Lamki, CEO of ADNOC Distribution, said, "ADNOC Distribution is committed to leading the way for the future of mobility and convenience retail, as evidenced by our commitment to expanding our international operations and prioritising high-growth areas."
He added that throughout 2025, the company will continue to drive towards our five-year strategic objectives, including 1,000 service stations across our network, increasing non-fuel transactions by 50 percent, and expanding the E2GO network to 500 EV charging points across the UAE by 2028.
In 2025, ADNOC Distribution is targeting the installation of approximately 100 additional fast and super-fast EV charging points across the UAE as part of its commitment to future-proofing and building the future of mobility.
In the Year of Community, ADNOC Distribution is also exploring new ways to position its service stations as more than just functional stops, redefining them as welcoming spaces at the heart of the communities they serve.
The company aims to double the number of properties occupied by top international and regional food and beverage brands by the end of the year, compared to the end of 2023.
By 2028, ADNOC Distribution seeks to grow the number of ADNOC Oasis convenience stores by 25 percent, increase non-fuel transactions by 50 percent and scale directly-operated franchise stores to 50 or more locations - a strategy is expected to allow for a 2.5-fold increase in property yield compared to traditional rental agreements.
The company is targeting 1,000 service stations across its network by 2028 and aims to add 40-50 in 2025, with 30-40 of these to be located in Saudi Arabia.
In 2024, ADNOC Distribution reached a milestone of 100 service stations in the Kingdom by deploying a smart Dealer-Owned, Company-Operated (DOCO) model. This CAPEX-light, scalable approach involves partnering with local dealers who own service stations, while ADNOC Distribution manages operations.
By 2029, ADNOC Distribution targets at least 300 stations across the Kingdom, positioning the company among the top five fuel and convenience retailers in the Saudi market.
ADNOC Distribution sees strong growth momentum in 2025, with planned CAPEX of $250-300 million. Through AI-driven data analytics and personalised engagement, the company is reinforcing its commitment to digital transformation, strengthening its position as the UAE's leading multi-energy mobility retailer while expanding internationally in a disciplined manner.

This report not only highlights the company's progress but also underscores its commitment to sustainability as a fundamental aspect of its long-term strategy, signalling an ambition to lead the energy sector's transition towards a lower-carbon future. The year 2024 was marked by a series of tangible achievements across its six sustainability pillars, reflecting a dedication to transparency and stakeholder the realm of Climate, Emissions, & Energy, ADNOC Distribution achieved notable success with 100% of its UAE fleet operating on biofuels, leading to a substantial annual emissions reduction. All energy supplied for electric vehicle (EV) chargers is now derived from clean and renewables-based sources, with significant solar photovoltaic energy (5,083 MWh PV) generated from service station rooftops in Abu Dhabi and Dubai. The company also expanded its EV charging network to 220 fast and super-fast chargers and launched the second phase of its H₂GO pilot green hydrogen refuelling station. For the Local Environment, initiatives included planting over 25,000 mangrove seeds and collecting more than 5.8 million bottles through Reverse Vending Machines, alongside recording zero negative impacts on biodiversity and consistently conducting HSE impact company's Economic and Social Contribution saw it achieve a 71.4% In-Country Value contribution, alongside reporting its highest EBITDA since IPO at Dh3.86 billion and revenues of Dh35.45 billion. Under Health, Safety, & Security, the company maintained an impressive safety record with zero fatalities and high-consequence work-related injuries, implementing fatigue management systems and conducting numerous HSE audits. Lastly, in Business Sustainability, an ESG Subcommittee was established at the Board level to embed sustainability into strategic decision-making. The company also secured ISO 22241 certification for ADNOC Blue, successfully met KPIs under its sustainability-linked loan, and enhanced its ESG ratings, leading to inclusion in prestigious ESG-linked company's leadership emphasised the strategic significance of these accomplishments. At its Annual General Meeting, the Dubai Future District Fund (DFDF), anchored by the Dubai International Financial Centre (DIFC) and the Dubai Future Foundation (DFF), shared key updates from its 2024 performance. The meeting highlighted a year marked by strategic growth, closer alignment with Dubai's economic goals, and steps towards supporting a resilient and inclusive innovation environment. The AGM also set the tone for DFDF's direction in 2025, which has been nationally designated as the Year of the Community. In reference to the UAE's declaration of 2024 as the Year of Sustainability, DFDF reiterated its focus on long-term value creation, responsible innovation, and community-focused investment. Over the course of the year, the Fund strengthened its partnerships with founders, investors and stakeholders addressing real-world challenges, reinforcing its dual role as both a capital provider and a facilitator within the broader ecosystem. The Board of Directors reported that DFDF supported more than 190 portfolio companies through a combination of direct investments and 12 Fund of Funds initiatives. These funds collectively secured over US$1.65 billion in capital commitments by the end of 2024. The Fund also maintained its alignment with the Dubai Economic Agenda (D33), contributing to the development of the technology, talent and venture capital landscape in the region. Khalfan Belhoul, Chairman of the DFDF Board of Directors and Chief Executive Officer of the Dubai Future Foundation, said: 'These achievements underscore the central role that the Dubai Future District Fund plays in driving the growth of Dubai's digital economy, one that thrives on innovation and leverages the latest future technologies across key sectors.' In 2024, DFDF extended its efforts beyond investment, aiming to demonstrate the broader role of venture capital in fostering public and private collaboration and scalable innovation. The Fund published a number of value creation case studies in cooperation with institutions across various sectors, underscoring its expanding function as a strategic enabler. Engagements included exploratory partnerships with the Dubai Land Department and Dubai Health, designed to connect government priorities with startup-led solutions. The Fund also piloted projects with Nestlé and AWS to identify opportunities for technology adoption and business enablement. These activities form part of DFDF's wider aim to convert capital into tangible outcomes, supporting not only financial returns but also operational value, strategic direction and innovation capacity among stakeholders in the region's future economy. Looking towards 2025, DFDF signalled a renewed emphasis on building connections across the innovation ecosystem, in line with the UAE's Year of the Community theme. The Fund aims to enhance linkages between founders and funders, startups and regulators, and regional and global networks. 'Innovation thrives not in isolation, but within inclusive, connected communities,' said Arif Amiri, DFDF Board Member and Chief Executive Officer of DIFC Authority. For 2025, DFDF will focus on expanding capital deployment, prioritising investments that contribute to ecosystem development and economic resilience.
