As Corporate Surf Shops Shutter, Independent Shops Offer a Path Forward

Yahoo09-02-2025

Malibu's had a rough go lately, and the Chapter 11 bankruptcy of Liberated Brands isn't helping. Caught in the downward spiral of the licensing debacle that's put the fate of legacy brands such as Billabong, Quiksilver, Roxy and Volcom in question are more than a hundred corporate-owned surf shops. Among them is Becker Surfboards in Malibu.
Becker Surfboards has been an institution in the area for decades. From board rentals, to the latest and greatest gear, to wax and ding repair kits, it's long been your classic, California surf shop. First opened in 1980, a then 40 year-old Phil Becker, as well as Steve Mangiagli and Dave Hollander, took ownership of the Rick Surfboards factory and turned it into Becker Surfboards. In 2013, Billabong acquired Becker as part of their efforts to expand their brick-and-mortar holdings. Phil Becker sadly passed away in 2023 at the age of 81.
Once in the Billabong portfolio, Becker Surfboards was eventually folded into the Boardriders conglomeration, which also included Von Zipper, Honolua, Quiksilver, Roxy and RVCA. Boardriders was then acquired by Authentic Brands Group in 2023, who subsequently licensed the companies to Liberated Brands. It's more complicated than that, but for the sake of this conversation that's what you need to know.
And now, as Liberated filed bankruptcy earlier this month, Becker, along with a laundry list of other shops, is being forced to close its doors. But, to use an all too apropos metaphor, from the ashes springs new growth. Becker store manager Mitch Taylor already has plans to open a new, independent shop of his own.
'As I grew up in the '70s and '80s, surfers wanted nothing to do with the corporate world. The trend is to return back to independent surf shops, and so I am reopening my own shop which will be in a smaller space," Taylor told the Malibu Times this week.
'This is the only job I have really liked. I woke up every day for 31 years, and I was excited to talk to people in our community," he added.
And therein lies the potential for other shop managers and employees left stranded by the shifting tides of corporate surfing. There's strength and security in being a small, independent business. The sport and lifestyle of surfing certainly isn't suffering from a participation issue. More folks than ever have taken to the water. The customers are there, the doors just have to be opened.
Of course, building a new business is never that easy, but for well over half a century surf shops have been a cornerstone in surf culture and business. They are our temples of stoke, and thanks to guys like Taylor, hopefully the tradition continues well into the 21st Century.

Nissan supplier Marelli files for Chapter 11, secures $1.1 billion in new financing

TOKYO (Reuters) -Nissan supplier Marelli Corp filed for Chapter 11 bankruptcy protection in the United States on Wednesday, the Japanese auto parts company said in a statement, after months of uncertainty about its talks with creditors. The maker of car interiors and lighting, which is owned by private equity firm KKR, said it had secured a commitment of $1.1 billion in financing from its lenders, and that around 80% of the lenders had signed an agreement to support its restructuring. "Throughout this process and moving forward, Marelli does not expect any operational impact from the Chapter 11 process," it said in a statement. It said 100% of its secured debt would also be eliminated. Marelli's situation has been closely watched given that it is a major supplier to Nissan which is struggling to turn itself around. Marelli said the lenders of the new $1.1 billion financing will take ownership of the business once it emerges from Chapter 11, subject to a 45-day so-called "overbid process" in which other parties could bid for it. The company listed both assets and liabilities in the range of $1 billion to $10 billion, according to a court filing. Kyodo News reported last week that Marelli was looking into Chapter 11 to ensure its operations would not be halted in the event that talks with creditors fell through. Marelli was created in 2019 from the merger of Magneti Marelli and Japan's Calsonic Kansei. Fiat Chrysler (FCA), now part of Stellantis, sold Magneti Marelli to Calsonic Kansei, owned by KKR, for 5.8 billion euros ($6.6 billion). Marelli put forward a restructuring plan that included a buyout by India's Motherson Group, the Nikkei newspaper reported last month, adding that the proposal was unable to bridge the gap between Japanese and foreign creditors at the time. Marelli Initiates Voluntary U.S. Chapter 11 Proceedings to Strengthen Financial Position and Facilitate a Value-Maximizing Restructuring

Reaches Restructuring Support Agreement ("RSA") with Approximately 80% of Lenders Secures Commitment of $1.1 Billion in Debtor-in-Possession ("DIP") Financing from Lenders 100% of Secured Debt to be Eliminated Access to New Liquidity Designed to Support Normal Course Business Operations; Marelli will Continue Delivering Reliable, High-Performance Products for Customers TOKYO, June 11, 2025 /PRNewswire/ -- Marelli Holdings Co. Ltd. ("Marelli" or the "Company"), a global technology partner to the automotive industry, today announced that it has commenced voluntary chapter 11 cases in the United States Bankruptcy Court for the District of Delaware in order to comprehensively restructure its long‑term debt obligations. Approximately 80% of the Company's lenders have signed an agreement to support the restructuring (the "Restructuring Support Agreement"), which will deleverage Marelli's balance sheet and strengthen its liquidity position. Throughout this process and moving forward, Marelli does not expect any operational impact from the chapter 11 process, and the Company will continue to work closely with its customers, suppliers, and partners to innovate and invest in its portfolio of advanced technologies that will differentiate the vehicles of the future and transform mobility. A complete list of the Marelli affiliates involved in the chapter 11 cases can be found at "At Marelli, we have been proactive in making necessary adjustments to stabilize our financial position so that we can continue to deliver long-term benefits for our valued customers, partners and employees," said David Slump, President and CEO, Marelli. "While we are pleased with our recent progress and profitability, industry-wide market pressures have created a gap in working capital that must be addressed. After careful review of the Company's strategic alternatives, we have determined that entering the chapter 11 process is the best path to strengthen Marelli's balance sheet by converting debt to equity, while ensuring we continue operating as usual. Taking this action now provides access to new liquidity to fund our long-term growth and innovation pipeline, and ensures our customers and partners all over the world can continue to rely on Marelli for on-time delivery of advanced technologies that shape the vehicles of the future." Mr. Slump continued, "Marelli's focus on innovation, digitalization and technology has never been stronger. As we move through this process, we will continue to serve our customers and work with our suppliers and partners as they have come to expect. We are also grateful for the hard work and dedication of our employees who remain focused on delivering the best service possible." To support the Company during this process, Marelli has received a significant commitment for $1.1 billion in debtor-in-possession financing ("DIP Financing") from its lenders. This additional capital underscores lenders' continued support and confidence in the Company's underlying business and its long-term potential. Upon Court approval, the DIP Financing, coupled with cash generated from the Company's ongoing operations, is expected to provide sufficient liquidity to support the Company through the chapter 11 process. In addition to the DIP Financing, the Restructuring Support Agreement provides for a comprehensive deleveraging transaction through which the DIP Lenders will take ownership of the business upon emergence from chapter 11, subject to a 45-day overbid process. Marelli filed a number of customary first day motions seeking Court approval to continue its operations throughout the chapter 11 process, including, among other things, payment of employee wages and benefits without interruption and continuation of programs that are integral to customer relationships. The Company anticipates receiving Court approval for these requests and intends to continue honoring its obligations to key stakeholders post‑filing, including by satisfying payment obligations to suppliers for goods and services provided in accordance with customary terms after the filing. The Company will be working with its suppliers regarding obligations which arose before the chapter 11 filing to reach agreements on payment terms. States sue 23andMe over genetic data sales

More than two dozen states, along with the District of Columbia, are suing biotechnology company 23andMe over plans to auction off personal genetic information without their customers' knowledge or consent. The lawsuit, which was filed Monday by twenty-seven states in the U.S. Bankruptcy Court in the Eastern District of Missouri, says that the California-based firm, which filed for bankruptcy in March, cannot sell off customers' sensitive data without obtaining consent from each of the individuals. 'New Yorkers and many others around the country trusted 23andMe with their private information and they have a right to know what will be done with their information. My office is joining 27 other attorneys general to protect people's most private information and to make sure 23andMe abides by the law,' New York Attorney General Letitia James (D) said in a news release on Tuesday. The human genetics firm, founded in 2006, filed for Chapter 11 bankruptcy in March in U.S. federal court in Missouri. The company gained popularity for its at-home DNA tests. Customers had to send saliva samples by mail and then they would get genetic reports. 23andMe has collected biological samples and genetic information for more than 15 million consumers. Regeneron Pharmaceuticals, another biotechnology company, said last month that it would purchase for $256 million. When it filed for bankruptcy, 23andMe said the personal information of customers could be accessed, transferred or sold as part of a transaction, but the potential buyers will have to comply with its privacy policies. Regeneron Pharmaceuticals said it would follow the outlined policies and the laws on-hand. Customers can erase their data from the 23andMe site. House lawmakers launched an investigation a month after the biotech company filed for bankruptcy, expressing concerns over the individuals' data and added that some users were unable to delete their information off the website.
