What Happened?
On May 1, 2025, the U.S. Department of Justice ('DOJ') filed a False Claims Act complaint against SelectQuote, alleging, '[f]rom 2016 through at least 2021' SelectQuote received 'tens of millions of dollars' in 'illegal kickbacks' from health insurance companies in exchange for steering Medicare beneficiaries to enroll in the insurers' plans. Further, SelectQuote, in exchange for kickbacks, engaged in a conspiracy with major insurers to illegally discriminate against beneficiaries deemed to be less profitable, including those with disabilities. The DOJ concluded that SelectQuote made materially false claims by stating it offers 'unbiased coverage comparisons' when in fact it 'repeatedly directed Medicare beneficiaries to the plans offered by insurers that paid them the most money, regardless of the quality or suitability of the insurers' plans.'
On this news, SelectQuote's stock price fell $0.61, or 19.2%, to close at $2.56 per share on May 1, 2025, on unusually heavy trading volume.
What Is The Lawsuit About?
The complaint filed in this class action alleges that throughout the Class Period, Defendants made materially false and/or misleading statements, as well as failed to disclose material adverse facts about the Company's business, operations, and prospects. Specifically, Defendants failed to disclose to investors: (1) that the Company was directing Medicare beneficiaries to the plans offered by insurers that best compensated SelectQuote, regardless of the quality or suitability of the insurers' plans; (2) that SelectQuote did not provided unbiased comparison shopping for Medicare Advantage insurance plans; (3) that SelectQuote received illegal kickbacks to steer Medicare beneficiaries to certain insurers and limit enrollment in competitors' plans; (4) that as a result, SelectQuote had not complied with applicable laws, regulations, and contractual provisions; (5) that SelectQuote was vulnerable to regulatory and legal sanctions as a result of its conduct, including claims that it had violated the False Claims Act; and (6) that, as a result of the foregoing, Defendants' positive statements about the Company's business, operations, and prospects were materially misleading and/or lacked a reasonable basis.

WASHINGTON — The federal budget deficits caused by President Trump's tax and spending law could trigger automatic cuts to Medicare if Congress does not act, the nonpartisan Congressional Budget Office reported Friday. The CBO estimates that Medicare, the federal health insurance program for Americans over age 65, could potentially see as much as $491 billion in cuts from 2027 to 2034 if Congress does not act to mitigate a 2010 law that forces across-the-board cuts to many federal programs once legislation increases the federal deficit. The latest report from CBO showed how Trump's signature tax and spending law could put new pressure on federal programs that are bedrocks of the American social safety net. Trump and Republicans pledged not to cut Medicare as part of the legislation, but the estimated $3.4 trillion that the law adds to the federal deficit over the next decade means that many Medicare programs could see cuts. In the past, Congress has always acted to mitigate cuts to Medicare and other programs, but it would take some bipartisan cooperation to do so. Democrats, who requested the analysis from CBO, jumped on the potential cuts. 'Republicans knew their tax breaks for billionaires would force over half a trillion dollars in Medicare cuts — and they did it anyway,' Rep. Brendan Boyle of Pennsylvania, the top Democrat on the House Budget Committee, said in a statement. 'American families simply cannot afford Donald Trump's attacks on Medicare, Medicaid and Obamacare.' Hospitals in rural parts of the country are already grappling with cuts to Medicaid, which is available to people with low incomes, and cuts to Medicare could exacerbate their shortfalls. As Republicans muscled the bill through Congress and are now selling it to voters back home, they have been critical of how the CBO has analyzed the bill. They have also argued that the tax cuts will spur economic growth and pointed to $50 billion in funding for rural hospitals that was included in the package. Groves writes for the Associated Press.

Associated Capital (AC) Group announced that it has given formal notice to the New York Stock Exchange of its intention to voluntarily delist its Class A common stock from the NYSE and to deregister under Section 12(b) of the Securities Exchange Act of 1934. Following the de-listing from the NYSE, we expect to provide liquidity to AC's Class A stock shareholders by listing AC Class A on the OTCQX platform. AC plans on filing a Form 25 with the U.S. SEC on or about August 25. The last day of trading in AC's common stock on the NYSE will be on or about September 4, when the Form 25 takes effect. Ninety days thereafter, AC's common stock deregistration is expected to become effective.
