The Westaim Corporation Reports Q1 2025 Results
Note: All dollar amounts in this press release are expressed in U.S. dollars, except as otherwise noted. The financial results are reported under International Financial Reporting Standards ("IFRS"), except as otherwise noted.
NEW YORK, May 14, 2025--(BUSINESS WIRE)--The Westaim Corporation ("Westaim" or the "Company") (TSXV: WED) today announced its unaudited interim financial results for the quarter ended March 31, 2025. Westaim recorded a net loss of $7.4 million ($0.34 diluted loss per share) for Q1 2025 compared to a net profit of $23.3 million ($1.02 diluted earnings per share) for Q1 2024.
At March 31, 2025, Westaim's consolidated shareholders' equity was $490.0 million and the Company had 21,706,501 common shares ("Common Shares") outstanding. Book value per fully diluted share1 was $22.56 (C$32.43) at March 31, 2025, compared to $22.88 (C$32.90) at December 31, 2024.
Key Results
Salem Group
On February 4, 2025 (the "MAIC Closing Date"), the Company completed its acquisition of ManhattanLife of America Insurance Company ("MAIC"). The Company invested $36.5 million into Salem Group Partners, LP ("Salem Group") to acquire 100% of the pecuniary limited partnership interests of Salem Group. Salem Group acquired Salem Holdco (Bermuda) Ltd. and its subsidiaries (including Salem Group Holdings, LLC, the direct acquiror of MAIC) from an affiliate of CC Capital in exchange for a $14.6 million promissory note2 back to the CC Capital affiliate. Salem Group then completed its acquisition of MAIC for a total purchase price of $29.2 million. MAIC holds insurance licenses in 46 states including the District of Columbia. MAIC was subsequently renamed to Ceres Life Insurance Company ("Ceres"). This investment represents a key step in executing the Company's previously announced strategy to build an integrated insurance and asset management platform in partnership with CC Capital.
The Company recognized a loss on its investment in Salem Group of $7.7 million for the quarter ended March 31, 2025, driven primarily by the non-capitalized operating costs of Salem Group incurred since the acquisition of MAIC for the continued development of Ceres operating capabilities in preparation for launch of the Ceres annuity insurance business.

▪ Q1 2025 net loss from Arena FINCOs was $0.1 million compared to net income of $1.3 million in Q1 2024.
▪ Arena FINCOs' results reflect mark-to-market valuations within its portfolio which has a net value of $173.7 million at March 31, 2025 compared to $173.8 million at December 31, 2024.

▪ Arena Investors' had total recurring revenue4 of $9.6 million in Q1 2025 compared to $11.5 million in Q1 2024 from its fee-paying assets under management ("AUM")5 . Fee related earnings ("FRE")4 was ($2.1) million in Q1 2025 compared to $0.8 million in Q1 2024, and net incentive fees4 was $0.1 million in Q1 2025 compared to $0.3 million in Q1 2024.
▪ Arena Institutional Services ("AIS") EBITDA4 was a gain of $1.7 million in Q1 2025 compared to a gain of $1.4 million in Q1 2024.
▪ Total Arena EBITDA4 for Q1 2025 was a loss of ($0.9) million compared to a gain of $1.8 million in Q1 2024.
▪ AUM and Programmatic Capital6 was $3.4 billion at March 31, 2025, $3.4 billion at December 31, 2024, and $3.4 billion at March 31, 2024. Arena entered into an agreement with an institutional investor effective April 1, 2025 that increased Programmatic Capital by $0.7 billion, bringing AUM and Programmatic Capital to $4.1 billion as of April 1, 2025. Fee-paying AUM was $2.4 billion at March 31, 2025, $2.4 billion at December 31, 2024, and $2.5 billion at March 31, 2024.

Noble Reports Updates on Homeland Nickel
TORONTO, ONTARIO - August 18, 2025 (NEWMEDIAWIRE) - Noble Mineral Exploration Inc. ("Noble" or the "Company") (TSXV: NOB) (OTCQB: NLPXF) is pleased to report that the News Release giving an Exploration and Corporate Update for Homeland Nickel, in which Noble has a significant shareholding, was issued today, the contents of which are below. This all relates to the White House announcing immediate measures to be introduced to significantly increase the US production of lithium, nickel, copper, and rare earths, with an eye to increased production, the creation of jobs and, significantly, the reduction of US reliance on foreign nations. "Homeland Nickel Exploration Update at Red Flat and Property Acquisition" Homeland Nickel Inc. ("Homeland Nickel" or the "Company") (TSX-V: SHL, OTC: SRCGF) is pleased to announce it has received a Surface Use Determination (SUD) from the Forest Service regarding its proposed Plan of Operation to drill 44 sonic holes at its 100% wholly owned Red Flat Nickel Laterite Project ("Red Flat"), located in Southern Oregon, 12 kilometres inland from the community of Gold Beach. The Company has also staked several mining claims over known nickel laterite at Woodcock Mountain. Red Flat Exploration Update The SUD completed by the Forest Service has approved all 44 sonic holes subject to certain conditions that the Company finds reasonable, including moving the location of one hole by 30 feet and a request for independent sampling to confirm Homeland Nickel's drill program results. The next step will be to visit with the Forest Service Ranger based in Gold Beach (tentatively scheduled for early September) and to complete a National Environmental Policy Act (NEPA) review that will address the Company's plans to drill to bedrock where its depth is less than 50 feet below surface. Commenting on the approval, President and CEO Steve Balch said, "The Forest Service has approved our drill program subject to a NEPA evaluation. While we are very pleased with this result, we are unsure of the timeline for the NEPA evaluation but are hoping to complete the drill program in the early fall of 2025, if such an evaluation can be expedited". New Mining Claims at Woodcock Mountain Homeland Nickel has also staked several mining claims at Woodcock Mountain (196 mining claims totaling 4,050 acres), an area previously identified by the United States Geological Survey (USGS) as having significant concentrations of nickel laterite. Woodcock Mountain is located within the same geological formation as Cleopatra, Red Flat, and Eight Dollar Mountain ("Eight Dollar"), and is located 7 km west of Cave Junction, approximately 12 km south of Eight Dollar.
