Leading Proxy Advisory Firm Backs Simpson Oil's Call for Board Overhaul at Parkland

GRAND CAYMAN, Cayman Islands--(BUSINESS WIRE)--Simpson Oil Limited ('Simpson Oil', 'we' or 'our'), the largest shareholder of Parkland Corporation ('Parkland' or the 'Company'), holding 19.8% of the outstanding common shares, today announced that Glass, Lewis & Co. ('Glass Lewis'), a leading independent proxy advisory firm, has recommended that Parkland shareholders support meaningful boardroom change by voting for seven of its nine director nominees at the Company's Annual General Meeting (the 'Meeting' or the 'AGM') to be held on May 6, 2025.
Glass Lewis recommends that shareholders vote the GOLD proxy card to elect Monty Baker, Michael Christiansen, Mark Davis, Chris Folan, Brian Gibson, Darcy Morris, and Karen Stuckey to the Board of Directors (the 'Board').
Simpson Oil reiterates that wholesale change is required, and that only the election of ALL NINE of its highly qualified nominees will deliver the fresh leadership, governance, and accountability shareholders deserve. A clean break is needed from legacy directors like Michael Jennings—whose tenure as Board Chair has been marked by entrenchment, gamesmanship, and value destruction—and James Neate, whose skillsets are neither additive nor needed on a refreshed Board.
In its full report, Glass Lewis affirmed Simpson Oil's case for change, highlighting the magnitude and persistence of the Company's underperformance 1:
' This persistent underperformance, coupled with repeated financial and strategic execution challenges over multiple years, signals that stronger independent board oversight is necessary to drive shareholder value creation and strategic discipline.'
Beyond poor performance, Glass Lewis flagged serious governance concerns, pointing to a pattern of Board 'entrenchment' and 'gamesmanship':
'Taken individually, each of these decisions—from the accelerated 2024 AGM timing, to the decision to include Dissident Nominees on its slate without prior notice or engagement, to the lack of a universal proxy form—could be explained as defensible in isolation. Taken together, however, they reveal a consistent pattern, in our view: the board has repeatedly taken governance actions that appear more reactive than proactive, and more focused on retaining control than facilitating transparent, shareholder-focused outcomes. '
Importantly, Glass Lewis also criticized the incumbent Board's disregard for shareholder input, particularly its past unwillingness to consider strategic alternatives despite persistent underperformance. While the incumbent Board has now reactively launched a strategic review and the CEO has tendered his resignation, Glass Lewis notes:
'With a CEO succession process and strategic alternatives review now running concurrently, it is essential that the board overseeing both be viewed by shareholders and the market as credibly independent, compositionally balanced, and strategically focused. Against this backdrop, we believe that a majority refresh is necessary to realign board composition with shareholder expectations and to ensure credible, shareholder-focused oversight of these critical processes.'
Simpson Oil reaffirms that its nine-person slate is committed to pursuing a dual track process: conducting a comprehensive strategic review while simultaneously repositioning the Company for long-term success—all aligned to the goal of maximizing value for all shareholders.

Members of Invest in MI Kids said it started collecting signatures last week using the 100-word summary that was approved June 27 by the Michigan Board of State Canvassers. That has opened up further complications for the effort, as the board on July 10 walked back the approval for the previous 100-word summary and then deadlocked on a revised summary at their July 31 meeting. Initiative officials said Friday that the effort which resulted in the board deadlocking was just one part of well-funded right-wing attacks against the proposal, which is estimated to generate nearly $1 billion annually. But those attacks keep coming. The Coalition to Stop the Business and Family Tax Hike, an organization opposed to the Invest in MI Kids initiative, issued a cease and desist motion to prevent the group from collecting its signatures. Jase Bolger, CEO of West Michigan Policy Forum and a former Republican Michigan House speaker, said in a statement that the amendment would hurt small businesses – even though the initiative was aimed at the wealthiest Michiganders. 'They filed a cease and desist motion to stop the signature gathering for an unapproved ballot initiative. Because, the proponents of this devastating proposal are using language that is misleading. Voters should not be fooled.' In response, Imani Foster, a spokesperson for the Invest MI Kids initiative, told Michigan Advance that the coalition is focused on the task at hand. 'While we're busy engaging Michiganders, together with our thousands of volunteers, we won't be distracted by meaningless letters from big money Washington lawyers,' Foster said. The group also noted its belief that the board had no authority under Michigan law to rescind its prior approval of the petition summary language. 'The petitions currently being circulated by Invest in MI Kids include a petition summary that the director of elections has deemed compliant with the Michigan Election Law twice and that the Board of Canvassers has approved as compliant once,' Foster added. Coloplast announces changes to Executive Leadership Team The Coloplast Board of Directors are making changes to the Executive Leadership Team (ELT) to support the successful execution of the new Coloplast Group strategy. Over the last couple of months, senior leaders from across the Coloplast Group have worked together to finalise the new Coloplast Group strategy, which will be communicated internally and externally in early September following approval by the Board of Directors. 'Our new strategy is centered around our customers. We will create and deliver the best customer experience for our users, patients and clinicians across our offering of products, support and services. Our ambition is to set the standard of care, to lead the market and to win!' says Lars Rasmussen, interim CEO of Coloplast. 'To deliver value for our customers, shareholders and more, we must evolve. That means putting the customer at the centre of everything we do. It also means delivering a step change in innovation to solidify our position as the innovation leader in our industry,' says Lars. During the current strategy period, the Coloplast Group has expanded with the addition of Atos Medical and Kerecis. Effective immediately, the company will organise its businesses into two distinct business units: Chronic Care and Acute Care. Most of these products and technologies are used in specialised private clinics or in the hospital setting, where innovation and clinical outcomes are critical. Effective immediately, the AWD and Kerecis commercial organisations are being merged into a new Wound & Tissue Repair organisation within Acute Care. The goal is to become an innovation leader in this area and to create a strong global footprint by merging these two complementary businesses. Wound & Tissue Repair will be led by Executive Vice President Fertram Sigurjonsson.
