The increase in SG&A expenses was primarily due to additional salaries and related expenses, coupled with a greater percentage of annual incentive compensation expense compared to the same period in the prior year.
Adjusted EBITDA (2) increased $22 million to $152 million compared to $130 million for the same period in the prior year.
"In the second quarter, we capitalized on the strong bidding opportunities we are seeing in both the public and private markets and increased our CAP to $6.1 billion, which is a new record,' said Kyle Larkin, Granite President and Chief Executive Officer. 'I am pleased with each of our segments' execution in the quarter, and we believe our continued focus on operational excellence should continue to produce margin expansion. We are also excited by the opportunities that come with the two acquisitions that we announced yesterday. The acquisition in the Southeast gives us a significant, high-quality aggregate supply on the Mississippi River and provides us with many opportunities to further leverage the supply network to grow our southeast platform. The acquisition in California strengthens our business in the central portion of the state with additional aggregates as we welcome a leading civil construction business into our portfolio. With our upsized credit facility and strong cash generation, I believe we will be able to continue to complete acquisitions to strengthen and expand our home markets in the upcoming quarters.'

(1)
CAP is comprised of revenue we expect to record in the future on executed contracts, including 100% of our consolidated joint venture contracts and our proportionate share of unconsolidated joint venture contracts, as well as the general construction portion of construction manager/general contractor, construction manager/at risk and progressive design build contracts to the extent contract execution and funding is probable.
(2)
Adjusted net income, adjusted diluted earnings per share, earnings before interest, taxes, depreciation, and amortization ('EBITDA'), EBITDA margin, adjusted EBITDA, and adjusted EBITDA margin are non-GAAP measures. Please refer to the description and reconciliation of non-GAAP measures in the attached tables.
Expand
Revenue increased year-over-year, driven primarily by the newly acquired Dickerson & Bowen business. Revenue in the legacy business was consistent year-over-year and is expected to accelerate in the second half of the year as work commences on projects included within our record CAP. Gross profit increased year-over-year as a result of improved project execution across our higher quality project portfolio and favorable claim settlements.
CAP increased $324 million sequentially to $6.1 billion and increased $488 million year-over-year. The bidding pipeline continues to be robust across the company in both public and private markets. There are ample opportunities to build CAP over the remainder of 2025 and to drive organic growth in line with our expectations.
(1)
Materials segment cash gross profit and cash gross profit as a percent of revenue are non-GAAP measures. Please refer to the description and reconciliation of non-GAAP measures in the attached tables.
Expand
Revenue, gross profit and cash gross profit improved year-over-year primarily driven by higher aggregates and asphalt volumes and higher aggregate sales prices.
Outlook
With the acquisitions announced this week, we are updating our 2025 fiscal year guidance as noted below:
Revenue in the range of $4.35 billion to $4.55 billion with revenue from the new acquisitions of approximately $150 million
Adjusted EBITDA margin increased to a range of 11.25% to 12.25%
SG&A expense unchanged at approximately 9.0% of revenue, inclusive of an estimated $40 million of stock-based compensation expense
Effective tax rate for adjusted net income unchanged in the Mid-20s
Capital expenditures unchanged with a range of $140 million to $160 million
We do not provide a reconciliation of forward-looking adjusted EBITDA margin or the most directly comparable forward-looking GAAP measure of net income attributable to Granite because we cannot predict with a reasonable degree of certainty and without unreasonable efforts certain components or excluded items that are inherently uncertain and depend on various factors. For these reasons, we are unable to assess the potential significance of the unavailable information.
'Our updated guidance reflects the inclusion of the new acquisitions in our 2025 results for the remainder of the third quarter and fiscal year,' stated Staci Woolsey, Granite Executive Vice President and Chief Financial Officer. 'These acquisitions are in alignment with our capital allocation strategy to invest in high quality businesses that will strengthen and expand our home markets and be immediately accretive to adjusted EBITDA margin and cash flows. Our pro-forma leverage is well within our target and with our expanded credit facility, we are well positioned to act on M&A opportunities in the future.'

Non-GAAP Financial Information
The tables below contain financial information calculated other than in accordance with U.S. generally accepted accounting principles ('GAAP'). Specifically, management believes that non-GAAP financial measures such as EBITDA and EBITDA margin are useful in evaluating operating performance and are regularly used by securities analysts, institutional investors and other interested parties, and that such supplemental measures facilitate comparisons between companies that have different capital and financing structures and/or tax rates. We are also providing adjusted EBITDA and adjusted EBITDA margin, non-GAAP measures, to indicate the impact of stock-based compensation expense, loss on debt extinguishment in 2024 and other costs, net, which include legal fees for the defense of a former company officer in his ongoing civil litigation with the Securities and Exchange Commission, reorganization costs, strategic acquisition and integration expenses and, in 2024, non-cash impairment charges.
We provide adjusted income before income taxes, adjusted provision for income taxes, adjusted net income attributable to Granite, adjusted diluted weighted average shares of common stock and adjusted diluted earnings per share attributable to common shareholders, non-GAAP measures, to indicate the impact of the following:
Other costs, net as described above;
Transaction costs which include acquired intangible asset amortization expense and acquisition-related depreciation;
Stock-based compensation expense; and
Loss on debt extinguishment.
We also provide materials segment cash gross profit and materials segment cash gross profit by product line and the related margins to exclude the impact of the segment's and product line's depreciation, depletion and amortization from the segment's and product line's gross profit. To better illustrate the operational performance generated by the assets of the materials segment, and its product lines, our calculation adds back all depreciation, depletion and amortization to the materials segment and its product lines and does not eliminate any in consolidation. Management believes that non-GAAP financial measures such as materials segment cash gross profit and materials segment cash gross profit by product line and the related margins are useful in evaluating operating performance and are regularly used by securities analysts, institutional investors and other interested parties, and that such supplemental measures facilitate comparisons between companies that have different capital and financing structures.
Management believes that these additional non-GAAP financial measures facilitate comparisons between industry peer companies, and management uses these non-GAAP financial measures in evaluating performance. However, the reader is cautioned that any non-GAAP financial measures provided by us are provided in addition to, and not as alternatives for, our reported results prepared in accordance with GAAP. Items that may have a significant impact on our financial position, results of operations and cash flows must be considered when assessing our actual financial condition and performance regardless of whether these items are included in non-GAAP financial measures. The methods used by us to calculate non-GAAP financial measures may differ significantly from methods used by other companies to compute similar measures. As a result, any non-GAAP financial measures provided by us may not be comparable to similar measures provided by other companies.
(1)
We define EBITDA as GAAP net income attributable to Granite Construction Incorporated, adjusted for net interest expense, taxes, depreciation, depletion and amortization. Adjusted EBITDA and adjusted EBITDA margin exclude the impact of other costs, net, stock-based compensation and loss on debt extinguishment as described above.
(2)
Represents net income, EBITDA and adjusted EBITDA divided by consolidated revenue of $1.13 billion and $1.08 billion for the three months ended June 30, 2025 and 2024, respectively, and $1.83 billion and $1.75 billion for the six months ended June 30, 2025 and 2024, respectively.
(3)
Amount includes the sum of depreciation, depletion and amortization which are classified as cost of revenue and selling, general and administrative expenses in the condensed consolidated statements of operations.

The tax effect of adjusting items was calculated using our estimated annual statutory tax rate. The tax effect of adjusting items for the three and six months ended June 30, 2024 excludes the $27 million loss on debt extinguishment as it was almost entirely non-tax deductible.
(2)
The dilutive effect of the 2.75% Convertible Notes and the 3.75% Convertible Notes was 35,000 and 8,138,000 shares for the three and six months ended June 30, 2024, respectively.
(3)
When calculating diluted net income attributable to common shareholders, GAAP requires that we include potential share dilution from the convertible notes when not antidilutive. We entered into capped call transactions relating to both the 3.75% and 3.25% convertible notes to offset the dilutive impact of the convertible notes. The impact of the capped call transactions was excluded from the GAAP diluted net income attributable to common shareholders calculation as the impact would be antidilutive. For the purpose of calculating our adjusted diluted net income per share attributable to common shareholders, the dilutive effect of the convertible notes is removed to reflect the impact of the capped call transactions.

Vistra Stock Could Chart Path Back to Record Highs

Vistra Corp (NYSE:VST) stock is up 0.6% to trade at $198.53 at last check, not too far off from its Aug. 5 all-time high of $216.85. The equity is looking to snap a three-day losing streak, with the $190 region providing support as it pulled back from that record peak. Better yet, a historically bullish signal now flashing could soon help shares extend their healthy 150.4% lead. Per Schaeffer's Senior Quantitative Analyst Rocky White, Vistra stock's pullback placed it within one standard deviation of its 50-day moving average. The equity was above this trendline in at least eight of the last 10 trading days, and spent 80% of the past two months above it. Within these parameters, eight other signals occurred over the last three years, after which the security was higher one month later 75% of the time, averaging an 8% gain. From its current perch, a similar move would place back above $213. At the International Securities Exchange (ISE), Cboe Options Exchange (CBOE), and NASDAQ OMX PHLX (PHLX), VST's 50-day put/call volume ratio of 1.17 ranks higher than all readings from the past year. In other words, the security could benefit from an unwinding of pessimism. Options are affordable, making this an opportune time to bet on VST's next moves. This is per its Schaeffer's Volatility Index (SVI) of 49%, which stands in the 10th percentile of readings from the past year.

This Healthcare Stock's Bad News Could Create a $10 Billion Opportunity for Competitors

Key Points Drugmakers are vying for the oral GLP-1 market, which could soon be worth billions of dollars. Eli Lilly recently disappointed with phase 3 data for its oral GLP-1 candidate, orforglipron. This could enable other companies, such as Novo Nordisk, to capitalize on this market. 10 stocks we like better than Eli Lilly › After crushing the market over the past few years, Eli Lilly (NYSE: LLY) is finally feeling the effects of gravity. The company has faced a pair of setbacks this year. The latest one came when Lilly reported data from a phase 3 study for its investigational oral GLP-1 candidate, orforglipron. Results from this trial were not as strong as investors had hoped, resulting in a significant decline in Eli Lilly's share price. However, several other companies, particularly Eli Lilly's main rival, could benefit from these developments. The promising oral GLP-1 market Eli Lilly is a leader in the market for GLP-1 medicines. The company's Zepbound, indicated for weight loss, is racking up billions in quarterly sales. Its only real competitor in weight management is Novo Nordisk's (NYSE: NVO) Wegovy. Both therapies are administered subcutaneously once a week. However, many people don't like needles and would prefer oral pills. Additionally, pills are easier and less expensive to manufacture, store, and transport. That's why an oral weight loss medicine that's about as effective as subcutaneous ones could be massively successful. It would offer a significant advantage to patients with its easier delivery method, and also allow drugmakers to ramp up manufacturing and target even more patients. In other words, there's a large untapped market here. There is currently just one oral GLP-1 drug approved by the U.S. Food and Drug Administration: Rybelsus, marketed by Novo Nordisk (and indicated for diabetes). This medicine generated $3.6 billion in sales last year. But according to some estimates, the oral GLP-1 market could hit $20 billion by 2030. Though GLP-1 medicines treat a range of diseases, they may be best known for their effectiveness in diabetes and, in recent years, weight loss. Assuming the oral GLP-1 space does reach the predicted $20 billion by 2030, a significant portion of that total -- perhaps up to half or more -- might be from sales for weight management, given the growing popularity of anti-obesity medicines and the advantages that oral ones would confer. Eli Lilly's setback Eli Lilly had hoped it could cash in on that market thanks to orforglipron. Although the pill performed well in diabetes, it did not meet Wall Street expectations in the first of a pair of phase 3 studies in weight management. The trial enrolled patients who were obese or overweight, but did not have diabetes. Eli Lilly reported that over the 72-week study, orforglipron led to an average reduction of 12.4% in body weight at the highest dose. In a similar 72-week study comparing Zepbound and Wegovy head-to-head, Zepbound led to an average weight loss of 20.2%, compared to Wegovy's 13.7%. Oral and injectable medications don't have the same mechanism of action. The latter are often more effective for various reasons, including the fact that they're absorbed more quickly into the body. Even so, some analysts hoped orforglipron would match the efficacy of subcutaneous GLP-1 medicines in weight management. Others, like those at the healthcare-focused investment management bank Leerink Partners, were hoping for an average weight loss of 14.4% from orforglipron. Novo Nordisk could be a major winner Eli Lilly's biggest competitor in diabetes and weight loss is Novo Nordisk, so it makes sense that the latter's share price jumped following Lilly's recent setback. These developments open the door for Novo Nordisk to catch up to its competitors. The Denmark-based drugmaker had been falling behind due to clinical challenges of its own over the past year. Novo Nordisk has recently initiated phase 3 studies for amycretin, an investigational weight loss medicine, in both subcutaneous and oral formulations. If amycretin proves more effective than orforglipron in phase 3 studies, Novo Nordisk could be one of the biggest winners of the oral GLP-1 space. Several other companies could benefit, too; Viking Therapeutics and Structure Therapeutics are two smaller biotechs also working on oral GLP-1s. Which stock should you buy? My view is that despite its recent setback, Eli Lilly remains a buy. Its financial results are excellent; its GLP-1 portfolio remains strong; and the company has blockbusters in other areas, such as oncology and immunology. Furthermore, Lilly has a robust pipeline, which it's been expanding significantly through acquisitions and licensing agreements. That said, Novo Nordisk's shares are also attractive. The sell-off the company has experienced over the past year appears overdone, as it still holds a strong position in diabetes and weight management, and it boasts exciting candidates in other areas. These two companies both have the potential to deliver strong returns over the long term. Should you invest $1,000 in Eli Lilly right now? Where Will Lemonade Be in 1 Year?

Key Points Lemonade's customer base has grown 41% in the past two years. The crucial loss ratio has improved significantly in the same period, dropping from 94% to 70%. The stock remains volatile, with plenty of long-term growth potential on the table. 10 stocks we like better than Lemonade › I bought my first Lemonade (NYSE: LMND) shares in December 2020, near the stock's all-time peak. The computerized insurance service looked fantastic at the time, and I expected big things from Lemonade in the long run. Well, Lemonade's automated insurance revolution wasn't as unstoppable as I had expected. The company's loss ratio soared, revenues slumped, and the stock price plunged. That specific position is down 54% as of Aug. 15, 2025. But you know what? I still saw great long-term promise in a customer-friendly insurance service driven by artificial intelligence (AI). So, I doubled down on my Lemonade investment in 2021 and 2022. More recently, the bullish investment thesis has started to play out. All things considered, my total Lemonade holdings have gained 16% so far, despite the unprofitable 2020 investment. Lemonade is making great strides these days, but where will it go next? Let's see what the company and stock might achieve by the summer of 2026. Lemonade's recent progress (less pulp and more sugar) Before looking ahead, let's review Lemonade's recent progress. First and foremost, lots of customers are signing up for Lemonade's car, pet, life, and homeowner insurance plans. The company had 2.69 million clients at the end of June, a 41% increase in two years. Over the same period, the in-force premium balance rose from $687 million to $1.08 billion -- a 57% jump. The premium per customer is up, and the gross loss ratio has fallen from 94% to 70% (and lower is better). Lemonade's revenues are soaring: In other words, the once-struggling business is humming on most of its cylinders. Back in the day, Lemonade explained that it would take some time to train its AI-based insurance claim systems on real-world customer data. The gains posted so far are the results of a growing customer list, and the data-driven benefits should continue to stack up in the future, too. Growing pains and room to improve Mind you, Lemonade's business improvement remains a work in progress. Free cash flow is still negative, though management expects a positive full-year reading by the end of 2025. The car insurance service is only available in 10 U.S. states so far, and Lemonade's homeowners insurance has been approved in 28 states. The European portfolio of renters and homeowners insurance plans is only live in five countries today, with 27 more on the "coming soon" list. The lessons learned and AI training completed in existing markets tend to transfer smoothly into new geographic targets, with minor tweaks based on the local risk profile. They don't get a lot of earthquakes and hurricanes in France, for example. In the long run, I see no reason why Lemonade shouldn't be a global business. What's next for Lemonade? Where will Lemonade be in a year, then? Your guess is as good as mine -- maybe mixing up a batch of sweet profits, or perhaps still getting the citrusy recipe just right. What's clear is that Lemonade's blend of AI and insurance is finally starting to hit the right notes for investors, but it's not a finished product yet. In fact, it's still early in Lemonade's effort to shake up the insurance industry with AI tools. A few more markets should open up by next summer, and the customer sign-up figures should speed up. These are bullish developments, leaving plenty of room for even greater gains in the long run. If you like your investments with a twist (and can stomach some sour notes along the way), Lemonade could be worth a sip in 2025. I wouldn't aim for big gains by next summer, but buckle down at the dinner table to enjoy great long-term returns. Investing is a marathon, not a sprint.
