Energy Transfer LP Announces Pricing of $2.0 Billion of Junior Subordinated Notes

DALLAS--(BUSINESS WIRE)--Energy Transfer LP (NYSE: ET) today announced the pricing of its offering of $1,200,000,000 aggregate principal amount of Series 2025A junior subordinated notes due 2056 (the 'Series 2025A notes') and $800,000,000 aggregate principal amount of Series 2025B junior subordinated notes due 2056 (the 'Series 2025B notes,' and together with the Series 2025A notes, the 'junior subordinated notes') each at prices to the public of 100.000% of their face value. Initially, the Series 2025A notes will bear interest at an annual rate of 6.500% and the Series 2025B notes will bear interest at an annual rate of 6.750%.
The sale of the junior subordinated notes is expected to settle on August 25, 2025, subject to the satisfaction of customary closing conditions. Energy Transfer intends to use the net proceeds of approximately $1,980,000,000 (before offering expenses) from the junior subordinated notes offering to repay borrowings under its revolving credit facility and for general partnership purposes.

Key Points Circle Internet went public in June. The stablecoin issuer reported its first financial result today -- a $4.48-per-share loss. Circle's guidance for the rest of the year isn't particularly helpful to investors. 10 stocks we like better than Circle Internet Group › Shares of Circle Internet Group (NYSE: CRCL), the June IPO stock and issuer of USD- and Euro-denominated stablecoins, surged 7.1% through 9:50 a.m. ET after Circle reported its first financial results as a publicly traded company this morning. Analysts forecast the company would report $644.7 million in revenue, but Circle beat expectations with a $658.1 million report -- and a $4.48-per-share loss. Circle Internet Q2 Circle says the entirety of its loss came about from "IPO-related non cash charges" of $591 million. But for those charges, the company's $482 million loss would have been something more like a $109 million profit. And on $658 million in total revenue -- up 53% year over year -- that would have been pretty impressive. Circle says it plans to drive further growth through its "innovative platform" Circle Payments Network, which will permit financial institutions to use stablecoins for payments. Is Circle stock a buy? Circle chose some curious metrics to give investors by way of "guidance" for the rest of this year, predicting 40% "multi-year" growth in USDC stablecoins in circulation, saying it expects to generate between $75 million and $85 million in "other revenue" (without saying what revenue from its core operations will be), and introducing the concept of "revenue less distribution costs margin," which will range from 36% to 38%. It also said "adjusted operating expenses" will run as high as $490 million this year. I'm honestly not sure what all of this might translate into in terms of annual revenue, but it sounds pretty certain to me that Circle will lose money this year. This likelihood, combined with the newness of the IPO, tells me investors are probably safest staying away from this IPO for now. Should you buy stock in Circle Internet Group right now? Further, for full-year 2024, the Company reported sales of $440.1 million, a decrease of 10% compared to the prior year, driven by "lower hardware systems sales due to macroeconomic factors that are negatively impacting demand." Finally, 3D systems reported a "$9 million revenue reduction in Q4 driven by a change in accounting estimates for [the Company's] Regenerative Medicine program." The Company disclosed that "[t]his change in estimate [was] related to the now anticipated use of pre-clinical human decedent testing[,] [. . .] which led to refinement of the milestone technical criteria." On this news, 3D Systems' stock price fell $0.57 per share, or 20.96%, to close at $2.15 per share on March 27, 2025. Then, after the market closed on May 12, 2025, 3D Systems issued a press release announcing its financial results for the first quarter ("Q1") of 2025. Among other items, 3D systems reported: revenue of $94.5 million, down 8% year-over-year and missing consensus estimates of $99.5 million; a net loss of $37 million, or $0.28 per share, more than doubling the $16 million loss reported in Q1 2024; an adjusted loss of $0.21 per share, deeper than consensus estimates of a loss of $0.14 per share; and adjusted EBITDA of a loss of $23.9 million, deepening from a $20.1 million loss in Q1 2024. The Company attributed its disappointing results, in part, to a decline in material sales, mostly due to inventory management issues in the dental portion of its Healthcare Solutions segment. 3D Systems also announced that it was withdrawing its full-year 2025 outlook, citing prolonged softness in customer capital spending and macroeconomic uncertainty. On this news, 3D Systems' stock price fell $0.68 per share, or 26.6%, to close at $1.87 per share on May 13, 2025.
