AM Best Affirms Credit Ratings of Seguros El Roble, S.A.
The ratings reflect El Roble's balance sheet strength, which AM Best assesses as strongest, as well as its strong operating performance, neutral business profile and appropriate enterprise risk management (ERM).
The positive outlooks reflect AM Best's expectations that El Roble will continue to expand its capital base while maintaining its current levels of risk-adjusted capitalization, as measured by Best's Capital Adequacy Ratio (BCAR), supported by profitable operating results and prudent risk management and further protected by a solid reinsurance structure.
El Roble, which was established in 1972, is the largest insurer in Guatemala with a market share of 24%. Its portfolio is composed mainly of non-life products (80%), as of December 2024, with the remainder (20%) tailored for the life insurance market.
El Roble is owned by Bicapital Corporation, a Panama-based private financial group that has financial services operations, including banking, insurance and asset management in Guatemala, Honduras, El Salvador, the Bahamas, Panama and the United States. El Roble ranks No. 1 in accidents and health and auto in Guatemala.
AM Best assesses the company's business profile as neutral, based on El Roble's market leadership and its capacity to adjust the terms of its offerings by adapting to the different business cycles, while aiming at higher diversification in lines and distribution channels. In addition, El Roble's market-leading position has allowed it to outperform market growth rates continuously for the past 10 years while sustaining diversification in products and distribution channels.
AM Best assesses El Roble's balance sheet strength as strongest, as the availability and quality of its capital are well-positioned for the company's risk profile. In 2024, risk-adjusted capitalization, as measured by BCAR, continued to strengthen as the company reported positive net results while maintaining an appropriate risk profile. Historically, El Roble's reinsurance program and ERM capabilities have been effective in protecting its balance sheet.
AM Best assesses El Roble's operating performance as strong due to its capacity to maintain constant growth in its net income backed by solid underwriting. Strategic adjustments have allowed El Roble to navigate different cycles of the market.
Positive rating actions could take place if El Roble's balance sheet strength continues to benefit from the consistency in its risk-adjusted capital derived from the company's prudent capital management.
Negative rating actions could take place if El Roble's operating performance renders negative results, either from deterioration in underwriting quality or market conditions.

The deal sent ripples through the beauty world not just for its scale, but for what it revealed: the beauty M&A landscape is undergoing a major recalibration. Rhode's rise wasn't just about celebrity. It was a masterclass in velocity: a brand built on savvy positioning, social-first storytelling, and Gen Z loyalty. But as impressive as it was, it's not the new norm. The real story in beauty M&A today isn't just about which brand sells next. It's about why, when, and how. FROM BOOM TO DISCIPLINE: THE M&A MARKET TODAY M&A activity in beauty has slowed considerably. According to PitchBook, global beauty and personal care deals tapered off from the 2021 high and are rebounding after the correction. While breakout deals like Rhode and Touchland have captured headlines, they are being approached with increasing caution. 2025 is on pace to continue the trend. Multiple forces are driving the slowdown. Economic uncertainty, from interest rate hikes to tariff volatility, prompts buyers to scrutinize deals more carefully. Post-pandemic, the inflated valuations of 2020 through 2022 are being reevaluated, and there's a noticeable shift from betting on virality to demanding proof of profitability. At the same time, beauty retail itself is evolving. Primary channels like Sephora, Ulta, and mass retailers are more competitive and cost-intensive than ever, making scale harder without significant capital and operational strength. Even market sentiment reflects this. In Q1 2025 alone, over 30% of beauty sector earnings calls referenced recession U.S. GDP contracted in Q1, and J.P. Morgan has estimated a 60% chance of a full-year there was temporary tariff relief in May 2025 between the U.S. and China, lowering rates to 30%, the longer-term outlook remains cautious. Clearly, we've entered an era of fewer deals and higher stakes. WHAT ACQUIRERS ARE LOOKING FOR In this more disciplined climate, acquirers—whether strategic or private equity firms—are no longer interested in top-line flash without bottom-line fundamentals. They're placing a premium on brands that demonstrate balanced revenue streams across direct-to-consumer, Amazon, and traditional retail. Buyers want to see that a brand's hero SKUs sell and drive high repeat purchase rates. They look for operational scalability, with infrastructure that can support rapid growth without compromising efficiency. Perhaps most importantly, strong gross margins and EBITDA performance are no longer nice-to-haves; they're prerequisites. A 20% EBITDA margin, once considered aggressive, is now often the threshold for serious acquisition conversations. In this environment, numbers tell a story, which needs to be one of financial health and future potential. As Shana Randhava, former Head of New Incubation Ventures at Estée Lauder Companies, put it in Vogue: 'Profitability is non‑negotiable. Brands need to show that they have a profitable business or a clear pathway to profitability with a tangible timeline.' WHAT TURNS BUYERS OFF Equally important is understanding what gives buyers pause. Brands that rely heavily on a single sales channel, or worse, a single product, raise concerns about long-term sustainability. Some companies have built social media empires that generate huge buzz, but without customer retention or margin discipline, that attention doesn't convert to value. Inflated valuations without profitability can quickly sour a deal. The same goes for brands that chase fleeting trends without building deeper consumer loyalty or category leadership. In today's market, overreliance on categories like lip gloss or blush, where saturation is high and margins are thin, can signal short-term thinking. Many acquirers are also steering clear of brands that grew too quickly without establishing infrastructure. Behind-the-scenes systems, supply chains, inventory management, and people matter just as much as surface-level storytelling. MACRO FORCES SHAPING THE M&A LANDSCAPE The forces reshaping M&A go beyond numbers; they reflect broader shifts in consumer behavior, product expectations, and corporate strategy. Shoppers want the best of both worlds: safe ingredients and proven results. Brands like K18, Lawless, and Touchland are thriving by merging beauty aesthetics with biotech credibility. Meanwhile, conglomerates like Estée Lauder, L'Oréal, and Church & Dwight are streamlining their portfolios. Underperforming SKUs and even full brands are being phased out by high-performing, highly engaged 'conscious consolidation' is creating space for more strategic acquisitions that fill critical white space. Operational excellence is becoming a true differentiator. Brands focusing on margin control, capital efficiency, and hero SKU productivity stand out. Across categories, gross margin expectations are becoming more well-defined: Top-tier skincare often demands margins of 70%–80%, while cosmetics and haircare fall slightly lower, averaging between 60%–75% and 55%–70%, respectively. And then there's Gen Z, a generation fundamentally reshaping how brands scale— TikTok virality matters, but only when it drives loyalty and repeat purchases. The success of brands like Rhode and Touchland wasn't just about getting attention but converting that attention into profitable, multi-channel growth. THE PATH TO A SMART EXIT Beauty M&A in 2025 is no longer a game of momentum alone. To succeed, founders need to build brands that are not just loved but financially sound and structurally scalable. That means establishing operational rigor early, prioritizing hero products with high lifetime value, and proving traction across multiple channels. It also means resisting the temptation to chase short-lived trends and committing to long-term narratives with real purpose and precision. Today's most compelling exits come from brands that strike a balance: They're in hot categories but play the long game. As celebrity esthetician-turned-founder Angela Caglia observed in Glossy: 'We're all talking to private equity … and the first thing they ask is, 'Do you own your formulas?' 'Do you own your IP?'' Ownership of formulas—and the margin control that comes with it—signals discipline and asset permanence. That kind of intentional, foundational thinking separates the brands that earn serious value from those that only chase virality. Rhode may have stunned the industry with its speed and valuation, but it's not the blueprint for everyone. The next chapter in beauty M&A will go to those who build smart, sell smart, and scale with intention.

Howden Re gains full reinsurance licence from Dubai Financial Services Authority
Howden Re, a part of global insurer Howden, has secured a full reinsurance licence from the Dubai Financial Services Authority (DFSA) to conduct its business within Dubai International Financial Centre (DIFC). The licence will enable the company to extend its existing broking services, with an emphasis on treaty, facultative and managing general agent (MGA) reinsurance. The Dubai operations will be jointly led by Julian Samengo-Turner, head of IMEA (India, Middle East and Africa), who will continue to manage Fac and MGA broking, alongside Attilio Tornetta, the newly appointed head of Treaty & Regional Retro for MEA. Additionally, Sheena Kotecha, head of operations IMEA, has been promoted to the position of senior executive officer to ensure Howden Re adheres to regulatory and governance standards. Tornetta, who became managing director for the Middle East and Africa (MEA) at Howden Re in 2023, will concentrate on enhancing the company's treaty offerings and broadening its presence throughout the MEA.
