In an announcement this week, PCH said it was using the bankruptcy process to 'finalize a shift away' from its legacy business of direct-mail, retail merchandise and magazine subscriptions. The company is hoping to instead transition to a 'pure digital advertising' model, where it will continue to offer free-to-play entertainment and prizes.
The Chapter 11 proceedings, filed in New York on Wednesday, arrive amid growing financial strain for PCH — which has struggled with rising operational costs and changing consumer habits in recent years.
Pivoting from its old way of doing business will help the company break free from past constraints and 'establish a strong foundation for our future,' CEO Andy Goldberg said in a statement.
But that doesn't mean the famous sweepstakes are going away. PCH says it plans to operate in a 'business-as-usual manner' throughout the bankruptcy process — noting that the 'Prize Patrol' team will continuing to deliver awards across the U.S. The company says it's lined up debtor-in-possession financing from Prestige Capital to fund operations through its restructuring.
PCH's roots date back to 1953 — when Harold and LuEsther Mertz and their daughter, Joyce Mertz-Gilmore, formed a business out of their Long Island, New York home to send direct-to-consumer mailings that solicited subscribers for a number of magazines through one single offering.
The company later grew with chances for consumers to win money — first launching a direct mail sweepstakes in 1967 — and expanded its offerings to a wide variety of merchandise, from collectible figurines to houseware and 'As Seen on TV' accessories, in the years that followed. Its in-person 'Prize Patrol' team was formed in 1989.
PCH became known for surprising prize winners with oversized checks, which was often filmed and featured in TV commercials. In Wednesday court documents, the company said it has awarded over half a billion dollars in prizes and continues to attract millions of contestants today.
But its operations haven't been without financial strain — particularly in recent years.
'While PCH's direct mail and e-commerce programs were profitable for decades, changing patterns of consumer behavior, costs and competition, along with a declining pool of new prospecting names, negatively impacted the business, resulted in losses beginning in 2022,' William H. Henrich, co-chief restructuring officer for PCH, wrote in a court declaration Wednesday.
Henrich pointed to a handful of cost pressures — including rising shipping and postal rates, inventory and supply chain challenges that have continued since the start of the COVID-19 pandemic and rising competition from major retailers today, like Walmart and Amazon, that have dominated the e-commerce space.
PCH also faced some scrutiny from regulators who previously raised concerns about consumers mistakenly believing that making purchases from the company would improve their chances at winning its sweepstakes. As a result, PCH has racked up several costly legal settlements over the years — most recently, Wednesday's court documents note, paying $18.5 million to resolve allegations from the Federal Trade Commission in 2018.

'Quiet cracking' is the new workplace phenomenon sweeping offices. As AI looms over jobs and promotions stall, workers' mental health is quietly fraying. For employers, it has resulted in a staggering $438 billion loss in global productivity in the past year alone. But not all hope is lost. A career expert tells Fortune there are ways for managers and employees to course-correct. Workers are down in the dumps about a lack of career growth opportunities and emptying offices as companies slash staffers to make way for AI, all while being put under constant pressure to do more with less. Scared of speaking out and putting their neck on the line in a dire job climate, staff are silently but massively disengaging with their employers: Welcome to 'quiet cracking.' The latest workplace phenomenon sees staff showing up and doing their job but mentally and emotionally struggling. About 54% of employees report feeling unhappy at work, with the frequency ranging from occasionally to constantly, according to a 2025 report from TalentLMS. 'The telltale signs of quiet cracking are very similar to burnout. You may notice yourself lacking motivation and enthusiasm for your work, and you may be feeling useless, or even angry and irritable,' Martin Poduška, editor in chief and career writer for Kickresume, tells Fortune. 'These are all common indicators of quiet cracking, and they gradually get worse over time.' Unlike 'quiet quitting,' this decline in productivity from workers isn't intentional. Instead, it's caused by feeling worn down and unappreciated by their employers. And oftentimes, as with burnout, they don't even register it creeping up on them until it's too late. But feeling unable to quit in protest because of the current job market, it's left them ultimately stuck and unhappy in their roles. Unfortunately, managers are slow to catch on A fleet of unhappy workers may sound easy to spot, but the problem is sneaking up on workplaces without much course correction. Last year, the proportion of engaged employees globally dropped from 23% to 21%—a similar dip in enthusiasm seen during the COVID-19 lockdown—costing the world economy about $438 billion in lost productivity, according to a 2025 report from Gallup. Quiet cracking isn't only creating a bad culture for employees to work in, but the trend is also hitting businesses hard. It's imperative that bosses seize the moment to develop an engagement strategy before the problem festers into a ticking time bomb. And employees can also make adjustments to better advocate for their own career happiness. 'It isn't obvious when quiet cracking happens,' Poduška explains. 'You may be starting to quietly crack right now, but you wouldn't know as this type of burnout takes some time for others, and even you, to notice.' How employers can fight 'quiet cracking' before it's too late The current state of the workplace may sound bleak, but not all hope is lost. A career expert tells Fortune there are ways to spot fissures in company culture before employees are fully down in the dumps, and managers need to stand on guard. 'If you've noticed an employee becoming more and more disengaged with their work, it may be best to schedule a time where you can discuss how they feel,' Poduška says. 'Setting them new tasks, providing new learning opportunities, and simply having an honest conversation could steer things back in the right direction.' A good boss can make or break company culture. Among employees who experience quiet cracking, 47% say their managers do not listen to their concerns, according to the TalentLMS study. But by simply sparking a conversation on the issue, supervisors can get staffers back on track to be happy at work. Alongside having an honest conversation, managers should also show interest in the development of their direct reports. Training workers can help show that the company is interested in their career advancement; about 62% of staffers who aren't quiet cracking receive training, compared to 44% of those who frequently or constantly experience the feeling. 'When employee training is prioritized, it signals care, investment, and belief in people's potential,' the TalentLMS report notes. 'It fuels motivation, builds capability, and creates a culture where people want to contribute—and stay. Training isn't just about skill-building; it's an antidote to disengagement. A catalyst for connection.' How workers can combat their own disengagement Managers aren't the only ones with power in fighting workplace disengagement; employees also have the power to combat their own unhappiness. 'How can quiet cracking be avoided? For staff, finding out the root cause of your unhappiness might be the key to stop quiet cracking in its tracks,' Poduška explains. 'If you feel like there are no opportunities for progression with your role, you may find it worthwhile to talk to your manager about a development plan. This can give you something to work toward, which may help combat boredom and spark your motivation.' However, not every company is going to be invested in developing their workers, even if they voice the need for it. In that case, Poduška advises that staffers take a hard look at the business they work for. He recommends that employees question if their jobs feel sustainable and if they feel adequately supported by their teams. If not, a new employer—or even career—could be the answer. 'Another way to stop quiet cracking is to change things up. You could ask yourself if the role you're currently in is right for you,' Poduška says. 'A total career pivot may be the answer to quiet cracking in some cases, or for others, a switch into another department might be the best solution. Commerce Secretary Lutnick says Intel needs to give government stake for CHIPS funding
Commerce Secretary Howard Lutnick on Tuesday confirmed that the government wants Intel to cough up a 10% equity stake in exchange for nearly $8 billion in CHIPS Act funding approved by the Biden administration. Lutnick said the the stake would be a return on its 'investment' in the struggling chipmaker. 'We should get an equity stake for our money,' Lutnick told CNBC's 'Squawk on the Street.' 'The president wants to put America's needs first, both from a national security and economic perspective, and it's a creative idea that has never been done before,' White House Press Secretary Karoline Leavitt said Tuesday in confirming that Lutnick was working on a deal. 'The stake would be a conversion of the grants and maybe increase the investment into Intel to help stabilize the company for chip production here,' Treasury Secretary Scott Bessent told CNBC. Intel was awarded $8.5 billion in CHIPS Act funding under the Secure Enclave program, a national security initiative to make microchips for defense and intelligence applications. ATLANTA (AP) — As the 2026 election looms, Georgia Republicans seeking higher office met Tuesday to begin exploring plans for Georgia to eliminate the state's personal income tax. The Republican contenders for lieutenant governor sat on the committee spearheaded by Republican Burt Jones, who currently holds the role and is running for governor with U.S. President Donald Trump's endorsement. 'If we want to continue to stay competitive in the state of Georgia and continue to be the number one state to do business, we've got to be looking for ways to keep us competitive and make it where we have a competitive advantage over states that we are competing with all the time," Jones said. Most of the lawmakers on the panel praised the idea as one that would help working families and small businesses after hearing from Grover Norquist, president of Americans for Tax Reform and a prominent conservative lobbyist for tax cuts. Currently, eight states, including Florida and Tennessee, don't tax individuals' income, according to the Tax Foundation, a tax policy think tank. Other states, including North Carolina and Louisiana, have reduced income taxes or are on their way to eliminating them. In Georgia, Democrats oppose the idea, saying it would benefit the wealthy rather than low-income people, who would face other levies. Atlanta Democrat Sen. Nan Orrock said Tuesday that eliminating the income tax would hurt vital services across the state by reducing state revenue, especially amid federal cuts to programs such as food stamps, education grants and disaster relief. 'I can go on and on with needs that we have now in many areas that would argue for having a robust revenue to meet the needs of our citizens," said Orrock. Norquist said states still generate revenue after cutting income taxes. One reason is that when businesses know states are on track to eliminate income taxes, he said, they start investing there, and residents flock over too. 'When you attract more people into the state and more investment into the state, you end up with both more money for individuals but also more tax revenue at lower rates,' said Norquist. Georgia income taxes are expected to bring in $20 billion for the state in 2026, accounting for almost half of state revenue, according to the Georgia Budget and Policy Institute Georgia Republican Gov. Brian Kemp signed into law this year income tax rebates of up to $500 and a reduction in taxes to 5.19% in January for all income earned in 2025. That's part of a long-term plan to cut Georgia's income tax rate to 4.99%, which could happen as early as next year. The law already took Georgia's former system of tax brackets and created a flat income tax. The state has also paid rebates on income taxes to taxpayers in recent years, thanks to billions in surplus cash, Higher-income taxpayers collect the most benefits from income tax reductions. The Institute on Taxation and Economic Policy found two-thirds of the income tax cut benefits would flow to the highest-earning 20% of Georgians. Republicans said that was only natural because most Georgians in the lowest 20% of the income distribution are mostly exempt from state income taxes. Democratic gubernatorial candidates haven't ruled out tax reductions. Former Atlanta Mayor Keisha Lance Bottoms has suggested eliminating the state income tax for public school teachers, but said eliminating income taxes altogether would hurt funding for schools and raise costs for lower-income families. Republicans are still forging ahead. 'While the mechanics are up for debate, I think it's clear that the end goal is not,' said Sen.
