Sebi bans SME firm Varyaa Creations from securities market over IPO proceeds diversion

Markets regulator Sebi has restrained SME company Varyaa Creations Ltd (VCL) from accessing the securities market for alleged diversion of funds raised through its initial public offering (IPO). Additionally, the regulator has barred Inventure Merchant Banking Services Pvt Ltd from taking up any new assignment relating to merchant banking activities in the securities market till further directions.
ADVERTISEMENT Also, the shareholdings of seven promoter group entities have been frozen until further directions, according to an interim order passed by Sebi on Wednesday.
Varyaa Creations, which is primarily engaged in wholesale trading of precious metals, and manufacture and sale of jewellery, came out with its Rs 20.10-crore IPO and got listed on the SME platform of the BSE on April 30, 2024.
The Securities and Exchange Board of India (Sebi) carried out a routine inspection of the activities of the Inventure and noticed certain irregularities in the IPO process of VCL and initiated an inquiry into the matter. During the inquiry, Sebi noted that more than 70 per cent of the issue proceeds (Rs 14 crore) were transferred to three entities -- Kaveri Corporation, Maruti Corporation, and Overseas Metal and Alloys Pvt Ltd -- on April 30, 2024, the day of the listing on the instructions of the lead manager Inventure. The stated purpose of the transfers was to cover issue management fees, underwriting and selling commissions, registrar fees, and other IPO-related expenses.

Sebi said these transfers, purportedly made to cover issue-related expenses, were disproportionate to the issue-related expenses disclosed in the IPO's prospectus.
The regulator sought explanation from VCL and Inventure regarding transfers, however, VCL failed to give a satisfactory response, citing the unavailability of its accounts team and statutory auditor.

The lead manager stated that transactions were in line with objects of the issue stated in the prospectus -- purchase of inventory and general corporate purposes. After further investigation, Sebi, prima facie, found certain discrepancies in the use of the funds.

"...it, prima facie, appears that Rs 9 crore from the IPO proceeds was credited to the bank account of Kaveri Corporation and withdrawn in cash on April 30, 2024 -- the very day the company was listed," Sebi said. Accordingly, Sebi has restrained Varyaa Creations "from accessing the securities market, either directly or indirectly, in any manner whatsoever until further orders. Besides, Noticee 2 (Inventure Merchant Banking Services) shall not take up any new assignment relating to merchant banking activities in the securities market till further directions from Sebi".
ADVERTISEMENT Besides, the regulator directed the appointment of a monitoring agency for any pending assignments of Inventure.
On freezing the holding of seven entities, Sebi noted that a lock-in period applicable to a portion of the promoters' shareholding expired on May 14, and there is a risk of the promoters offloading the shares held by them in VCL, while the inquiry into the end-use of IPO proceeds is ongoing.
Over the past year, Sebi intervened in many cases, especially in the SME segment, where IPO proceeds were misutilised or siphoned off.

However, despite conducting a staggering 450 interviews, the company failed to find a single candidate suitable for the role. The recruitment team turned to the Developers India subreddit to share their ordeal, hoping to shed light on the complexities of hiring in the AI era. The company had posted job listings on LinkedIn for junior-level frontend and backend developers, as well as QA roles. The salary range—up to Rs 20 lakh—attracted a wave of over 12,000 applications. From the outset, the hiring team filtered out nearly 10,000 applicants, citing reasons such as poorly tailored resumes and a lack of relevant technical abilities. According to them, the early elimination was not about being overly selective but about saving both their own time and the applicants' from fruitless interview rounds. Those who did make it to the interviews were tested on fundamental programming principles as well as standard data structures and algorithms topics like trees, heaps, linked lists, and graph traversal methods such as breadth-first search and depth-first search. Interestingly, the firm even permitted the use of tools like ChatGPT during assessments to simulate a real-world working environment. However, this modern approach backfired. While candidates were quick to churn out working solutions—often copied directly from AI—the problems began when interviewers asked for an explanation. Most were unable to describe what their own code was doing or provide details about its time and space complexity. This led to the realization that many candidates were simply copying and pasting without comprehending the logic behind the code—a phenomenon the recruiter described as "vibe coding." This troubling pattern prompted the company to reflect on its own methods. Was the interview process too rigid or flawed? Or was it indicative of a larger issue where aspiring developers rely too heavily on AI tools, skipping the foundational learning necessary to become competent programmers? The Reddit community didn't hold back in its response. Some users questioned the company's recruitment practices, pointing out that spending 450 hours on interviews without hiring a single person suggested deeper internal problems. One user criticized the process as inefficient and misguided, arguing that the HR team might be more at fault than the candidates themselves. Another suggested that if so many interviews yield zero hires, it could be a sign that the hiring strategy—and not the talent pool—is broken.

New Delhi: Chief minister Rekha Gupta said on Saturday that there would be a revision of circle rates soon. Citing inconsistencies with market value of land, CM directed the revision of circle rates and announced the formation of a committee under the chairmanship of the divisional commissioner to carry out this task. The committee will submit a report based on current market conditions and property values, which will then be used as the basis for revising the circle rates. Gupta said that there were inconsistencies in the current circle rate structure across Delhi that required reassessment. Circle rates, or minimum rates for the valuation of land and immovable property, were last hiked for residential areas in all existing categories (A to H) in Delhi in 2014. The previous govt also proposed an increase in the circle rate on farming land from Rs 53 lakh per acre fixed in 2008 to Rs 2-5 crore. However, it was not notified. Officials said that since there is a big gap between the existing circle rates and the market rate at which the sale and purchase of properties take place, there was an existing proposal to hike the rates by up to 35%. Officials said the previous plan prepared by the revenue department proposing the creation of sub-categories in A to H categories of residential areas with multiple slabs of rates was returned by the finance department with objections and suggestions. CM said there was a need to make construction-related procedures simple, transparent and accountable to avoid unnecessary delays in developmental works. Regarding unauthorised colonies, Gupta instructed all civic agencies to take proactive steps for their improvement. She also directed Delhi Development Authority and urban development department to prepare a comprehensive and detailed report addressing issues related to ownership rights and property registration in these colonies.
