Tencent Music to buy Chinese audio platform Ximalaya for US$2.4 billion

[BEIJING] Chinese music platform Tencent Music Entertainment Group said on Tuesday (Jun 10) it would buy long-form audio platform Ximalaya for about US$2.4 billion in cash and stock, expanding its library of content to attract more paying users.
US-listed shares of Tencent rose 7 per cent in premarket trading.
The company will offer US$1.26 billion in cash and Class A shares representing up to 5.20 per cent of its total outstanding stock. It will also issue shares to Ximalaya's founder investors not exceeding 0.37 per cent of its total share count.
The stock component of the deal totals about US$1.15 billion based on Tencent Music's last closing price on April 24.
Closely held Ximalaya counts Tencent, Baidu and Sony Group's music entertainment unit as backers. The company filed for a Hong Kong initial public offering in 2021, but pushed back the plan. The app-based online audio platform had 303 million monthly active users as of 2023, according to a separate listing application it filed last year.
Tencent Music is one of the biggest online music entertainment platforms in China, with apps such as QQ Music, Kugou, Kuwo and WeSing, according to its website. REUTERS, BLOOMBERG

REUTERS/Carlos Barria WASHINGTON - Months after orchestrating a conservative takeover of the Kennedy Center's leadership, President Donald Trump will attend "Les Miserables" on Wednesday, his first show at the performing arts facility that has become a symbol of U.S. cultural and political divides. Trump did not attend events at the John F. Kennedy Center for the Performing Arts during his first term, but has taken a keen interest in it during his second. Deriding it on social media for putting on "Drag Shows specifically targeting our youth," he pushed out its former chairman, fired its longtime president and pledged to overhaul an institution he described as being in tremendous disrepair. The fallout has been swift. The musical "Hamilton" canceled plans to appear there, staff left and sales of subscriptions and individual tickets for Kennedy Center shows have dropped, according to two people briefed on the data. Overall subscription revenue was down 36% to $2.8 million as of early June for next season, which begins in the autumn, according to one source. Theater subscriptions, normally a major revenue driver for the center, were down 82%. A Kennedy Center spokeswoman declined to comment about the facility's sales. The center depends on revenue from tickets and subscriptions as well as donations to operate. "President Trump cares deeply about American arts and culture, which is why he is revitalizing historic institutions like the Kennedy Center to their former greatness," White House spokeswoman Anna Kelly said in a statement. Trump's appearance at "Les Miserables", a show about citizens rising up against their government, comes just days after he sent U.S. Marines and the National Guard to quell protests against his administration's immigration raids in Los Angeles. Trump will sit in the presidential box overlooking center stage, but he is not guaranteed a friendly reception in the 2,300-seat theater. When Vice President JD Vance attended a Kennedy Center show with his wife earlier this year, the crowd booed. Supportive donors will be present, but tickets for the musical were available for purchase by the public as well, along with regular subscribers. The night is sold out. Trump's appearance is meant to juice fundraising. Donors who pay $100,000 to $2 million get to attend a reception before the show, receive a photo with the president and be seated in good locations in the theater. Vance is expected to attend as well. The Kennedy Center is turning the event into one on par with its signature shows, including the Kennedy Center Honors, featuring a red carpet for high-profile guests with reporters and photographers in place. Under the leadership of Ric Grenell, a close Trump ally and former ambassador to Germany, the Kennedy Center has sought to add more conservative-leaning programming, including a show that Grenell has described as a celebration of the birth of Christ. Meanwhile, while Trump zeroed in on drag shows when he said the Kennedy Center had lost its way, multiple upcoming musicals include characters dressed in drag, such as "Mrs. Doubtfire" and "Chicago." [SINGAPORE] Local stocks fell for the second straight day on Wednesday (Jun 11), bucking the gains in most Asian markets as investors are concerned about the lack of details in the recently concluded US-China trade talks. While the world's two largest economies agreed to a preliminary deal on how to implement the consensus reached in Geneva, the full details of their accord were not immediately available. US negotiators said they 'absolutely expect' that issues around shipments of rare earth minerals and magnets will be resolved with the framework implementation. Investors are also looking ahead to the latest US bond auction on Jun 12, where the Treasury is set to sell US$22 billion of 30-year government bonds. While part of its regularly scheduled borrowings, the results are keenly watched for an instant read on the scope of demand, at a time when investor appetite for 30-year US debt has soured. 'A lack of demand for US government debt would impede the rally's momentum and throw a bone to the bears,' Jose Torres, senior economist at Interactive Brokers, said in a report, referring to the recent gains in American equities. In Singapore, the benchmark Straits Times Index (STI) fell 0.4 per cent or 14.75 points to end at 3,919.05. In the broader market, gainers beat losers 310 to 183, with around 1.1 billion securities worth S$1.2 billion changing hands. Venture Corp was the top blue-chip gainer, rising 1.2 per cent or S$0.14 to S$11.38. ST Engineering was the biggest decliner, falling 1.9 per cent or S$0.15 to close at S$7.71. The trio of local banks ended lower. DBS fell 0.6 per cent or S$0.28 to S$44.87; OCBC dropped 0.7 per cent or S$0.11 to S$16.16; and UOB shed 0.4 per cent or S$0.13 to S$35.12. Markets in most of Asia closed higher, with South Korea's Kospi up 1.2 per cent and leading the advance. This was followed by Taiwan's Taiex, which gained 1 per cent. [LONDON] US and Chinese officials said on Tuesday (Jun 10) they had agreed on a framework to get their trade truce back on track and remove China's export restrictions on rare earths while offering little sign of a durable resolution to longstanding trade tensions. At the end of two days of intense negotiations in London, US Commerce Secretary Howard Lutnick told reporters the framework deal puts 'meat on the bones' of an agreement reached last month in Geneva to ease bilateral retaliatory tariffs that had reached crushing triple-digit levels. But the Geneva deal had faltered over China's continued curbs on critical minerals exports, prompting the Trump administration to respond with export controls of its own preventing shipments of semiconductor design software, aircraft and other goods to China. Lutnick said the agreement reached in London would remove restrictions on Chinese exports of rare earth minerals and magnets and some of the recent US export restrictions 'in a balanced way', but did not provide details after the talks concluded around midnight London time (2300 GMT). 'We have reached a framework to implement the Geneva consensus and the call between the two presidents,' Lutnick said, adding that both sides will now return to present the framework to their respective presidents for approvals. Sign Up Sign Up In a separate briefing, China's Vice Commerce Minister Li Chenggang also said a trade framework had been reached in principle that would be taken back to US and Chinese leaders. US President Donald Trump's shifting tariff policies have roiled global markets, sparked congestion and confusion in major ports, and cost companies tens of billions of dollars in lost sales and higher costs. The World Bank on Tuesday slashed its global growth forecast for 2025 by four-tenths of a percentage point to 2.3 per cent, saying higher tariffs and heightened uncertainty posed a 'significant headwind' for nearly all economies. The deal may keep the Geneva agreement from unravelling over duelling export controls, but does little to resolve deep differences over Trump's unilateral tariffs and longstanding US complaints about China's state-led, export-driven economic model. The two sides left Geneva with fundamentally different views of the terms of that agreement and needed to be more specific on required actions, said Josh Lipsky, senior director of the Atlantic Council's GeoEconomics Center in Washington. 'They are back to square one but that's much better than square zero,' Lipsky added. The two sides have until August 10 to negotiate a more comprehensive agreement to ease trade tensions, or tariff rates will snap back from about 30 per cent to 145 per cent on the US side and from 10 per cent to 125 per cent on the Chinese side. Global stocks have recovered their hefty losses after Trump's April 'Liberation Day' tariff announcement and are now near record highs. Investors burned by earlier turmoil offered a cautious response to the deal and MSCI's broadest index of Asia-Pacific shares outside Japan rose 0.57 per cent. 'The devil will be in the details, but the lack of reaction suggests this outcome was fully expected,' said Chris Weston, head of research at Pepperstone in Melbourne. 'The details matter, especially around the degree of rare earths bound for the US, and the subsequent freedom for US-produced chips to head east, but for now as long as the headlines of talks between the two parties remain constructive, risk assets should remain supported.' Signs of the curbs loosening surfaced in China, as several Shenzhen-listed rare earth magnet firms, including JL MAG Rare-Earth Innuovo Technology and Beijing Zhong Ke San Huan said they have obtained export licences from Chinese authorities. China holds a near-monopoly on rare earth magnets, a crucial component in electric vehicle motors, and its decision in April to suspend exports of a wide range of critical minerals and magnets upended global supply chains. In May, the US responded by halting shipments of semiconductor design software and chemicals and aviation equipment, revoking export licences that had been previously issued. A resolution to the trade war may require policy adjustments from all countries to treat financial imbalances or otherwise greatly risk mutual economic damage, European Central Bank President Christine Lagarde said on a rare visit to Beijing on Wednesday. Customs data published on Monday showed that China's overall exports to the US plunged 34.5 per cent in May, the sharpest drop since the outbreak of the Covid pandemic. While the impact on US inflation and its jobs market has so far been muted, tariffs have hammered US business and household confidence and the dollar remains under pressure. Beijing-based lawyer Peter Wu, 28, saw the talks as 'a good signal' even if details were not fully negotiated. 'I feel that fighting a trade war in the context of global integration is a lose-lose situation for both sides. I naturally hope that my motherland will be better,' he said. China, Mexico, the European Union, Japan, Canada and many airlines and aerospace companies worldwide urged the Trump administration not to impose new national security tariffs on imported commercial planes and parts, according to documents released on Tuesday. Just after the framework deal was announced, a US appeals court allowed Trump's most sweeping tariffs to stay in effect while it reviews a lower court decision blocking them on grounds that they exceeded Trump's legal authority by imposing them. The decision keeps alive a key pressure point on China, Trump's currently suspended 34 per cent 'reciprocal' duties that had prompted swift tariff escalation. REUTERS
