Arizona Sonoran Closes C$5.8 Million Private Placement with Hudbay Minerals

Yahoo10-07-2025
CASA GRANDE, Ariz. & TORONTO, July 10, 2025--(BUSINESS WIRE)--Arizona Sonoran Copper Company Inc. (TSX:ASCU | OTCQX:ASCUF) ("ASCU" or the "Company") an emerging US-based copper developer and near-term producer, is pleased to announce that further to its press release dated June 20, 2025, it has closed a C$5.8 million non-brokered private placement equity financing with Hudbay Minerals Inc. ("Hudbay") which exercised its pre-emptive rights under its Investor Rights Agreement (as defined herein) (the "Hudbay Placement").
ASCU President and CEO, George Ogilvie commented, "We appreciate Hudbay's continued support as a strategic shareholder in our brownfield copper project. Their pre-emptive rights investment reflects confidence in our progress and outlook as we continue to move toward an anticipated Final Investment Decision as early as Q4 2026. With 2025 and 2026 shaping up as pivotal and well-funded years, we are advancing Cactus from the 2024 PEA to pre-feasibility study, and laying the groundwork for necessary permit amendments, project financing, and 86k short ton life of mine average annual cathode production (as projected in the 2024 PEA). This year's work—including trade-off studies, engineering, drilling, metallurgy, and royalty reductions—we believe has significantly de-risked the Project. We are grateful to all of our other shareholders for their continuing support as we work to further de‑risk and unlock the full potential of the Cactus Project."
Pursuant to the terms of the investor rights agreement between the Company and Hudbay dated January 31, 2025 (the "Investor Rights Agreement"), Hudbay elected to exercise its pre-emptive rights in respect of the Company's C$51,750,000 bought deal public offering (see PR dated June 20, 2025) to maintain a 9.9% ownership interest in the Company. Hudbay subscribed for 2,907,612 common shares of the Company (the "Pre-emptive Right Shares") at a price of C$2.00 per Pre-emptive Right Share for aggregate gross proceeds to the Company of C$5,815,224. On closing of the Hudbay Placement, the Company has a cash position of approximately US$61.7 million, and 177,569,382 common shares outstanding.
The Pre-emptive Right Shares issued under the Hudbay Placement are subject to a statutory hold period under applicable Canadian securities laws, expiring four months and one day after closing the transaction. The Hudbay Placement remains subject to the final approval of the Toronto Stock Exchange.
Neither the Toronto Stock Exchange nor the regulating authority has approved or disproved the information contained in this press release.

The Company continues to build a healthy pipeline across enterprise, defense, and public sector markets, with line of sight to second-half activity benefiting from seasonal budget flows and ongoing strategic initiatives. These opportunities are driven by trusted client relationships, partner pull-through, and targeted business development aimed at securing multi-year, recurring contracts. Internationally, Plurilock is advancing into NATO, Middle East, and other non-U.S. defense markets, leveraging its track record with Canadian and U.S. federal clients to enter NATO-aligned markets and pursue joint defense bids with major integrators. Recent meetings with senior public sector cybersecurity leaders and procurement officials in Ottawa and Brussels reinforced Plurilock's credibility and positioning to benefit from unprecedented levels of allied government cyber and defense spending. These initiatives align with the Company's proven approach, starting with smaller, high-trust Critical Services engagements and expanding into multi-year, enterprise-scale contracts. The Company's balance sheet remains stable, with cash on hand and unused credit capacity providing sufficient liquidity. The Company has also made improvements in how working capital is managed, shortening payment terms with key customers, pulling forward cash, and tightening contractor payments. At the same time, the Company is more selective on which federal sales opportunities we pursue, reallocating resources to higher-margin Critical Services and commercial opportunities. Combined with changes in revenue recognition and a more selective, strategic bidding approach, these shifts are smoothing revenue and supporting healthier margins over time. Earnings before interest, taxes, depreciation, and amortization ("EBITDA") and Adjusted EBITDA should not be construed as alternatives to net income/loss determined in accordance with IFRS. EBITDA and Adjusted EBITDA do not have any standardized meaning under IFRS and therefore may not be comparable to similar measures presented by other issuers. The Company defines EBITDA as earnings before interest, taxes, and amortization. Adjusted EBITDA is defined as EBITDA before stock-based compensation, financing, and acquisition related expenses. The Company believes that EBITDA and Adjusted EBITDA is a meaningful financial metric for investors as it adjusts income to reflect amounts which the Company can use to fund working capital requirements, service future interest and principal debt repayments and fund future growth initiatives. Non-IFRS measures This news release presents information about EBITDA and Adjusted EBITDA, both of which are non-IFRS financial measures, to provide supplementary information about operating performance. Plurilock defines EBITDA as net income or loss before interest, income taxes, depreciation, and amortization. Adjusted EBITDA removes non-cash share-based compensation, financing, investor relations and acquisition-related expenses from EBITDA. The Company believes that EBITDA and Adjusted EBITDA is a meaningful financial metric for investors as it adjusts income to reflect amounts which the Company can use to fund working capital requirements, service future interest and principal debt repayments and fund future growth initiatives. EBITDA and Adjusted EBITDA are not intended as a substitute for IFRS measures. A limitation of utilizing these non-IFRS measures is that the IFRS accounting effects of the adjustments do in fact reflect the underlying financial results of Plurilock's business and these effects should not be ignored in evaluating and analyzing Plurilock's financial results. Therefore, management believes that Plurilock's IFRS measures of net loss and the same respective non-IFRS measure should be considered together. Non-IFRS measures do not have any standardized meaning prescribed by IFRS and are therefore unlikely to be comparable to similar measures presented by other companies. Readers should refer to the Company's most recently filed MD&A for a more detailed discussion of these measures and their calculations. Trump's White House Joins TikTok

President Trump has started an official White House account on TikTok, deepening his ties with the Chinese-owned social media company as he repeatedly declines to enforce a federal law that would ban the company's app because of national security concerns. The first post by @WhiteHouse on TikTok — showing Mr. Trump at various events while dramatic music plays — referenced a viral video on the social media site that featured footage from the movie 'Creed' and music by the rapper Kendrick Lamar. The White House's embrace of TikTok continues a remarkable turnabout for Mr. Trump, who tried to ban the platform in his first term. Mr. Trump created a personal account in June 2024, and his popularity on the app soared amid his effort to court TikTok's predominantly younger voters. Donors to Mr. Trump and the company's executives have also undertaken a lobbying effort to prevent TikTok from going dark in the United States. Mr. Trump's return to TikTok — the last post on his personal account was on Election Day — is the latest sign that he has little intention of enforcing the national security ban on the app. The ban stemmed from a 2024 law that requires app stores and cloud computing providers to stop distributing or hosting TikTok unless it is sold by its Chinese parent company, ByteDance. A bipartisan coalition in Congress passed the law over concerns that the Chinese government could use the app to gather information about Americans or spread propaganda. After drawing a devoted following on TikTok that supported his successful re-election bid, the president-elect threw the app an unexpected lifeline in its quest to continue operating in the United States. Hours after the federal law banning the app took effect in the final days of the Biden administration, Mr. Trump said that he would issue an executive order to delay the enforcement of the ban. The law has a section allowing Mr. Trump to grant a 90-day extension if a buyer is found, but only if there is 'significant progress' toward a deal that puts TikTok in the hands of a non-Chinese company.
