Indigenous groups ask Chile court to pause community review of Codelco-SQM lithium deal
SANTIAGO (Reuters) -Two Indigenous groups in northern Chile have asked a local court to suspend a state-led community review process that is required for a lithium partnership between copper giant Codelco and lithium miner SQM, according to legal documents reviewed by Reuters.
The Indigenous community of Coyo and the Atacameno Association of Irrigators and Farmers of San Pedro de Atacama each independently filed legal challenges last week with a Chilean appeals court in the Antofagasta region, accusing Chilean economic development agency Corfo of not properly carrying out a consultation process to seek their input on the partnership.
The process is one of the final conditions for a deal to go into effect in which state-run Codelco will take a majority stake in SQM's lithium mining operations in the Atacama salt flat.
The Coyo community and the Atacameno Association of Irrigators and Farmers, which has Indigenous members, said they needed more information and time to be able to provide informed consent on the plan.
The Antofagasta court on Friday accepted their challenges, according to a court document. It ordered Corfo to respond to the allegations within 15 days, and asked Codelco and SQM to provide comments.
Corfo told Reuters that the consultation process was still in progress.
"The Indigenous consultation process with the Atacama Indigenous organizations is moving forward and has been carried out in accordance with the regulations," the agency said in a statement.
Codelco declined to comment, while SQM did not immediately reply to a request for comment.
The Indigenous consultation, which was led by Corfo and included a few dozen community groups located around the Atacama salt flat, was due to conclude around late July.
SQM and Codelco are separately holding talks with communities near the salt flat to discuss a model for Indigenous oversight over lithium extraction.
The Coyo community and Atacameno Association of Irrigators and Farmers both asked the court to suspend the process until a new methodology for the community review could be implemented, and more information provided.
Both groups said Corfo had not provided enough detail about the proposed contract between Codelco and SQM and argued that the consultation's timeline between November 2024 and July 2025 was too fast to allow for detailed analysis.
They also said Corfo at several points did not act in good faith, and did not meet the standards set out by the International Labour Organization, a U.N. agency.
"This situation directly affects the fundamental rights of the Community by limiting its influence over decisions that impact its territory, environmental surroundings, and collective rights, thereby violating constitutional guarantees," the Coyo community said in its court filing.

Canada's First Quantum to explore gold pre-payment deal from Zambian mines
By Divya Rajagopal TORONTO (Reuters) -Canadian miner First Quantum Minerals is exploring a gold pre-payment deal from its Zambian mines to boost its balance sheet, CFO Ryan MacWilliam told analysts on Thursday, as the company looks at new options to raise funds beyond a stake sale. The company was exploring a minority stake sale of its two Zambian mines last year. On Thursday, First Quantum said while the stake sale is not off the table, it will be exploring gold streaming deals from its Kansanshi mine in Zambia. "We have obviously seen record high gold prices, that means the gold pre-payment or streaming market is strong, it is obviously an active market, and that gives a variety of options from a financial perspective, in addition to those we have talked about before," MacWilliam said on an analyst call discussing the company's quarterly results. Gold streaming is a financing mechanism in which a buyer makes an up-front payment to a miner in exchange for purchasing future production from the miner, usually at a predetermined price. Shares of First Quantum were last trading up 1% on the Toronto Stock Exchange. The two mines in Zambia are crucial assets for First Quantum after the shutdown of its Cobre Panama copper mine in 2023 following a dispute with the Panamanian government. The company said it continues to have active discussions with Panamanian officials to bring about a resolution. Panama's top court ordered the closure of the mine after large public protests against it. After months of negotiations, Panama President Jose Mulino allowed the company to export copper concentrate from the mine in June, which was mined before the previous government ordered the shutdown. First Quantum said it is spending $15 million per month on the care and maintenance of the Cobre Panama mine, a figure that is expected to go up to $17 million to $18 million by the end of this year. According to RBC Capital Markets, the company ended the quarter with $745 million in cash and $6.2 billion in debt compared to $751 million in cash and $6.5 billion in debt at the end of the first quarter of 2025. Capricorn Metals to acquire Warriedar Resources in Australia
Capricorn Metals and Warriedar Resources have announced a binding scheme implementation deed under which Capricorn will acquire 100% of the securities in Warriedar by way of a Court-approved scheme of arrangement. This acquisition is structured to provide Warriedar shareholders with a fixed exchange ratio of one new Capricorn share for every 62 Warriedar shares. Upon the implementation of the scheme, Warriedar shareholders will own approximately 4.36% of all issued shares in Capricorn. Based on Capricorn's closing price of A$9.60 ($6.32) per share on 23 July 2025, the transaction suggests a value of approximately A$0.155 per Warriedar share, which represents a 29% premium over Warriedar's closing share price of A$0.12 on 23 July 2025. The scheme is contingent upon several conditions including an independent expert's conclusion that it is in the best interests of Warriedar shareholders. Additionally, customary conditions such as regulatory approvals and the absence of material adverse changes must be satisfied. Capricorn gains ownership of Warriedar's flagship Golden Range project through the acquisition. The project encompasses the Ricciardo gold-antimony deposit and the Fields Find gold project, all situated 90km north of Capricorn's promising Mt Gibson gold project. Capricorn executive chairman Mark Clark said: 'This is a compelling transaction for all stakeholders, and we believe that combining Capricorn and Warriedar represents a unique opportunity to generate value for shareholders of both companies. 'This acquisition is on-strategy and continues the expansion of Capricorn's Mt Gibson exploration and development footprint and adds resource ounces, highly prospective exploration targets and valuable infrastructure, which will further enhance what is clearly one of the best development projects in the Australian gold industry.' In addition to the share acquisition, the parties have agreed on a separate scheme of arrangement for the outstanding Warriedar listed options. Under this option scheme, Warriedar listed options will be exchanged for new Capricorn options at the same exchange ratio as the share scheme. The existing A$0.10 exercise price per listed option will be adjusted to A$6.20, maintaining the same expiry date of 11 April 2028. The option scheme is conditional upon the approval of the scheme for Warriedar shares by the requisite majority. The Warriedar Board has unanimously recommended that listed optionholders vote in favour of the option scheme, provided no superior proposal emerges and an independent expert concludes that it is in the best interests of the option-holders. Additionally, Warriedar performance rights must be cancelled or vested as a condition of the scheme, with the resulting Warriedar shares subject to the scheme. Capricorn also intends to enter into private treaty arrangements with holders of unlisted options in Warriedar. Warriedar non-executive chairman Mark Connelly said: 'In addition to delivering an attractive premium, this transaction allows Warriedar shareholders to retain ongoing but significantly de-risked, exposure to the exploration and development of the Golden Range project, more diversified enterprise with a strong balance sheet, cash flow generation and technical expertise, all of which will support the successful exploration and development of the Ricciardo gold-antimony deposit.' Longreach Capital is serving as financial adviser for Capricorn, while Corrs Chambers Westgarth is the legal adviser for the scheme. Warriedar has engaged Discovery Capital Partners as its financial adviser and Thomson Geer as its legal adviser. In May, Sabre Resources completed the sale of its Ninghan gold project tenements in the southern Murchison region of Western Australia to Capricorn Metals for A$1.6m.
