Johnson Fistel Launches Probe into Skechers Go Private Deal

Business Wire17-06-2025
SAN DIEGO--(BUSINESS WIRE)--Johnson Fistel, PLLP, a leading shareholder rights law firm, has commenced an investigation into whether the board of directors of Skechers U.S.A., Inc. (NYSE: SKX) breached its fiduciary duties in connection with the proposed sale of the Company to 3G Capital Corp. ('3G'). The inquiry focuses on the fairness of the consideration being offered to Skechers' public shareholders and whether the transaction reflects full and fair value for all shareholders.
Over the twelve months preceding the announcement of the deal, Skechers common stock traded at levels approaching $80.00 per share, raising potential concerns
Share
On May 5, 2025, Skechers entered into a definitive agreement under which 3G will acquire all outstanding shares of common stock in a go-private transaction. Under the terms of the agreement, each holder of Skechers common stock may elect to receive either: • $63.00 in cash per share, or • $57.00 in cash per share plus one unit in the post-closing private entity controlled by 3G.
Over the twelve-month period preceding the announcement of the deal, Skechers common stock traded at levels approaching $80.00 per share, raising potential concerns that the proposed cash consideration and equity rollover option may undervalue shareholder interests.
Johnson Fistel's investigation will examine, among other issues: • Whether Skechers' board of directors satisfied its fiduciary duty to secure the highest attainable cash consideration for public shareholders; • The process by which the board evaluated strategic alternatives and negotiated deal terms; • The adequacy of the disclosure provided to investors regarding the proposed go-private transaction; and • Any conflicts of interest that may have influenced the board's recommendation.

24/7 Market News: VENU Exceeds Development Demand Expectations Through Ryan LLC Partnership

Active Discussions Now Underway with 38 Municipalities DENVER, Aug. 19, 2025 (GLOBE NEWSWIRE) -- a pioneer in digital media dedicated to the swift distribution of financial market news and corporate information, reports that VENU (NYSE American: VENU), a trailblazer in premium hospitality and live entertainment, is now in active discussions with 38 municipalities across the United States regarding the potential development of VENU entertainment campuses, a sharp outperformance relative to original stated targets. When VENU's relationship with Ryan, LLC was first announced, the shared objective was to secure two new development agreements per quarter, a pace the Company believed would reflect healthy and sustainable growth. However, according to VENU's Founder, Chairman & CEO, J.W. Roth, 'Our municipal pipeline now includes 38 communities engaged in conversations about bringing VENU to their area. To accelerate these agreements, we have a strong partnership with industry leader, Ryan. This three-year partnership is tasked with delivering two new municipalities every quarter and, on average, we can expect to add between $150 to $300 million to our balance sheet, with each delivered development agreement.' This is a strong indicator that the market is not only receptive but hungry for what VENU is building. VENU's state-of-the-art hubs for live entertainment are designed to be economic engines, driving tourism, job creation, and cultural impact. The level of inbound interest VENU is receiving is proof that communities are recognizing the value we can deliver. Roth emphasized that not all of the 38 municipal discussions will necessarily lead to finalized agreements, but he framed the engagement level as a powerful signal of the Company's momentum. Initially tasked with securing two new public-private partnership agreements per quarter, the Ryan relationship, announced in April 2025, has far exceeded this goal. Ryan, which focuses on navigating public-private partnership structures and tax incentive strategies, has significantly outperformed expectations and has been a catalyst for accelerating VENU's municipal outreach and development pipeline. Ryan's expertise in structuring public-private partnerships and securing economic incentives has opened doors to an unprecedented number of communities eager to bring VENU's vision to life. The Company projects that each finalized development agreement could add between $150 to $300 million to its balance sheet, further strengthening its financial position. Roth concluded, 'The future that we've been building toward is right in front of us and it's coming fast. We are on pace to add more than $5 billion in completed project value in the next 36 to 48 months and, if Q2 is any sign, we've laid the foundation for things to come.' VENU plans to provide further updates as discussions progress and definitive agreements are reached. ICE Announces Its Treasury Clearing Application and Rulebook

ATLANTA & NEW YORK--(BUSINESS WIRE)--Intercontinental Exchange, Inc. (NYSE: ICE), a leading global provider of technology and data, today announced that the application and rulebook of ICE Clear Credit to expand its current registered clearing agency designation to add U.S. Treasury clearing has been published by the U.S. Securities and Exchange Commission (SEC). This publication is a key step in the regulatory approval process needed for the company's plans to launch a U.S. Treasury clearing service. Subject to regulatory approval, ICE Clear Credit plans to launch its Treasury clearing service later this year, which will give the market an opportunity to voluntarily clear for a period before the mandate goes into effect. 'We're thrilled to see this next milestone as we work to familiarize customers with our plans to launch a Treasury clearing service later this year,' said Paul Hamill, Chief Commercial Officer of ICE Clear Credit. 'The rulebook underpins our access model, allowing customers to clear U.S. Treasury securities the same trusted way Credit Default Swap (CDS) products are currently cleared. This model allows us to leverage the industry-accepted tools we already have in place, such as ICE Link, for trade matching, porting and connectivity across platforms.' ICE's proposed service will leverage its leading global clearing house, ICE Clear Credit, which currently clears CDS instruments, to offer clearing for U.S. Treasury securities and repurchasing agreements. The Treasury clearing service is being established as a distinct offering from the current CDS clearing service with a separate rulebook, membership, risk management framework, financial and liquidity resources, and risk committee. ICE's Treasury clearing solution will allow for both 'Done Away' and 'Done With' implementation, which allows market participants to choose their preferred clearing method. This is the same process that is used daily to trade and clear financial products through ICE's global clearing houses. 'By leveraging our experience to establish and operate ICE Clear Credit, as well as several other exchanges and clearing houses, we've been able to expediently develop a robust and flexible solution that will provide market participants with the ability to clear U.S. Treasury securities in a trusted and capital efficient environment,' said Stan Ivanov, President of ICE Clear Credit. 'ICE Clear Credit has become the leading global clearing house for credit derivatives, and we believe our newly developed clearing offering will provide a solid foundation to support the risk management needs of participants throughout the Treasury market.' ICE Clear Credit, launched by ICE in 2009 to bring centralized clearing to the CDS market, enables clearing of more than 670 Single Name, Index, and Index Option CDS instruments referencing corporate and sovereign debt. ICE Clear Credit clearing has reduced counterparty risk exposure for parties to trades with a combined notional amount of over $385 trillion, with current open interest at ICE Clear Credit over $2 trillion. ICE Clear Credit has been designated a systemically important financial market utility (SIFMU) by the Financial Stability Oversight Council, and is a qualified central counterparty under U.S. bank capital rules. TYSONS, Va.--(BUSINESS WIRE)-- Maximus (NYSE: MMS), a leading technology company and provider of government services, announced it achieved Cybersecurity Maturity Model Certification (CMMC) Level 2 confirming the company's ability to secure national defense data and meet stringent Department of Defense (DoD) cyber mandates. Maximus secured this certification through a rigorous Certified Third-Party Assessor Organization (C3PAO). 'Achieving CMMC Level 2 confirms that Maximus now meets the Defense Department's rigorous cybersecurity standards,' said Derrick Pledger, Chief Digital & Information Officer, Maximus. 'This extends to the defense and Veterans health programs we support every day, giving government leaders confidence in the security of sensitive data while missions move forward with speed and resilience.'
