When it comes to company culture, Bill Phelps, the CEO of Dave's Hot Chicken and former CEO of Wetzel's Pretzels, doesn't compromise.
The 69-year-old CEO says the biggest red flag he looks out for when running his business is "toxic" people — those who lack the empathy to support their teams and the generosity to share their success with others.
It's an offense that can even lead to termination, he says.
"I take no pride in firing people, but I take pride in having an incredible culture," Phelps tells CNBC Make It. "You have to do the things that are necessary to maintain that incredible culture."
Toxic people will show up in every organization, Phelps says: "It's human nature." While tolerance for difficult behavior may vary, Phelps says he's learned from experience that the best approach is to adopt a zero-tolerance policy.
That's because "the toxic tone is contagious," Phelps says. It's up to a manager, or CEO, to spot toxic behavior and take the necessary steps to eliminate it quickly while promoting and investing in employees who foster a positive culture, he adds.
Since taking the helm of Dave's Hot Chicken in 2019, Phelps has grown the Pasadena, California-based company from a single store to over 300 locations globally. The company has also sold the rights to about 1,000 more locations, Phelps told CNBC's "Squawk Box" last week.
Phelps also says he's not afraid to ask franchisees to leave the organization if he feels it's necessary — often through an honest conversation that gives a store operator the chance to sell their business rather than being forced out, he says.
"That's a tough conversation, but it's the right conversation for the whole system," Phelps says.
Phelps says toxic employees lack generosity and positivity in the workplace, but there may be other warning flags as well.
Tom Gimbel, CEO of staffing and recruiting firm LaSalle Network, looks out for entitled employees that expect a promotion or a raise without going the extra mile. Meanwhile, Talia Fox, CEO of executive consulting firm KUSI Global, says her biggest red flag is employees who refuse to take responsibility for their mistakes and instead blame others, the CEOs said in 2024.
"Owning your mistakes and having a high level of integrity is so critical," Fox said. "Just show up and have some honesty around it."

By Scott Murdoch SYDNEY (Reuters) -Shein's planned listing in Hong Kong will help the online fast-fashion retailer avoid sharp investor scrutiny of its supply chains while tapping into capital from the mainland and emerging market investors, analysts said. The Singapore-headquartered company has turned its public market debut ambitions to Hong Kong after failing to win Chinese securities regulatory approval to proceed with a London initial public offering, Reuters reported last month, citing sources. While a listing, if successful, would be a big boost for Hong Kong, the move would cast a cloud over the company's efforts in recent years to gain legitimacy as a global, rather than a Chinese company. Shein, which sells products including $5 bike shorts and $18 sundresses, has faced political and environmental group pressure in the UK over its cotton sourcing and supply chain practices. It has also faced allegations that its clothes contain cotton from China's Xinjiang region, where the U.S. and NGOs have accused the Chinese government of human rights abuses and forced labour. Beijing denies any abuses. The company, which moved its headquarters from China to Singapore in 2022, has previously said it has a zero-tolerance policy for forced labour and requires its contract manufacturers to only source cotton from approved regions. "If it is the only option now open to them, the Hong Kong market does make sense as a place where you could list a global business with a mainland supply chain," said Eliot Fisk, a Hong Kong capital markets consultant and former JPMorgan banker. Shein did not respond to a Reuters request for comment. Before its attempt to list in London, Shein had pursued a listing in New York. The China-founded company had also faced regulatory hurdles and pushback from U.S. lawmakers in its attempt to list in the United States. "Listing in Hong Kong would also likely dodge the protests and political pushback it might face in the UK," said Craig Coben, former Bank of America co-head of capital markets in Hong Kong. While it is not known whether Shein plans to seek any waivers for a potential Hong Kong listing, several waivers, including disclosure-related waivers, can be sought by large IPO hopefuls in the Asian financial hub, according to capital market lawyers. A Hong Kong listing would also allow Shein to eventually be added to the city's Stock Connect scheme which gives easier access for mainland and Hong Kong-based investors to buy shares on each country's respective markets more easily. Shein would easily meet the market capitalisation and other criteria for inclusion in the connect scheme and for attracting mainland investment, said Hong Kong-based advisory firm Emmer Capital Partners CEO Manishi Raychaudhuri. There was a 255% year-on-year increase in average daily turnover in the first three months of the year in Southbound trading, mainland investors buying and selling Hong Kong stocks, the Hong Kong Exchange said in its first quarter results. "Hong Kong would have a dominant presence of Asia and emerging market-focused investors. London on the other hand, would have a significant presence of global and developed market investors," Raychaudhuri said. By Richa Naidu LONDON/ABIDJAN (Reuters) -Unilever workers in Ivory Coast say the global consumer goods giant is violating their collective bargaining agreement in refusing to ensure severance pay if layoffs take place after the company sells its business there, documents show. British-based Unilever is selling all of its shares in its struggling Ivory Coast unit, which employs some 160 people, to a local consortium of investors led by wholesale distributor Société de Distribution de Toutes Marchandises Côte d'Ivoire (SDTM). Unilever Cote d'Ivoire manages the consumer giant's domestic and international brands in Ivory Coast, but SDTM will only take over Unilever's domestic brand business, according to an internal memo dated April 8. Unilever has not said how its international brands will be sold in Ivory Coast in future. Workers began staging protests at Unilever offices in Abidjan on April 25, fearing the unit's falling turnover in recent years and the loss of the international brand business will trigger layoffs after the sale, which is expected to close by June 20. Their collective bargaining agreement with Unilever, seen by Reuters, states that in the event of layoffs associated with disposing of its Ivory Coast business, Unilever will give employees severance pay equal to "one month of average gross salary per year of seniority, with a maximum of 18 months." The bargaining agreement, dated from 2004, was confirmed by management in 2007 and remains valid, according to Lex Ways lawyer Soualiho Lassomann Diomande, who represents local staff. The agreement also pledges "medical coverage for a maximum period of six months." A Unilever spokesperson did not comment on the agreement. However, in a meeting at the Labor Inspectorate in Abidjan on April 25, the head of Unilever Cote d'Ivoire, Arona Diop, stated that workers' rights and salaries would be decided by SDTM, and not regulated by the collective bargaining agreement, according to minutes of the meeting reviewed by Reuters. Unilever confirmed it was selling the Ivory Coast unit but said in a statement to Reuters: "the proposed transaction is by way of a sale of shares, which does not result in the termination of employees' contracts." "Severance pay is not therefore relevant, as employment continues," it added. Unilever's international brand portfolio has accounted for more than 60% of Unilever Cote d'Ivoire's turnover, according to three Ivory Coast employees, which totalled 34.6 billion CFA Franc in 2023. Since the share sale excludes the most important brands, job security is at risk, said Diomande. Moreover, under article 16.6 of the Ivorian Labor Code, any substantial modification of an employment contract requires the prior agreement of the employee, Diomande added. "No assurances have been given regarding job security," said a Unilever Ivory Coast employee, who did not wish to be named. CONTRAST WITH EUROPE The severance rights Unilever guaranteed under the collective bargaining agreement are a lot more generous than required under Ivory Coast labour law, according to Diomande as well as two workers interviewed by Reuters. According to the International Labor Organization's EPLex database website, workers in Ivory Coast are entitled to severance pay equal to 30% of their gross monthly wage per year for those who have worked up to five years. The percentage rises to 35% from the sixth to the 10th year and 40% for above 10 years of service. Unilever said early last year it would axe 7,500 jobs globally as part of a turnaround to save about 800 million euros ($913.12 million). Diomande said Unilever's treatment of its Ivory Coast staff contrasted sharply with how it treated staff in Europe. Last month Unilever agreed to guarantee its ice cream workers' employment terms in Europe and Britain for at least three years after the business' spin-off, Reuters reported, tripling the usual period in such deals despite no legal requirement to do so. The generous terms agreed in Europe reflect the power of local unions and strict labour laws on the continent. Workers in the Ivory Coast told Reuters they had asked Unilever to guarantee the same conditions, including severance pay, for two years, one less than what was granted to roughly 6,000 Unilever workers affected by the ice cream spin off in Europe and Britain. "Not applying the same conditions in Ivory Coast is unequal treatment and negative discrimination," Diomande said. "This is a serious injustice." ($1 = 571.0000 CFA francs) ($1 = 0.8761 euros)
