India's largest lender State Bank of India (SBI), and seven other top lenders like HDFC Bank, Kotak Mahindra Bank, ICICI Bank, and Axis Bank, among others, are cumulatively offloading a 20% stake in YES Bank in favour of Japan's Sumitomo Mitsui Banking Corporation (SMBC), the private lender informed exchanges on Friday, May 9.
SBI announced that it will sell a 13.19% stake held in YES Bank to SMBC for a consideration of ₹ 8,889 crore. SBI will offload 4,13,44,04,897 equity shares, amounting to a 13.19% stake, of YES Bank to Sumitomo Mitsui Banking Corporation at ₹ 21.50 per equity share.
'Pursuant to Regulation 30 and other applicable provisions of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we advise that the Executive Committee of the Central Board (ECCB) of the Bank, in the meeting held on 9th May, 2025, has accorded approval to divest 4,13,44,04,897 equity shares of YES Bank Limited (YBL), being equivalent to approximately 13.19% of YBL's shares, to Sumitomo Mitsui Banking Corporation (SMBC) at Rs. 21.50 per equity share," SBI said in a filing.
The total consideration for this transaction amounts to ₹ 8,888,97,05,285.50 (approximately ₹ 8,888.97 crores), subject to receipt of all regulatory and statutory approvals by the acquirer, it added.
SBI held a 23.97% stake in YES Bank as of the March 2024 quarter. Following the deal, its stake in the company would drop to 10.78%.
The stake sale is subject to receipt of all regulatory and statutory approvals by the acquirer, it said. The said stake sale is expected to be completed within 12 months from the date of execution, SBI added.
Additionally, HDFC Bank, ICICI Bank, Kotak Mahindra Bank, Axis bank, IDFC First Bank, Federal Bank and Bandhan Bank will collectively sell 2,136,830,297 equity shares, representing 6.81% stake, of YES Bank to Sumitomo Mitsui Banking Corporation.
ICICI Bank, HDFC Bank, Kotak Mahindra Bank, Axis Bank and Life Insurance Corporation of India together hold an 11.34% stake in Yes Bank.
It was first in 2020 that these companies had acquired stakes in YES Bank, as part of RBI's bailout plan to stabilise the troubled private lender. These investments were part of a ₹ 10,000 crore infusion to recapitalise YES Bank and facilitate its restructuring under the RBI's guidance.
Mint was the first to report that Japan's SMBC has secured the Reserve Bank of India's (RBI) go-ahead to acquire 51% in Yes Bank. SMBC will either buy less than 26% in YES Bank and do a merger through a share swap, or may buy up to 26% and launch an open offer, Mint had reported.
Sumitomo Mitsui Banking Corporation is a Japanese multinational financial services company belonging to the Sumitomo Mitsui Financial Group. It has a market capitalisation of nearly ₹ 7.601 lakh crore.
YES Bank shares closed the session nearly 10% higher at ₹ 20 apiece on the BSE ahead of the announcement.

The post begins with the techie saying that he joined the company as a fresher in 2022 on a CTC of Rs 8.5 lakh. 'From day one, the environment felt toxic and manipulative — you could clearly sense the unhealthy hierarchy and how everyone in tech was focused on pleasing a particular senior person rather than doing meaningful work," he said. In the 2024 appraisal cycle, the employee listed his achievements. He said that most of the management appreciated his work, but 'that one influential person didn't". The user said that this was because he was not one of those trying to please that person constantly. The employee resigned in April 2024, but was retained with the promise of being given a 55% hike one year later, that is in April 2025. This was only a verbal agreement with no written record. During the 2025 appraisal cycle, he got only a 37% hike instead of 55% as promised. However, this was not the reason for his resignation. The user explains the backdrop by stating that he got engaged in December 2024, married in February 2025, and lost his father in April 2025. During the appraisal, he had a one-on-one meeting with his team lead, who said, 'You should have resigned around your wedding, do you even realize how much your marriage delayed the work? Because of your father's situation and the leave you took, my timeline commitment couldn't be fulfilled." This stunned the techie. 'That was the final straw for me. I looked at him and said very calmly, 'Please watch what you're saying and think before you speak. Choose your next words carefully,'" he said. Finally, the employee resigned on June 3 without a job offer. 'I'm honestly unsure whether this was the right call — the job market is tough, and I'm not fully prepared for interviews yet," the user posted. The post saw several reactions on Reddit. 'Name and shame the company so that others don't have to go through what you went through," said one user. 'I know how it is to be under a toxic person. GST breather for Infosys: DGGI closes ₹32,400 cr pre-show cause notice

The Director General of GST Intelligence has closed pre-show cause notice proceedings against Infosys for financial years 2018-19 to 2021-22, involving a GST amount of Rs 32,403 crore, the company said in a statutory filing. With the receipt of the communication from DGGI, "this matter stands closed", India's second-largest IT company Infosys said. "In continuation to our earlier communications on July 31, 2024; August 1, 2024, and August 3, 2024, on GST, this is to inform that the company has today received a communication from the Director General of GST Intelligence (DGGI), closing the pre-show cause notice proceedings for the financial years 2018-19 to 2021-22," the company said in a filing late Friday evening. Infosys said it had received and responded to a pre-show cause notice issued by DGGI for the period July 2017 to March 2022 on the issue of non-payment of IGST under the Reverse Charge Mechanism. "The GST amount, as per the pre-show cause notice for this period, was Rs 32,403 crore. The company had on August 3, 2024, received a communication from DGGI, closing the pre-show cause notice proceedings for the financial year 2017-2018. With the receipt of today's communication from DGGI, this matter stands closed," Infosys said.
