Groww IPO: The parent company of stock broking firm Groww, Billionbrains Garage Ventures, has filed a draft red herring prospectus (DRHP) with the stock market regulator Securities and Exchange Board of India for an initial public offering (IPO).
The DRHP, filed on May 24, is via a confidential pre-filing route. According to a PTI report, citing sources, Groww could look to raise between $700 million to $1 billion via the initial share sale.
Groww, which is India's fastest-growing retail broking platform, is backed by several marquee investors like Peak XV, Tiger Capital, and Microsoft CEO Satya Nadella.
As per the PTI report, Groww is looking to use the proceeds from the IPO, which is a combination of fresh share sale and offer for sale (OFS), for investment in technology development and business expansion.
To manage the offering, Groww has appointed JP Morgan India Private Ltd, Kotak Mahindra Capital Company Ltd, Citigroup Global Markets Private Ltd, Axis Capital Ltd, and Motilal Oswal Securities Ltd.
The company plans to list its shares on the mainboard — the National Stock Exchange and BSE Limited.
Groww is a Bengaluru-based investment platform founded in 2016 by former Flipkart executives Harsh Jain, Lalit Keshre, Neeraj Singh, and Ishan Bansal.
For the full financial year 2023-2024 (FY24), Groww reported strong financial growth despite a one-time tax hit.
The company incurred a net loss of ₹ 805 crore for the year, primarily due to a one-time tax expense of ₹ 1,340 crore related to shifting its domicile from the US to India. Operationally, Groww remained profitable, posting an operating profit of ₹ 535 crore in FY24—up 17% from ₹ 458 crore in FY23.
Groww's revenue more than doubled to ₹ 3,145 crore in FY24, a 119% increase from ₹ 1,435 crore in the previous year.
Earlier this month, Singapore's sovereign wealth fund GIC sought fair trade regulator CCI's approval to acquire a 2.14% stake in Billionbrains Garage Ventures, a PTI report on May 15 said.
Groww, like many other companies lately, has opted for the confidential pre-filing route. It's a mechanism that allows companies to withhold the details before making their IPO plans public.
This route is gaining traction among Indian firms aiming for flexibility in their IPO plans.
Unlike the traditional route, which requires companies to launch their IPOs within 12 months of receiving Sebi's approval, the pre-filing route extends this window to 18 months from the receipt of final comments. Additionally, firms can modify the primary issue size by up to 50 per cent until the updated DRHP stage.
Several prominent companies like Shiprocket, Tata Capital, PhysicsWallah and Imagine Marketing have opted for confidential pre-filing of their IPOs.
Tata Play, formerly Tata Sky, was the first Indian company to utilise the confidential filing option in December 2022 and received Sebi's observation letter in April 2023, though it later withdrew from the public issue, according to a report.

The offer received bids for 63.70 crore shares as against 1.12 crore shares on offer. The initial public offer of Scoda Tubes received bids for 63,70,47,300 shares as against 1,18,46,169 shares on offer, according to stock exchange data at 17:30 IST on Friday (30 May 2025). The issue was subscribed 53.78 times. The issue opened for bidding on 28 May 2025 and it will close on 30 May 2025. The price band of the IPO is fixed between Rs 130 and 140 per share. Ahead of the IPO, Scoda Tubes on Tuesday, 27 May 2025, raised Rs 65.99 crore from anchor investors. The board allotted 4,714,200 shares at Rs 140 each to 6 anchor investors. Scoda Tubes, incorporated in 2008, is a Gujarat-based manufacturer of stainless steel seamless and welded tubes and pipes. It operates a single manufacturing facility in Mehsana with a strong focus on seamless products, which contribute over 85% of revenue. The company serves both domestic and international markets across industries like oil & gas, chemicals, power, pharma, and transportation, exporting to over 11 countries. Scoda is ISO and PED certified and markets its products under the brand Scoda Tubes. The firm reported a consolidated net profit of Rs 24.91 crore and total income of Rs 361.17 crore for the nine months ended on 31 December 2024.

Shapoorji Pallonji Group secures $3.4 billion in private credit deal
MUMBAI: Indian real estate and construction conglomerate Shapoorji Pallonji Group has completed a $3.4 billion financing in the country's biggest ever private credit deal, according to people familiar with the matter. About a dozen large investors - some using multiple funds - bought zero-coupon rupee bonds that offer a yield of 19.75%, the people said, asking not to be identified because the information is private. The debt matures in three years. Top investors include Ares Management Corp , Cerberus Capital Management , Davidson Kempner Capital Management and Farallon Capital Management, people said. Deutsche Bank acted as the sole arranger of the deal and also invested in it. Deutsche invested about $900 million and will down-sell a portion of the debt, the people said, adding that Cerberus and Davidson bought about $475 million and $425 million worth of bonds, respectively. Indian investors also participated in the deal, with ASK Wealth Advisors and some family offices buying a portion of the offering, the people said. EAAA India Alternatives Ltd., one of the country's largest domestic private credit funds, bought about $85 million of the bonds, said one of the people. The financing is a landmark in India's growing private credit industry, which is getting a boost as Prime Minister Narendra Modi's infrastructure push increases funding demands for everything from solar power to roads. A representative for Shapoorji didn't immediately respond to requests for comment outside of normal business hours. Davidson Kempner declined to comment. Ares, Cerberus, Farallon, EAAA and ASK did not immediately reply to Bloomberg's requests seeking comments.
