Legit deal: CompCom greenlights Pepkor's R1.9bn fashion brands acquisition

JSE-listed retail giant Pepkor has received the green light from the Competition Commission (CompCom) to acquire five retail store brands – Legit, Style, Boardmans, Swagga and Beaver Canoe – from the unlisted Durban-based group Retailability.
The CompCom confirmed the decision in a statement on Monday. It follows Pepkor and Retailability announcing the approximately R1.9 billion cash deal in March, which would include around 462 stores (within the five brands) across South Africa, Botswana, Lesotho, Namibia and Eswatini.
The CompCom said that it 'recommended that the Competition Tribunal approves the proposed transaction whereby Pepkor Trading intends to acquire the target businesses [the five brands]'.
'The commission is of the view that the proposed transaction is unlikely to substantially lessen or prevent competition in any market,' it noted.
However, its green light comes with conditions.

Conditions
'To address public interest concerns, the acquiring firm [Pepkor Trading] will employ the target businesses' employees on terms and conditions that are no less favourable than the current employment terms and conditions,' the CompCom said.
'In addition, the acquiring firm shall not retrench any employees of the target businesses because of the merger.
'Lastly, the merged entity has also undertaken to maintain or increase the proportion of local procurement from small to medium enterprises and providers that are owned by historically disadvantaged persons,' it added.
When Pepkor and Retailability announced the deal earlier this year, the companies noted that the Edgars, Edgars Beauty, Red Square, Kelso and Keedo businesses 'are not included in the proposed transaction and will continue to be operated by Retailability'.
Pepkor said at the time that the deal is driven by its intention to expand its market share in adult wear through organic and acquisitive growth strategies.

In its statement, the CompCom noted that 'the primary acquiring firm, Pepkor Trading, is controlled by Pepkor Holdings Limited… Pepkor Holdings is a public company listed on the Johannesburg Securities Exchange [JSE] and is not controlled by a single shareholder.
'Pepkor Holdings controls a number of firms incorporated both inside and outside of South Africa… Pepkor Holdings has four operating segments but only two are relevant for the purposes of the proposed transaction.'
The CompCom said these include the clothing and general merchandise segments, which include all clothing, footwear and homeware retail brands under Pepkor Speciality; and the furniture, appliances and electronics segment under Pepkor Lifestyle.
It added that the 'target businesses' are controlled by Retailability SA.

'The target businesses' activities in South Africa are as follows: Legit sells ladies' fashion/apparel and various beauty products. Swagga consists of Swagga/Beaver Canoe stores that sell apparel for men and boys.
'Style sells men's and women's contemporary and formal fashion wear, as well as kids' clothing and cellular products. Boardmans consists of an online-only store selling appliances and homeware products,' the CompCom highlighted.
Retailability had purchased the Legit chain from Edcon years before the latter went into business rescue following the Covid-19 fallout. Later, during Edcon's business rescue process, Retailability also purchased the Edgars chain for an undisclosed amount.
Edcon is now a defunct holding company, after Jet stores was also sold as part of the business rescue to JSE-listed TFG.

This results in an overall tax charge of A$15.1m for the Group. The group now expects a basic (loss) of earnings per share of between 69.0 to 72.5 Australian cents for the year ended June 30, 2025 an increase of more than 100% from 20 Australian cents reported in June 30, 2024. Air Canada's unionised flight attendants walked off the job early on Saturday morning after pay talks with the country's largest carrier stalled, in a move that is expected to disrupt travel plans for more than 100,000 passengers. The union representing more than 10,000 Air Canada flight attendants confirmed the 72-hour stoppage in a social media post in the first strike by flight attendants since 1985. The airline said on Saturday it had suspended all flights for Air Canada and its budget arm Air Canada Rouge, after cabin crew represented by the Canadian Union of Public Employees (CUPE) went on strike. 'About 130,000 customers will be affected each day that the strike continues,' Air Canada said. 'Air Canada is strongly advising affected customers not to go to the airport unless they have a confirmed ticket on an airline other than Air Canada or Air Canada Rouge,' the airline said. Flights for regional operators Air Canada Jazz and PAL Airlines would continue to operate. Attendants are paid when the plane is moving and the union is seeking to also be compensated for time spent on the ground between flights and helping passengers board. Montreal-based Air Canada, which is expected to respond quickly by locking out the workers, had said it anticipated cancelling 623 flights by the end of Friday during the busy summer travel season. It expected about 100,000 people would be affected on Friday alone. Flight attendants will on Saturday picket at major Canadian airports, where passengers were already trying to secure new bookings earlier in the week, as the carrier gradually wound down operations.

Image: Supplied After 120 years, Murray & Roberts Limited (MRL), a South African engineering and construction stalwart founded in 1902, faces liquidation. The company, which listed on the JSE in 1951 and merged with Roberts Construction in 1967, did not oppose creditor-initiated proceedings in the Gauteng High Court. This decision follows a prolonged period of financial distress that rendered the holding company insolvent after the sale of its core assets. On August 15, the group informed shareholders that a creditor had initiated liquidation proceedings in the Gauteng Division of the High Court of South Africa, seeking a final or provisional winding up order. According to reports Murray & Roberts stated, "Given the company's financial position, Murray & Roberts does not intend to oppose the liquidation application." The company plans to continue engaging with its legal advisors and will update shareholders on further material developments. On November 22, 2024, the company was subsequently placed on business rescue following significant liquidity constraints by the South African-based international engineering and construction group over a prolonged period. The business rescue practitioners said that creditors had approved MRL's business rescue plan on April 8, and in terms of this plan, MRL's main assets, its mining businesses, would be sold to a consortium of investors led by South Africa-based asset management firm Differential Capital.
