HLIB: Sunway REIT's education asset sale frees up capital for future growth

KUALA LUMPUR: Sunway Real Estate Investment Trust's (Sunway REIT) RM613 million disposal of its education asset is expected to unlock capital for future acquisitions, according to Hong Leong Investment Bank Bhd (HLIB).
"Overall, we are neutral on this disposal, although Sunway REIT is losing a high NPI yielding asset, the deal is able to help free its capital for future acquisitions," HLIB said in a research note.
The sale of the Sunway University and college campus — fully cash-based and slated for completion in the second half of financial year 2025 (FY25) — was priced at a 4.6 per cent premium to its independently assessed fair value.
HLIB noted the transaction came as a surprise, as the firm had not anticipated Sunway REIT to divest its education assets in the near term.
The campus had contributed about 5.1 per cent of revenue and 6.9 per cent of NPI in FY2024.
"By disposing the education asset, total asset value will drop circa 5.2 per cent, if the net proceeds were used to pay down debts," it said.
According to Sunway REIT, the completion of the disposal, the net proceeds is intended for future yield accretive acquisitions.
It also said in the event of no new acquisitions/AEIs within 12 months, the net proceeds will be used to pay down its outstanding debts and thus, gearing ratio is expected to drop to 38 per cent (from 41 per cent).
HLIB believes this will allow Sunway REIT to have more capital/debt headroom to fund its future acquisitions such as Sunway Velocity (RM1 billion) in the pipeline.
In summary, the firm is neutral on the disposal of its education asset.
Although the deal is yield dilutive to Sunway REIT, HLIB said it will have a one off gain of RM21 million and also more capital to fund its future acquisitions, potentially reducing the dependency of equity funding for future acquisitions.
"Following the disposal of its education asset and annual report update, we cut FY25/FY26 estimates by 2.5 per cent/5.7 per cent, respectively. Besides, we introduce FY27 forecasts."
HLIB maintains a "Buy" call on Sunway REIT, albeit with a lower target price of RM2.00 (from RM2.04).

MAIN Market-listed diversified conglomerate Meta Bright Group Bhd (formerly Eastland Equity Bhd) has today (June 9) proposed private placement of new shares to raise gross proceeds of up to RM21 mil. The fund-raising exercise will primarily support the group's growing renewable energy (RE) and energy efficiency (EE) businesses while reducing the group's existing bank borrowings to strengthen its overall financial standing. This proposed private placement which allows the issuance of up to 253 million new shares or 10% of Meta Bright's issued share capital will provide quicker access to capital compared to alternative fund-raising methods while avoiding dilution and costly interest associated with bank financing. Of the RM21 mil to be raised, RM8.75 mil will be channelled into Meta Bright's on-going and future energy-related projects. The group currently manages 28 active solar photovoltaic (PV) projects and four EE projects across various states, including Selangor, Johor, Pahang and Terengganu. These initiatives are integral to Meta Bright's strategy to build sustainable, long-term and recurring revenue streams. Additionally, RM2 mil from the proceeds will be utilised to partially repay a term loan facility, thus reducing interest costs and improving the group's profitability and financial health. Another RM8 mil will be directed towards working capital to support day-to-day operations and providing flexibility for further business expansion. Above all else, the group has also allocated RM2 mil to further develop its money lending business segment which aims to broaden its market reach and enhance income streams. 'This private placement is strategically structured to support our aggressive expansion into the RE and EE sectors with the markets showing strong, sustained growth prospects,' commented Meta Bright's executive director (corporate and strategic planning) Derek Phang Kiew Lim. 'By deploying this capital swiftly and effectively, we expect increased earnings visibility and enhanced profitability in the coming years.' To-date, Meta Bright's RE and EE segments have experienced robust growth with on-going and future contracts demonstrating strong revenue potential. These projects include solar installations for manufacturers, government buildings, worship places and commercial entities. In a way, the private placement exercise is timely as it positions the group to capitalise on Malaysia's ambitious energy transition initiatives outlined in the National Energy Transition Roadmap (NETR). 'Reducing debt levels through this exercise will directly benefit our bottom line. Lower financing costs combined with strong recurring income from energy projects will ensure long-term profitability,' justified Phang. 'We are committed to maintaining prudent financial management while actively pursuing sustainable growth opportunities.' At the end of today's (June 9) market trading, Meta Bright was down 0.5 sen or 4% to 12 sen with 120,600 shares, thus valuing the company at RM304 mil. – June 9, 2025

KUALA LUMPUR: The High Court today dismissed a legal bid by Menara Kuala Lumpur Sdn Bhd (MKLSB) and former KL Tower operator Hydroshoppe Sdn Bhd to start contempt proceedings against Communication Minister Datuk Fahmi Fadzil and several others. Judge Roz Mawar Rozain made the ruling after finding that the applicants had failed to establish a prima facie case of contempt against the respondents. The two companies filed contempt proceedings against eight individuals for allegedly disrupting the administration of justice amid ongoing legal proceedings. The eight are – Federal Land Commissioner Datuk Muhammad Azmi Mohd Zain; Dang Wangi police chief Assistant Commissioner Sulizmie Affendy Sulaiman; Lim Seong Hai Capital Berhad (LSH) chairman Tan Sri Lim Keng Cheng; LSH chief executive Khairil Faizal Othman; Communications Ministry secretary-general Datuk Mohamad Fauzi Md Isa; administrative services division secretary Harun Ali; and senior division secretary (management) Mazlan Abd Mutalib. The court also found no merit in the plaintiff's claim that the authorities had wrongfully entered its property after the contract with the government ended on March 31, regardless of how forceful the actions were. "This court is not satisfied that a prima facie case has been established to warrant leave for contempt proceedings to be granted," she said. Roz Mawar awarded RM15,000 in cost to Fahmi and RM10,000 in cost to the other respondents. Meanwhile, the court also dismissed the plaintiffs' application for an interim injunction to stop Fahmi and the government from granting the KL Tower concession to LSH Service Master Sdn Bhd, ruling that the matter had become academic. On March 27, the plaintiffs filed a RM1 billion suit against Fahmi and the new KL Tower concessionaire following the termination of the management agreement. In a statement, MKLSB managing director Datuk Abdul Hamid Shaikh said the injunction aims to maintain the current status quo until the dispute is fully resolved in court. He said that in 2022, Hydroshoppe was invited by the Communications Ministry to become a strategic partner in revitalising MKLSB's operations and ensuring the tower's continued management and maintenance. Abdul Hamid claimed that despite multiple attempts to resolve the matter amicably, the ministry and the new concessionaire have refused to acknowledge the 2022 agreement, leaving MKLSB and Hydroshoppe facing financial and operational uncertainty. He claimed that outstanding payments amounting to RM25 million for maintenance and operational services remain unpaid, and have added further financial strain, MKLSB has managed and maintained KL Tower for nearly 30 years.

Banking sector resilient with provision buffers ahead of global headwinds

THE quarter one 2025 (1Q25) reporting season came in broadly within expectations. Seven of the eight banks under Hong Leong Investment Bank's coverage (Affin, Alliance, AMMB, CIMB, Maybank, Public Bank, and RHB) delivered results that tracked closely with their forecasts. The lone exception was BIMB, which missed due to higher-than-anticipated credit costs. 'Stripping out non-recurring items from 4Q24, core earnings dipped 3.4% quarter-on-quarter (qoq),' said Hong Leong Investment Bank (HLIB). This came despite a 3.6% rise in pre-impairment operating profit (PIOP), which was supported by positive JAWs (+0.3ppt) and robust non-interest income growth (NOII; +7%). The drag came from higher loan loss provisions (+11.6%) and a weaker contribution from associates (-27.3%). Net Interest Margins (NIM)s were broadly stable, with Affin standing out positively (+7 basis points). Sector core earnings rose 4.1%, underpinned by lower loan loss provisions (-22.9%) and stronger associate contributions (+31.2%). PIOP grew modestly by 1.1%, with net interest income (NII) up +3.4%, partially offset by a dip in NOII (-1.3%). Cost control remained commendable, with operating expenses rising 2.9%. Top performers were Affin (+12.6%) and Alliance (+11.1%), with both delivering robust NII growth, alongside effective cost and provision management, respectively. Both loan and deposit growth moderated, reflecting festive seasonality and FX volatility. Banks continued to pull back from expensive deposit campaigns to protect NIMs. Meanwhile, Alliance was the only bank to post double-digit loan and deposit growth. Asset quality remained firm, with the sector gross impaired loan (GIL) ratio ticking up 1 basis point QoQ to 1.38%. 'Heading into 2Q25, we expect NIMs in 2Q25 to hold up reasonably well sequentially,' said HLIB. HLIB sees three key forces at play: fresh liquidity from the recent SRR cut, easing deposit competition, and a sector-wide pivot to more disciplined loan expansion and funding strategies. This proactive stance is already visible, with banks cutting promotional/campaign FD rates by 5-15 basis points in May, ahead of a potential overnight policy rate cut, though the full margin benefit may only materialize in the second half of 2025. Beyond margins, the bedrock of asset quality is expected to remain solid, supported by resilient domestic economic conditions and minimal US trade exposure. 'While acknowledging risks from the secondary impacts of trade uncertainty, we believe any potential weakness will be well-contained,' said HLIB. The sector is significantly more resilient than in previous downturns, primarily due to the formidable provision buffers accumulated over the past five years. This 'fortress of provisions' provides a robust defence, capable of absorbing any stress and cushioning the GIL ratio, which currently stands near historical lows. 'We reiterate our overweight stance on the Malaysian banking sector, viewing the KLFIN Index's 7% year to date decline as a strategic opportunity to build positions ahead of an anticipated market recovery in the latter half of 2025,' said HLIB. —June 9, 2025 Main image: European Commission
