
Wanted: Independent directors for PSU boards. But where is the approval?
Mumbai: Over three-fourths of India's listed public sector enterprises do not have the requisite number of independent directors, as these companies continue to wait for clearance from various government departments.
As many as 62 out of 79 listed PSUs lack the mandated number of independent directors, according to data from Prime Database. Despite repeated regulatory reminders, these companies await clearances from their respective ministries, delaying crucial appointments and inviting penalties from stock exchanges.
Government-owned firms, including Hindustan Aeronautics Ltd, Indian Oil Corp. Ltd, Indian Railway Catering and Tourism Corp, State Bank of India, National Aluminium Company Ltd. and Steel Authority of India Ltd, did not have the minimum number of independent directors as of 2 June, according to Prime Database, a Mumbai-based market data tracking firm.
The list of non-compliant PSUs includes banks, oil and gas companies, metals and mining firms, power utilities, telecommunications, railways, and engineering firms.
According to the Securities and Exchange Board of India's listing regulations, at least one-third of a listed entity's board members must comprise independent directors. Additionally, if the chairman is an executive director, at least half of the board must consist of independent directors.

Boardroom bottlenecks
There are more red flags when it comes to board committees: 64 PSUs lack an independent director as chairperson of their audit committee, and 68 companies do not have independent chairs for their nomination and remuneration panels.
Additionally, 14 of the listed PSUs are yet to appoint a single woman director, despite gender diversity requirements, according to Prime Database.
'It's ironic that we are asking all private sector companies to comply with these requirements when government-owned companies themselves are non-compliant," said Pranav Haldea, managing director at Prime Database.
With PSUs failing to comply with the market regulator's rules, many have been fined by stock exchanges.
Last week, National Aluminium Company Ltd (Nalco) was fined ₹33.32 lakh for having only three independent directors—two short of the required five—on its 10-member board.
A spokesperson for Nalco said the company was continuously following up with the ministry of mines, its administrative ministry, for the appointment of the requisite number of independent directors.
The bottleneck lies in the approval process across various ministries, according to proxy advisory firms. 'The Prime Minister's Office should send a strong message to all concerned ministries and PSU companies that they need to be compliant, as non-compliance by PSUs doesn't send the right message to investors," said Shriram Subramanian, founder and managing director of InGovern Research Services, a proxy advisory firm.
'For instance, when the government, as a major shareholder, is involved in abusive transactions or there is trouble with key management, independent directors are the custodians of minority shareholders' interests," Subramanian said.

Many of the largest money managers, including BlackRock and Vanguard, have voiced their concerns when these companies have sought shareholder approval for the appointment of directors, according to voting disclosures reviewed by Mint.
In August last year, Hindustan Aeronautics sought shareholder approval for the appointment of former chairman C.B. Ananthakrishnan. Nearly a fourth of public institutions opposed the decision.
'Nominee serves as chair of the board and bears responsibility for lack of independence. Nominee is an executive director on the audit committee," noted BlackRock, the world's largest money manager, with $11.6 trillion in assets under management.
In the same month, Hindustan Petroleum Corp. sought shareholders' approval for the appointment of Pankaj Kumar as a director, but 28.35% of public institutions, including Vanguard, opposed his re-appointment.
Despite governance lapses, investor interest in PSUs has surged. The BSE PSU Index, which comprises 63 companies, has outperformed the Sensex over the last five years. The index has gained 301% between 5 June 2020 and 3 June 2025, while the Sensex has risen by 135.5% during this period.

Tensions in Manipur over arrest rumours of volunteers of Meitei outfit
Two journalists and a civilian were injured as tensions flared in Imphal city late on Saturday evening following unconfirmed reports of the arrest of five volunteers of Arambai Tenggol, a Meitei group, including one of the group's commanders, people familiar with the matter said. An irate mob stormed the Kwakeithel Police Outpost in Imphal West, demanding the immediate release of the arrested individuals. In response, security forces fired several rounds to disperse the crowd. During the incident, at least three people, including two journalists, sustained injuries. According to unconfirmed reports, the arrests were made at around 2.30pm by a team from the National Investigation Agency (NIA). Meanwhile, Rajya Sabha MP Leishemba Sanajaoba was also seen at the scene, attempting to speak with senior security personnel regarding the situation. In a purported video circulated on social media groups, Leishemba could be heard saying, 'We tried very hard to bring peace. If you do such things, how will peace come? Arrest me along with the MLA....' There was not official statement from the Manipur police till the time of going to press. They are expected to meet in the national capital on Monday. This is the first general meeting since the pact was put in abeyance last year. While there was no confirmation from the MHA or the Manipur-based groups, a person aware of the details said all representatives from SoO will attend the meeting. 'All representatives from the SoO groups will be in Delhi. This is the first general meeting called by the MHA. We do not know if Manipur state administration officials will be present or not. It was a tripartite agreement between our groups, state government and Centre to suspend all operations from both sides,' this person said requesting anonymity. The tripartite SoO agreement was signed by the Centre, the Manipur government and Kuki militant groups in August 2008, and was renewed every year until February 28 last year when it was kept abeyance. The renewal process was halted after allegations against SoO group cadres indulging in the ethnic clashes in Manipur and training village defence volunteers — the groups have denied both charges. The person cited above said that over the last year, SoO groups have addressed some queries raised by the MHA. 'The ground rules for the pact were set to be revised so MHA has asked SoO groups many questions. All these were presented to the MHA. We expect something positive from the meeting,' the official added. The questions pertained to location of camps, the weapons that are in a double lock system and the need for having new camps. At the time of the signing of agreement in 2008, the Kuki National Organisation (KNO) and United People's Front (UPF) agreed to cease any form of violence. The central and state governments also agreed that no force (army, paramilitary, or state police) would launch operations against the signatories as long as they abide by the terms of the agreement. However, the SoO was unilaterally suspended by the Biren Singh government on March 2023 — roughly two months before the ethnic clashes broke out — saying that some members of the groups were illegal migrants. The suspension, along with a Manipur high court order that directed the state to ensure Meiteis get the scheduled tribes status, are believed to be triggers for the violence that has roiled the state for over two years. A senior security official, who asked not to be named, said, 'Agencies have regularly given reports about the SoO groups. There have been cases of SoO militants being arrested in some cases of violence during the last two years. It is a critical issue. Whatever happens to the SoO pact will definitely have an impact in Manipur. They are influential and have a lot of clout among not just Kuki-Zo civilians but also their political leaders.' The earlier rules of the SoO pact directed cadres of the militant groups to stay in designated camps, with the routine administration of camps being handled by the groups. The rules also mandated that no more than 20% of cadres will be allowed to leave the camp at any given time. State government and joint monitoring group (JMG) members were to conduct inspections at the camp to check for violations. All weapons were to be held within the camp's armoury in a double locking system, with one key being with the group and other with the concerned security force.

Zoho founder Sridhar Vembu Surges Union government to simplify rules, regulations for startups
Coimbatore: Simplification of rules and regulations, including those related to GST, licensing and bank loans, is the need of the hour to propel the growth of startups, said Zoho founder Sridhar Vembu here on Saturday. He was speaking at the first demo day organized by the Coimbatore-based startup incubator Aalamaram to celebrate the 23 startups it successfully nurtured and showcase their offerings. Six startups exhibited their products at the event, which saw participation of several startup founders and investors. Speaking after the event, Sridhar Vembu said all the 23 startups should be nurtured in a big way so that billion-dollar enterprises could emerge from them. "Not every startup may be successful. It is not important what percentage of startups succeed. What matters is how many jobs are created through startups," he said. When asked about the kind of support the govt should provide, he said the Union govt had already simplified several procedures to benefit startups. However, further simplification is needed, particularly in GST compliance, licensing and access to bank loans, he said. AAI seeks 17 more acres for airport expansion in Coimbatore
Coimbatore: The Airports Authority of India (AAI) has requested the district administration for an additional 17 acres for the city airport expansion project. The district administration said the land acquisition would begin as soon as they received administrative sanction. Vidya Chandran, district revenue officer (land acquisition for airport), said the district administration had already acquired and handed over 604 acres of the 628 acres requested by the AAI for the airport expansion. Of the remaining land parcels, nine acres is entangled in litigation. The remaining 15 acres is yet to be acquired because of multiple ownership and legal heir issues, she said. "As and when we acquire and hand over the remaining land to the AAI, the people who own land in Singanallur, Irugur and Neelambur areas will face connectivity issues, as some roads will be disturbed during the land acquisition. The additional 17 acres will help address the connectivity issues," the officer said. Pointing out that Chinniyampalayam was a crucial area for the proposed runway extension, city airport director G Sambath Kumar said the land earmarked there was yet to be acquired. "The land acquisition issues are being handled by the state govt." He said the AAI had finalised an Erode-based private construction firm to set up a precast compound wall around the newly acquired land. The work is expected to commence by the first week of August, he said. The AAI had floated a tender on March 19, 2025, to construct the precast boundary wall for 16.67km for the newly acquired land at a cost of Rs29 crore, with a deadline to complete the work in 456 days.
