Biotech Stock Roundup: BMRN to Acquire INZY, NVAX Gains on Vaccine Approval & More

Mergers and acquisitions grabbed the spotlight in the biotech sector once again this week after BioMarin BMRN agreed to acquire Inozyme Pharma INZY. Meanwhile, other pipeline and regulatory updates were in focus.
BioMarin Pharmaceutical announced that it has entered into a definitive agreement to acquire all outstanding shares of the clinical-stage company Inozyme Pharma for $4.00 per share in cash, totaling nearly $270 million.
Shares of INZY soared on the news.
The deal, approved by the board of directors of both companies, is expected to be closed in the third quarter of 2025.
BioMarin will add Inozyme's lead asset, INZ-701, to its pipeline, following the completion of this acquisition. This investigational enzyme replacement therapy (ERT) is currently being evaluated in a pivotal late-stage study for the treatment of a rare genetic disorder, ectonucleotide pyrophosphatase/phosphodiesterase 1 (ENPP1) deficiency, in children.
The deal is a strategic fit for BioMarin, which already markets five first-in-disease enzyme therapies, namely Aldurazyme, Brineura, Naglazyme, Palynziq and Vimizim. The addition of Inozyme's lead candidate will expand BioMarin's Enzyme Therapies portfolio and further diversify its revenue stream.
Novavax NVAX announced that the FDA approved its protein-based COVID-19 vaccine, Nuvaxovid.
Shares of the company surged on this long-awaited approval from the FDA, albeit with a narrower label than initially expected.
While the agency granted full approval to Nuvaxovid for use in older adults aged 65 and above, it restricted the vaccine's use in individuals aged 12-64 with at least one underlying condition that puts them at high risk for severe outcomes from COVID-19.
Additionally, the agency requires Novavax to conduct a new Phase IV post-marketing study in individuals aged 50 to 64 without high-risk conditions for severe COVID-19.
The full approval is based on data from a pivotal late-stage study, which showed that Nuvaxovid was safe and effective for the prevention of COVID-19. Until now, the vaccine had been available for use under the FDA's emergency use authorization.With the full approval, Nuvaxovid is the only non-mRNA-based COVID-19 vaccine available in the country.
Moderna MRNA announced that it has voluntarily withdrawn a regulatory filing seeking the FDA's approval for mRNA-1083, its investigational mRNA-based combination vaccine against influenza and COVID-19. Per the company, the decision was taken in consultation with the agency. The stock was down on the announcement.
This setback derailed the company's initial plans to secure a potential FDA approval for the vaccine before this year's end.
Moderna plans to resubmit this filing later this year after vaccine efficacy data from the ongoing phase III study on its investigational seasonal influenza vaccine, mRNA-1010, is available. Interim data from this study is expected this summer.
The initial FDA filing, which sought approval for use in older adults aged 50 years and above, was supported by data from a phase III study announced last year. Data from this study showed that mRNA-1083 elicited higher immune responses against influenza and COVID-19 compared with licensed standalone influenza and COVID-19 vaccines.

Prime Medicine, Inc. PRME announced a strategic restructuring of its business. Shares of the company declined on the news.
The restructuring includes the deprioritization of its Chronic Granulomatous Disease ('CGD') programs, as well as a cost and workforce reduction to focus on its liver franchise and programs funded through external partnerships.
Prime Medicine is currently advancing in vivo programs to cure two of the largest genetic liver diseases, Wilson's Disease and Alpha-1 Antitrypsin Deficiency ('AATD'). Initial clinical data from both programs are expected in 2027. An investigational new drug (IND) and/or clinical trial application (CTA) is expected to be filed for its Wilson's Disease program in the first half of 2026 and for its AATD program in mid-2026. Initial data from both programs are expected in 2027.
Prime Medicine is exploring options for the continued clinical development of PM359 and ceasing further efforts in X-linked CGD.
In addition, PRME is reducing its headcount by approximately 25%. The headcount reduction, along with its cost reduction measures and other restructuring efforts, is expected to reduce operating expenses and cash burn, lowering anticipated cash needs by almost half through 2027.
Prime Medicine announced that it has recently engaged in binding arbitration proceedings with Beam Therapeutics, Inc. regarding its collaboration agreement.
Prime Medicine continues to expect that its cash, cash equivalents and investments, as of March 31, 2025, will be sufficient to fund its operations and capital expenditure requirements into the first half of 2026.

The Dupe Unicorn: The Rise Of Lean, AI-Powered Startups

Wayne Liu is the Chief Growth Officer and President of Perfect Corp America. Venture capital has entered a new era of constraint. According to EY, a $40 billion AI transaction helped prop up venture capital numbers, but without it, funding would have seen a steep 36% drop—and the overall volume of deals continues to shrink. Megadeals like this are now the exception, not the norm. Yet amid this pullback, one sector continues to surge: artificial intelligence. AI-related startups accounted for 33% of all VC activity in 2024 and show no signs of slowing. The unicorn model may be fading, but something smarter is rising in its place. According to Crunchbase, IPO activity has flatlined, with hundreds of companies still in the pipeline; many from the unicorn class of 2021 and 2022 are stuck without an exit in sight. At the same time, traditional venture capital is morphing into something more conservative. As Bloomberg recently reported, firms like Lightspeed are shifting away from the classic VC model, increasingly behaving like private equity players focused on capital efficiency and profitability. In this environment, the billion-dollar unicorn model, the holy grail of startup success for decades, no longer feels viable for many founders. The good news? There seems to be something new taking its place. From the wreckage of the old growth-at-all-costs model, a new breed of startup is emerging: lean, AI-powered and profitable, which is what I refer to as the LAP model. These founders aren't scaling head count or chasing inflated valuations. Instead, they're building lean businesses with small teams, using open-source large language models (LLMs) and AI tools to automate tasks ranging from customer service and content creation to coding and strategic decision-making. In some cases, they're even replacing expensive consultants with AI agents that can perform real-time market analysis or draft legal documents. Recent research shows that AI startups are achieving revenue growth at a pace that significantly outpaces traditional tech companies. Their ability to reach customers faster, automate internal processes and scale with minimal human overhead gives them a notable advantage, especially in a market where efficient monetization has become a survival skill. I call these startups "dupe unicorns." Much like the consumer trend where savvy shoppers seek affordable "dupes" of premium products, today's smartest founders are creating companies that deliver the value of unicorns without the overhead. They may not have massive valuations but offer real utility, faster execution and sustainable business models. In beauty and fashion culture, a "dupe" (short for duplicate) is a lower-cost alternative to a high-end product that offers similar benefits. Crucially, a dupe is not a counterfeit; it doesn't pretend to be the original or infringe on intellectual property. Instead, it's a smart substitute: an independent product that delivers comparable results, often at a fraction of the price. On platforms like TikTok, dupe culture is a celebration of value, discovery and democratized access. Apply that to startups, and the metaphor becomes powerful. A dupe unicorn isn't a knockoff of a legacy tech giant. It's a next-gen business that mimics unicorns' performance, innovation and market traction but with leaner resources, smarter automation and sharper focus. I've seen this shift firsthand through my work advising university accelerators and incubators. Founders today aren't waiting for large teams or fundraising milestones. One founder built an AI-powered video analytics system for sports, helping coaches with limited staff make better decisions. His tool rivals those used by elite organizations at a fraction of the cost. Another, frustrated by traditional market research, launched a generative AI search engine using open-source models, making real-time consumer insights as intuitive as a Google search. A gamer trained a translation engine for cross-border multiplayer sessions, optimized for speed and slang. A marketer developed an AI content generation tool to produce campaign materials, social posts and email copy all from one interface, bypassing costly agencies. It's a new kind of builder mindset: practical, fast-moving and unburdened by the myths of needing massive teams or massive rounds to make an impact. Having helped build my company from seed stage to IPO over nine years, I've lived through the unicorn arc. I know the exhilaration of hypergrowth and its weight. That perspective has sharpened my appreciation for what these new AI-native startups are doing. Here's what I believe founders should embrace now: 1. Design AI-inclusive models from day one. Use AI not just to optimize, but to reimagine your business's foundation. Ask yourself: What can be automated, personalized or accelerated from day one? 2. Run lean with intentionality. It's not about avoiding people; it's about sequencing. Use AI to build early momentum and add team members when human creativity, trust or judgment are truly needed. 3. Speak to the new consumer journey. Gen Z and Gen Alpha founders already get this. The customer journey is no longer a funnel; it's dynamic, nonlinear, shaped by TikTok trends, AI recommendations and immersive technologies like AR glasses. Your go-to-market strategy needs to flow with that reality, not fight it. 4. Prototype, learn, repeat. Founders can now test a new idea, build a landing page, generate content and gather user feedback all within a weekend. Use that velocity to your advantage. 5. Prioritize profitability without compromising vision. Capital efficiency is a competitive advantage. Let profitability guide your build decisions. A good business model should sustain you, not distract you. The unicorn isn't dead but evolving. In today's climate, founders don't need a million-dollar funding and a 30-person team to build a game-changing company. Sometimes, all it takes is a strong idea, a solid AI stack and a sharp understanding of your customer's real need. The dupe unicorn is not a compromise. It's a smarter model for a smarter age, rooted in innovation and built to last. In the age of capital discipline, the LAP model, lean, AI-powered, and profitable, may well become the blueprint for the next generation of breakout startups. NEW YORK, June 09, 2025 (GLOBE NEWSWIRE) -- Axsome Therapeutics, Inc. (NASDAQ: AXSM), a biopharmaceutical company leading a new era in the treatment of central nervous system (CNS) disorders, today announced it has received a Refusal to File (RTF) letter from the U.S. Food and Drug Administration (FDA) for its New Drug Application (NDA) for AXS-14 (esreboxetine) for the management of fibromyalgia. The FDA states that upon preliminary review, it found that the NDA was not sufficiently complete to permit a substantive review. Specifically, the FDA does not consider the second of the two placebo-controlled trials in the submission to be adequate and well-controlled because its primary endpoint was at 8 weeks and it used a flexible-dose paradigm. The FDA indicated that the first of the two placebo-controlled trials in the submission, which utilized a 12-week endpoint and a fixed-dose paradigm, is adequate and well-controlled. The FDA did not raise any questions relating to the positive results of the studies, both of which met their primary endpoints. To address the FDA's feedback, Axsome will conduct an additional controlled trial, which will use a fixed-dose paradigm and a 12-week primary endpoint as requested by the FDA. Axsome anticipates initiating this trial in the fourth quarter of 2025. FDA's Accelerated Approval Program was instituted to allow for earlier approval of drugs that treat serious conditions, and fill an unmet medical need based on a surrogate endpoint. A surrogate endpoint is a marker, such as a laboratory measurement, radiographic image, physical sign or other measure that is thought to predict clinical benefit but is not itself a measure of clinical benefit. The use of a surrogate endpoint can considerably shorten the time required prior to receiving FDA approval. Drug companies are still required to conduct studies to confirm the anticipated clinical benefit. To support full approval Avidity has initiated FORWARD, a global, confirmatory, Phase 3, randomized, placebo-controlled, double-blind, 18-month study designed to evaluate 2mg/kg of del-brax every six weeks in approximately 200 people (ages 16-70) living with FSHD in North America, Europe and Japan. FORWARD is designed to assess key FSHD-related endpoints that measure functional mobility (10MWRT and TUG), strength (QMT) and patient-reported outcomes. The flexible design of FORWARD allows the Company to gather additional data from the ongoing FORTITUDE™ biomarker cohort and elevate any of these measures to the primary endpoint. Though the Phase 1/2 trial is not statistically powered to assess functional benefit, it explores the clinical activity of del-brax including measures of functional mobility and muscle strength as well as patient reported outcomes and quality of life measures. The trial has a total of three dose cohorts. The first two dose escalation cohorts evaluated 2 mg/kg or 4 mg/kg of del-brax versus placebo and were designed to assess safety as well as inform the dose and dose regimen of del-brax for additional studies. Avidity has completed enrollment in the dose escalation cohorts and identified 2 mg/kg every six weeks of del-brax as the dose for future clinical trials. About Del-brax Del-brax is designed to treat the underlying cause of FSHD, which is caused by the abnormal expression of a gene called double homeobox 4 or DUX4.
