Vedanta refunded ₹1,030 cr brand fee to unit after ED scrutiny: Viceroy
The brand fee was first disclosed in Vedanta's FY24 financials without explanation. The report, published on Wednesday, claims that the payment, termed a "brand fee rebate", was made after the ED questioned the legality of certain intercompany remittances, but was never disclosed to bondholders or the market.
According to Viceroy, the ED summoned VEDL's CFO and executive team in July 2023 over what it described as irregular brand fee payments to VRL. These payments, allegedly made in an ad hoc manner whenever the parent company faced liquidity stress, were deemed non-compliant with the Foreign Exchange Management Act (Fema) and corporate governance rules.
Newly appointed CFO Sonal Shrivastava had appeared before the ED alongside a non-board executive, while CEO Sunil Duggal skipped the interview. Shrivastava resigned just five months later, the report claimed.
The report described the refund not as a voluntary correction but as a direct outcome of regulatory pressure. It is alleged that the brand fee mechanism effectively functions as an 'interest-free rolling credit facility' from VEDL to VRL, lacking any clear commercial justification.
In FY25 alone, Viceroy claims VEDL and its subsidiaries paid $361 million (₹3,085 crore) in brand fees to VRL, which roughly amounts to 15 per cent of VEDL's net income. These payments, the report says, helped service VRL's $4.9 billion net debt and $835 million annual interest burden.
Background: Prior allegations against Vedanta
The allegations against the Anil Agarwal-led group first appeared in an 87-page report released by Viceroy Research on July 9. The firm accused Vedanta Resources of being a 'parasite' that is 'systematically draining' Vedanta Ltd to service its own debt obligations. Viceroy further claims that the conglomerate is built on 'unsustainable debt, looted assets, and accounting fiction.'

Vedanta dismissed the allegations, calling the report 'a malicious combination of selective misinformation and baseless allegations to discredit the group'. The company stated that Viceroy made no attempt to contact it before publication and claimed the report was intended 'solely to create false propaganda'.

ED seizes luxury cars, watches, cash in probe against two brokers
MUMBAI: The Enforcement Directorate (ED) has seized cash, high-end cars, imported luxury watches, and documents during searches at multiple locations in Mumbai and Ahmedabad linked to two related stockbrokers under investigation for alleged violations of the Foreign Exchange Management Act (FEMA). The ED recovered ₹15 lakh in cash, four luxury cars — a BMW X6M, Bentley Continental GT, BMW 730LD, and BMW 328i — as well as imported watches from brands such as Rolex and Cartier, altogether valued at around ₹1.51 crore. Investigators also seized stamps and cheque books belonging to about 40 entities and companies. The material is being examined, the agency said. The FEMA probe stems from a March 2025 operation in Ahmedabad, when the Directorate of Revenue Intelligence (DRI) and Gujarat's Anti-Terrorism Squad (ATS) jointly seized around 88 kg of gold — including about 52 kg bearing foreign markings linked to Dubai, Australia, and Switzerland — along with ₹1.37 crore in cash from premises linked to the Shahs in the city's Paldi area. Following that seizure, the ED launched its investigation and in April 2025 conducted searches at various Ahmedabad locations connected to the accused and their associates, recovering ₹23 lakh in cash and what officials described as 'incriminating documents.' The agency said the latest seizures form part of its continuing probe into suspected illegal foreign exchange transactions and associated assets.

Vedanta rejects Viceroy's claim its Namibia zinc assets are worthless
Vedanta Ltd's Zinc International unit is holding 'worthless' overseas assets whose loans are secured against the company's stake in Hindustan Zinc Ltd, according to a report by Viceroy Research Group, which warned that liabilities from its idled Skorpion zinc complex in Namibia remain unaccounted for. The Skorpion mine and smelter, once touted as a key pillar of Vedanta's African operations, has been shut since a wall collapse in 2020 and is now 'a scrapheap' with no industrial power, missing equipment, and no sign of restart activity, the short-seller said on Monday. Despite being carried on Vedanta's books at about $70 million, the site is 'functionally beyond economic recovery' and must undergo rehabilitation, for which no adequate provision has been made, Viceroy said. 'While the Skorpion complex itself is held on-book at a nominal $70 million valuation, it supports a $1 billion valuation of Skorpion's sister mine – Black Mountain/Gamsberg,' it said. Rejecting the allegations, a Vedanta spokesperson said the Skorpion zinc mine was acquired by the company in 2010, when the remaining life of mine was estimated at just four years. 'Through sustained investment, rigorous exploration, and advanced geological analysis, Vedanta successfully operated the mine for a full decade, until 2020. In that year, the mine was placed under care and maintenance. This strategic pause was implemented to chart a sustainable path forward. Skorpion is currently undergoing a structured and technically supported evaluation and exploration aimed at restart. Multiple bankable feasibility studies have been completed for various projects. Skorpion Zinc remains one of Africa's most significant and strategic zinc assets, and the company is fully committed to the project,' the spokesperson said. According to Viceroy, Zinc International's debts are cross-guaranteed with other Vedanta assets, and financing for the African operations is secured against the group's shares in Hindustan Zinc. That potentially exposes Vedanta's crown jewel in India to lenders if the overseas operations default, it warned. Vedanta has allocated just $16 million for Skorpion's cleanup — far short of the hundreds of millions of dollars typically needed for such mine closures — and is likely to place the asset into liquidation once inventories are sold, Viceroy alleged. The mine's environmental liabilities, including lead contamination in the nearby town of Rosh Pinah, remain unresolved. The report also cast doubt on Vedanta's plans to retrofit the Skorpion smelter to process ore from its Black Mountain mine in South Africa, saying the conversion would require a full rebuild, new power arrangements, and road infrastructure that does not exist. 'Viceroy's visit to Skorpion enforces our belief that the asset is completely worthless. Management's plans to re-start the mine and convert the smelter are pure fiction,' it said.
