Agnellis cut Ferrari stake to raise 3 billion euros for new deals

MILAN (Reuters) -Italy's Agnelli family cut its controlling stake in Ferrari by around 4%, raising about 3 billion euros ($3.14 billion) to fund potential new M&A deals, its holding company Exor said on Thursday.
The sale will help Exor reduce concentration in its investment portfolio and provide ammunition for "a sizeable new acquisition when such an opportunity presents itself", the company said late on Wednesday launching the disposal.
It will also use proceeds from the deal to fund a 1 billion euro buyback programme.
The majority of the proceeds of the placement will be used for a single acquisition to add to Exor's portfolio, a source close to the company said.
Exor sold the Ferrari shares at a price of 450 euros each - in a so called accelerated bookbuilding procedure, which was conducted by banks JPMorgan and Goldman Sachs - one of the bookrunners said on Thursday.
Exor has not disclosed the price.
Separately on Thursday, Ferrari said it had spent about 300 million euros to buy nearly 667,000 of its own shares in the transaction as part of its own buyback programme.
Ferrari's Milan-listed shares were down 8.1% by 1245 GMT at 444 euros, after closing on Wednesday at 483 euros, near their record high hit earlier this month.
Dutch-listed Exor shares reversed early gains and fell 1.9%.
Ferrari accounts for about 50% of Exor's net asset value (NAV).
After the share sale, which will be settled on March 3, Exor will remain Ferrari's top investor with a 20% stake and 30% of voting rights.
"Our commitment to remain (Ferrari's) largest shareholder for the long term is stronger than ever," Exor CEO John Elkann said in a statement.
Agnelli family member Elkann is also Ferrari chairman.
The deal will not alter a shareholder agreement between Exor and Piero Ferrari, the son of founder Enzo and Ferrari's second largest investor. Exor and Piero Ferrari will retain combined voting rights close to 50%.
Exor is the single largest shareholder in automaker Stellantis and Dutch group Philips. It controls manufacturers Iveco and CNH, as well as Serie A soccer club Juventus.
It also has investments in healthcare, luxury goods, technology and media.

Jim Cramer Says America Won't Be 'Truly Liberated' Until It Strikes Rare-Earth Deals With Other Countries: US Doesn't 'Have The Cards'

Benzinga and Yahoo Finance LLC may earn commission or revenue on some items through the links below. Jim Cramer warned that the United States must cut deals with nations other than China for rare-earth minerals, or we'll never be 'truly liberated" from Beijing's grip. What Happened: The CNBC 'Mad Money' host told viewers on Wednesday that China mines about 60% and refines roughly 90% of the world's rare earths. This, as Cramer described earlier this month, gives China "a stranglehold" over supply chains that feed electronics, autos and defense hardware. Trending: Let your money work smarter: . No hidden fees, no commitment. "What the heck were we thinking when we started a trade war without having this rare-earths issue all buttoned up and ready to go?" he asked, adding that Washington doesn't 'have the cards" while it depends on Chinese exports already throttled by new licensing rules. Cramer urged the White House to waive steep tariffs and strike rapid supply pacts with Brazil, Vietnam and Australia, countries he said hold the raw materials for earth minerals and magnets. "We need to make these rare-earth deals with the same alacrity that the White House gave out the reciprocal tariffs on 'liberation day,'" Cramer said. Jim Cramer isn't the only one sounding the alarm bell. Officials have long warned that America's reliance on China for rare-earth minerals creates a strategic threat and in April, China slapped export restrictions on those minerals after President Donald Trump raised tariffs It Matters: According to a Reuters report, Trump said on Wednesday that Beijing would 'supply the minerals up front' as part of a tentative trade framework still awaiting his and President Xi Jinping's signatures. Commerce Secretary Howard Lutnick insists that the accord will ease the curbs, yet analysts note China could tighten shipments again if talks stall. Automakers have already sounded alarms. A Reuters survey found that some European suppliers were idling plants, while others warned of shutdowns by mid-July. An older report reveals companies are willing to "pay any price" for alloys and magnets. Reacting to the development, U.S. Futures were down on Wednesday night, with the S&P 500 futures down 0.30%, trading at 6,011; Nasdaq futures down 0.32%, at 21,818.50; and the Dow Jones futures, trading at 42,764, down 0.34%. UK edtech Pearson to raise India headcount by 43% in three years

By Praveen Paramasivam CHENNAI (Reuters) -UK-based Pearson plans to boost its workforce in India by about 43% to 2,000, an executive told Reuters on Friday, months after the education firm named India one of its top three priority markets globally. "We will invest significantly in India. We have got three very strong locations and we want to grow in all of these different locations," said Vishaal Gupta, president of enterprise learning and skills division and chair of India at Pearson. Pearson India operates in education and assessment markets, targeting school goers, students aspiring for colleges overseas and corporate professionals. The company will hire across various functions, including local business operations and global tech, over the next three years, Gupta said, while ruling out the launch of any new office location. It currently has offices in Noida, Bengaluru and Chennai. Pearson's shares hit a 10-year high in February after the company reported a rise in profit and said deploying AI would help deliver more growth in 2025. India's ed-tech market, which was valued at $7.5 billion in 2024, is projected to grow more than three-fold to $29 billion by 2030, according to a Grant Thornton report. In India, Pearson competes with IDP Education and Educational Testing Service in overseas education segment, and with Upgrad and Coursera in the digital-learning market. Gupta said the company will focus on government, Indian conglomerates and global capability centers, where a shortage of skilled workers poses a challenge amid growing demand for AI upskilling. Global capability centers, commonly known as GCCs, are local offices set up by large global companies in India to support their global parent in daily operations, finance, R&D and product development functions. GCCs are projected to contribute 2% to India's GDP by 2030, according to ICICI Securities, up from less than 1% currently. Sign in to access your portfolio
