International Lithium Announces Extension of Private Placement

Vancouver, British Columbia--(Newsfile Corp. - June 9, 2025) - International Lithium Corp. (TSXV: ILC) (OTCQB: ILHMF) (FSE: IAH) (the "Company" or "ILC") is pleased to announce that the Company is extending the closing of its non-brokered private placement financing (the "Offering") to July 9, 2025. The Offering was originally announced on February 5, 2025, and later upsized as announced on May 1, 2025. The upsized Offering is comprised of up to 57,000,000 common shares of the Company at a price of $0.015 per share for gross proceeds of up to $855,000.
On March 31, 2025, the Company closed the first tranche the Offering and issued 23,666,666 common shares at $0.015 per share for proceeds of $355,000. The proposed payments from the first tranche proceeds included $183,600 to pay the outstanding fees to non-arm's length creditors.
Proceeds of the private placement will be used primarily for general working capital purposes. The payments to persons conducting Investor Relations Activities shall not exceed 10% of the proceeds.
Closing of the Offering is subject to acceptance by the TSX Venture Exchange. All securities issued in connection with the Offering will be subject to a four-month hold period from the closing date under applicable Canadian securities laws.
It is anticipated that some directors and insiders will participate in the future tranches of the Offering. The issue of shares (to the extent subscribed for by insiders) constitute "related party transactions" pursuant to Multilateral Instrument 61-101 - Protection of Minority Security Holders in Special Transactions ("MI 61-101"), as the subscribers include directors of the Company. The Company is exempt from the requirements to obtain a formal valuation or minority shareholder approval in connection with the shares in reliance on the exemptions contained in sections 5.5(a) and 5.7(1)(a) of MI 61-101, respectively, as the fair market value of the shares does not exceed 25% of the Company's market capitalization.

The Company's primary strategic focus at this point is on the Raleigh Lake lithium and rubidium project and the Firesteel copper project in Canada and on obtaining EPOs and mineral claims in Zimbabwe.
The Raleigh Lake Project now consists of 32,900 hectares (329 square kilometres) of mineral claims in Ontario and is ILC's most significant project in Canada. Drilling has so far been on less than 1,000 hectares of our claims. A Preliminary Economic Assessment (PEA) was published for ILC's lithium at Raleigh Lake in December 2023, with detailed economic analysis of ILC's separate rubidium resource still to come. Raleigh Lake is 100% owned by ILC, is not subject to any encumbrances, and is royalty free. The project has excellent access to roads, rail and utilities.
A continuing goal has been to remain a well-funded company to turn our aspirations into reality, and following the disposal of the Mariana project in Argentina in 2021, the Mavis Lake project in Canada in January 2022, and the Avalonia project in 2024 (sale not completed yet), ILC has achieved sufficient inward cashflow to be able to make progress with its exploration projects.
With the increasing demand for high tech rechargeable batteries used in electric vehicles and electrical storage as well as portable electronics, lithium has been designated "the new oil" and is a key part of a green energy sustainable economy. By positioning itself with projects with significant resource potential and with solid strategic partners, ILC aims to be one of the lithium and rare metals resource developers of choice for investors and to continue to build value for its shareholders in the '20s, the decade of battery metals.

Air Canada could shut down completely unless the airline and its flight attendants reach a deal

TORONTO (AP) — A complete shutdown of Air Canada is looming if the union representing the flight attendants of the country's dominant air carrier and the airline fail to reach an agreement by early Saturday. More than 10,000 flight attendants are poised to walk off the job around 1 a.m. EST on Saturday, followed by a company-imposed lockout. It threatens to impact about 130,000 travelers a day. The Canadian carrier said it expects to call off 500 flights by the end of Friday ahead of the deadline. It already started canceling flights on Thursday in expectation of the massive work stoppage that could impact hundreds of thousands of travelers. A full grounding could affect some 25,000 Canadians a day abroad who may become stranded. "We strongly urge the parties to work with federal mediators and get a deal done. Time is precious and Canadians are counting on you," Federal Jobs Minister Patty Hajdu said in a statement Friday. By midday Friday, Air Canada had called off 87 domestic flights and 176 international flights that were scheduled to depart on Friday and Saturday, according to aviation analytics firm Cirium. On Thursday, when the airline said it was beginning it's 'phased wind down' of most operations, 18 domestic flights and four international flights were canceled. Canadian Union of Public Employees, or CUPE, which represents the flight attendants, refused to voluntarily submit to arbitration. 'The appropriate course of action is for Air Canada to return to the table and resume good faith bargaining,' it said in a statement. The union, which represents about 10,000 Air Canada flight attendants, and the airline say disagreements over key issues, including pay raises, have brought contract talks to a standstill. How long the planes will be grounded remains to be seen. Air Canada Chief Operating Officer Mark Nasr said the decision to lock out the union members even if it meant halting flights would help facilitate an orderly restart, 'which under the best circumstances will take a full week to complete.' Air Canada and CUPE have been in contract talks for about eight months, but they have yet to reach a tentative deal. The union put it to a vote at the end of July and 99.7% approved a strike. On Wednesday, it gave Air Canada a 72-hour strike notice. The airline responded with a so-called lockout notice, saying it would prevent the flight attendants from working on Saturday. The union said it rejected a proposal from the airline to enter a binding arbitration process that would have prevented flight attendants from walking off the job, saying it prefers to negotiate a deal that its members can then vote on.

On Thursday, Deere & Company (NYSE:DE) shares tumbled after the agricultural equipment giant posted mixed third-quarter results and trimmed its full-year profit forecast, highlighting persistent headwinds from declining sales, tariffs, and cautious customer demand. The heavy machinery maker reported earnings per share of $4.75, beating the consensus of $4.67. It reported a 9% decline in quarterly sales to $12.02 billion, beating the consensus of $10.31 billion. Production and precision agriculture sales decreased 16% for the quarter to $4.27 billion due to lower shipment volumes and unfavorable price realization. Operating profit slumped 50% to $580 million primarily due to lower shipment volumes/sales narrowed its fiscal 2025 net income guidance to between $4.75 billion and $5.25 billion, compared to its previous forecast of $4.75 billion to $5.50 billion, citing that customers remain cautious amid ongoing uncertainty. Truist Securities said Deere noted some green shoots, including better-than-expected retail sales for tractors in Europe, earthmoving and forestry were positive after several quarters of flat to declining growth, and improving demand in North America turf and compact equipment. Deere projects North American sprayer sales to fall 20% in 2026 based on early orders but views this as not reflective of overall market demand, noting sprayers are only one year into a downturn versus two years for tractors and combines. Truist's Jamie Cook sees 2025 as the EPS trough, with potential upside from production aligned with retail demand, stronger pricing, tariff management, and cost efficiencies, even if overall retail demand remains flat. Truist updated fiscal 2025, 2026, and 2027 earnings per share estimates to $18.30, $21.85, and $27.90, respectively (from $18.55, $24.20, and $30.00, respectively), resulting in a price forecast update from $619 to $602, with an unchanged Buy rating. Analyst Jamie Cook sees greener pastures ahead for Deere & Company, calling it one of the best-managed names in the industrial machinery space, underpinned by a growing technology platform and a resilient earnings stream. Cook notes that Deere has steadily improved through-cycle margins, returns, and cash flow, positioning it to outpace sector peers. According to Cook, Deere's performance in the current farm equipment downturn demonstrates that its earnings and margins are structurally higher than in past cycles, and the company remains on track to meet its 2030 through-cycle margin target of 20%. She projects that 2025 will likely mark the bottom of the farm equipment cycle, with a potential upturn in 2026.
