As detailed below, the complaint alleges that the Company and its executives violated federal securities laws by making false and/or misleading statements and/or failing to disclose that: (1) the Company's subsidiary, Lugano Holdings, Inc., maintained unrecorded financing arrangements and irregularities in its sales, cost of sales, inventory, and accounts receivable; (2) the irregularities and undisclosed details in Lugano Holdings, Inc.'s financial statements rendered the financial statements of the Company as a whole unreliable, and would require restatement; (3) the Company failed to maintain adequate internal controls related to its financial statements; and (4) as a result, defendants' public statements were materially false and/or misleading at all relevant times. When the true details entered the market, the lawsuit claims that investors suffered damages.
On May 7, 2025, after the market closed, the Company disclosed that its financial statements for fiscal year 2024 should no longer be relied upon in response to an ongoing internal investigation into the Company's subsidiary, Lugano Holding, Inc. The Company revealed that the investigation 'has preliminarily identified irregularities in Lugano's non-CODI financing, accounting, and inventory practices' and that "[e]ffective May 7, 2025, Lugano's founder and CEO, Moti Ferder, resigned from all of his positions at Lugano and will not receive any severance compensation.'

DocuSign: Questions Around Growth Remain
DocuSign posted revenue and earnings growth, beating estimates. The company's free cash flow fell slightly, and its full-year forecast underwhelmed investors. Revenue and adjusted earnings per share were up 8% and 10%, respectively, topping Wall Street expectations. GAAP (generally accepted accounting principles) gross margin came in at 79.4%, up 5 basis points from a year ago, and the company posted solid free cash flow of $227.8 million. DocuSign also surpassed the 10,000 Intelligent Agreement Management customer threshold during the period. Billings rose 4% in the quarter, but DocuSign warned that it expects momentum to fade as the year goes on. For fiscal 2026, DocuSign is now forecasting total billings of $3.285 billion and $3.39 billion, down from its prior guidance for $3.3 billion to $3.4 billion. The billings revision, though slight, highlights the biggest challenge facing DocuSign right now. The business is healthy and profitable, but investors are worried about where growth will come from. The company is forecasting full-year fiscal 2026 revenue of $3.15 billion to $3.16 billion, which, at the midpoint, would represent just a 5% gain from last year's $2.98 billion in total revenue. DocuSign is putting its cash to work for investors, announcing a new $1 billion repurchase program. But with the company's share count up nearly 6% in just the last three years, much of the buyback would only serve to offset share-based compensation that has added to the float. Investors were more focused on the look ahead than the results. DocuSign shares were down 15% in aftermarket trading following the release but ahead of the company's call with investors. CEO Allan Thygesen, who has been on the job since October 2022, called the results "an important quarter for Docusign's long-term transformation," highlighting the company's "ambitious product roadmap." Expect investors to press Thygesen for specifics about how the transformation is going and when it will translate into real, sustained growth. DocuSign invented its category and continues to hold strong in its core business, even up against competition from Adobe (NASDAQ: ADBE) and Microsoft (NASDAQ: MSFT), which can incorporate e-signatures into broader offerings. But Wall Street is forward-looking. Shares of DocuSign are up nearly 75% over the past year as an initial response to Thygesen's turnaround ambitions. Until investors gain confidence that DocuSign has found a formula to expand its core offering and generate significant revenue growth, the stock could face limits on its ability to accelerate higher from here. Western Exploration Announces Closing of Life Offering of Units for Gross Proceeds of C$5.0 Million
Reno, Nevada--(Newsfile Corp. - June 6, 2025) - Western Exploration Inc. (TSXV: WEX) (OTCQX: WEXPF) (the "Company" or "Western Exploration") is pleased to announce that it has closed its previously announced "best efforts" private placement (the "Offering") for aggregate gross proceeds of C$5,005,000, which includes the full exercise of the agent's option. Under the Offering, the Company sold 7,150,000 units (the "Units") at a price of C$0.70 per Unit. Each Unit consists of one variable voting share of the Company and one-half of one variable voting share purchase warrant of the Company (each whole variable voting share purchase warrant, a " Warrant"). Each Warrant entitles the holder thereof to acquire one variable voting share of the Company (each, a "Warrant Share") at a price of C$0.95 per Warrant Share at any time until June 6, 2028, subject to adjustment in certain circumstances. The Offering was completed pursuant to the terms of an agency agreement dated June 6, 2025 between the Company and Red Cloud Securities Inc. (the "Agent"), as sole agent and bookrunner. The Company intends to use the net proceeds raised under the Offering for exploration and advancement of the Company's Aura Project located in Nevada, as well as for general corporate purposes and working capital. Darcy Marud, President and CEO of Western Exploration commented, "This financing enables us to take the next steps at Gravel Creek for resource expansion with an extensive drill program at Wood Gulch. This is the next step in growing Gravel Creek with additional high grade exploration targets." In consideration for the services provided by the Agent in connection with the Offering, the Company paid cash commission and advisory fees totaling C$280,325.01 and issued an aggregate of 400,464 non-transferable broker warrants (the "Broker Warrants") to the Agent. Each Broker Warrant is exercisable to acquire one variable voting share of the Company (each, a "Broker Warrant Share") at a price of C$0.70 per Broker Warrant Share at any time until June 6, 2028, subject to adjustment in certain circumstances. In addition, in consideration for the provision of certain finder services to the Company in connection with the Offering, the Company also paid certain parties an aggregate cash finder's fee of C$28,738.50 and issued an aggregate 41,055 finder's warrants (the "Finder's Warrants"). The Finder's Warrants were issued on substantially the same terms as the Broker Warrants. All Units distributed in connection with the Offering were issued and sold pursuant to the "Listed Issuer Financing Exemption" available under Part 5A of National Instrument 45-106 - Prospectus Exemptions (the "LIFE Exemption"), as amended by Coordinated Blanket Order 45-935 - Exemptions from Certain Conditions of the Listed Issuer Financing Exemption. A copy of the offering document under the LIFE Exemption dated May 21, 2025 (the "Offering Document") is available electronically on the Company's website and on SEDAR+ ( under the Company's issuer profile. Pursuant to the LIFE Exemption, all Units issued under the Offering are not subject to resale restrictions in Canada in accordance with applicable Canadian securities laws and the policies of the TSX Venture Exchange (the "Exchange"). All other securities not issued pursuant to the LIFE Exemption, namely, the Broker Warrants and Finders Warrants, are subject to a statutory hold period in accordance with applicable Canadian securities laws, expiring on October 7, 2025.
