PSEG recommends shareholders reject "mini-tender" offer by TRC Capital Investment Corporation

NEWARK, N.J., Aug. 1, 2025 /PRNewswire/ — Public Service Enterprise Group (NYSE: PEG) today announced that it has received notice of an unsolicited mini-tender offer by TRC Capital Investment Corporation of Ontario, Canada, to purchase up to 1.5 million shares of PSEG common stock at a price of $80.60 per share. TRC Capital Investment's offer price of $80.60 per share is approximately 4.51% lower than the $84.41 closing share price of PSEG's common stock on July 21, 2025, the last trading day prior to the date of the offer, and approximately 9.4% lower than the $88.97 closing share price on August 1, 2025. The offer is for approximately 0.3% of the shares of PSEG common stock outstanding as of the offer date.
PSEG is not associated in any way with TRC Capital Investment or its unsolicited mini-tender offer. PSEG recommends that shareholders do not tender their shares in response to TRC Capital Investment's offer because the offer is at a price below the market price for PSEG's shares as of the date of the offer and as of August 1, 2025, and subject to numerous conditions. Shareholders who have already tendered their shares may withdraw them at any time prior to the expiration of the offer, in accordance with the terms of TRC Capital Investment's offer. The offer is currently scheduled to expire at 12:00 a.m. Eastern Time on August 20, 2025. TRC Capital Investment may extend the offering period at its discretion.
TRC Capital Investment has made many similar mini-tender offers for shares of other companies. Mini-tender offers seek to acquire less than 5 percent of a company's shares outstanding, thereby avoiding many disclosure and procedural requirements of the U.S. Securities and Exchange Commission (SEC) that would otherwise apply. As a result, mini-tender offers do not provide investors with the same level of protections as provided for larger tender offers under U.S. securities laws.
The SEC has cautioned investors that some bidders making mini-tender offers at below-market prices are 'hoping that they will catch investors off guard if the investors do not compare the offer price to the current market price.' NEW YORK: US stocks ended higher on Wednesday, led by a more than 1% gain in the Nasdaq, as Apple shares climbed after news of its plans to announce a domestic manufacturing pledge, and as some companies delivered upbeat earnings reports. Shares of Apple jumped 5.1% and provided the biggest boost to all three of the major indices after a White House official said the company would announce a US$100-billion domestic manufacturing pledge. In addition, shares of McDonald's rose 3% after the fast-food restaurant's affordable menu drove global sales past expectations, while Arista Networks shares jumped 17.5% after the cloud networking company projected current-quarter revenue above estimates. "Earnings continue to come in better than expected," said Sam Stovall, chief investment strategist at CFRA Research. He said while there is uncertainty surrounding tariffs, investors appear to be upbeat about the near term. Results are now in from about 400 of the S&P 500 companies for the second-quarter earnings season. About 80% of reports are beating analyst earnings expectations – above the 76% average of the last four quarters – and earnings growth for the quarter is estimated at 12.1%, up from 5.8% at the start of July, according to LSEG data. Last week's jobs report showed slowing employment growth and downward revisions for previous months. Market expectations for a September rate cut of at least 25 basis points from the Fed stood at 95.2%, up from 92.9% in the prior session and well above 46.7% from a week ago, according to CME's FedWatch Tool. Investors also awaited Trump's choice to fill a slot on the Fed's Board of Governors. Bucking the day's trend, shares of chip company Advanced Micro Devices and server maker Super Micro Computer fell sharply after the companies posted disappointing results in their data center segments. Advanced Micro was down 6.4% and Super Micro was down 18.3%. Walt Disney delivered a strong quarter and lifted its full-year outlook, but its shares eased 2.7%. Advancing issues outnumbered decliners by a 1.12-to-1 ratio on the NYSE. There were 166 new highs and 76 new lows on the NYSE. On the Nasdaq, 2,195 stocks rose and 2,377 fell as declining issues outnumbered advancers by a 1.08-to-1 ratio.
