Because the Pool 1 Notes validly tendered and not validly withdrawn prior to or at the Early Tender Date have an aggregate principal amount that exceeds the Pool 1 Maximum Amount, Newmont does not expect to accept for purchase all Pool 1 Notes that have been validly tendered and not validly withdrawn prior to or at the Early Tender Date. Rather, subject to the Pool 1 Maximum Amount and the Acceptance Priority Levels set forth in the table above, in each case as further described in the Offer to Purchase, Newmont expects to accept for purchase all of the 2.800% senior notes due 2029 and 2.250% senior notes due 2030 validly tendered and not validly withdrawn prior to or at the Early Tender Date. Newmont expects to accept for purchase the 3.250% notes due 2030 validly tendered and not validly withdrawn prior to or at the Early Tender Date subject to proration as set forth in the Offer to Purchase. As described further in the Offer to Purchase, Notes tendered and not accepted for purchase will be promptly credited to the tendering holder's account. Additionally, because the Pool 1 Notes validly tendered and not validly withdrawn prior to or at the Early Tender Date have an aggregate principal amount that exceeds the Pool 1 Maximum Amount, Newmont does not expect to accept for purchase any Pool 1 Notes tendered after the Early Tender Date on a subsequent settlement date. The Tender Offers for the Pool 1 Notes will expire at 5:00 p.m., Eastern Time, on August 25, 2025 (such time and date, the 'Expiration Date'). Newmont has increased the previously announced Pool 1 Maximum Amount from $1,000,000,000 to $1,000,030,000 and the previously announced Aggregate Cap from $2,000,000,000 to $2,000,030,000 aggregate principal amount (the 'Aggregate Cap') of its Notes.

The 'Total Consideration' per $1,000 principal amount of the Notes of a series validly tendered (and not validly withdrawn) prior to or at the Early Tender Date and accepted for purchase pursuant to the applicable Tender Offer will be determined in the manner described in the Offer to Purchase by reference to (i) the applicable fixed spread for such series of Notes set forth in the table above and (ii) the applicable yield for such series of Notes based on the bid-side price of the applicable U.S. Treasury Reference Security (the 'Reference Security') set forth in the table above, as displayed on the applicable page on the Bloomberg Reference Page FIT6 (with respect to the Pool 1 Tender Offers) and FIT1 (with respect to the Pool 2 Tender Offers), as applicable, at 10:00 a.m., Eastern Time, on August 11, 2025, as such time and date may be extended. Only holders of Notes who validly tendered and did not validly withdraw their Notes prior to or at the Early Tender Date are eligible to receive the applicable Total Consideration, which is inclusive of an early tender payment equal to $50 per $1,000 principal amount of Notes, for each series of Notes accepted for purchase. In addition to the applicable Total Consideration for such series of Notes, holders of Notes of such series accepted for purchase pursuant to the applicable Tender Offer will receive accrued and unpaid interest on the Notes accepted for purchase pursuant to the applicable Tender Offer from and including the most recent interest payment date to but excluding the Early Settlement Date, which is currently expected to be August 13, 2025.
Article content
Newmont will issue a press release specifying the Total Consideration for each series of Notes expected to be accepted for purchase. Newmont's obligation to accept for purchase, and to pay for, the Notes that are validly tendered (and not validly withdrawn) pursuant to the Tender Offers is subject to the satisfaction or waiver by Newmont of certain conditions to the Tender Offers set forth in the Offer to Purchase. Each Tender Offer is not conditioned upon the completion of the other Tender Offers. In addition, the Tender Offers are not conditioned on any minimum aggregate principal amount of Notes of a series being tendered.

Currency Exchange International, Corp. Announces Approval to Amend Share Buyback Program

TORONTO, Aug. 20, 2025 (GLOBE NEWSWIRE) -- Currency Exchange International, Corp. ('CXI' or the 'Company') (TSX:CXI) (OTCQX:CURN) today announced acceptance by the Toronto Stock Exchange (the ' TSX ') of the Company's Notice of Intention to amend its normal course issuer bid (the ' NCIB '). The amendment is effective as of August 25, 2025, and increases the maximum number of common shares (the ' Shares ') of the Company that may be repurchased, from 316,646 Shares to 377,000 Shares, representing 8.09% of the 'public float' as at November 18, 2024 and 10% of the 'public float' as of today's date. As of November 18, 2024, CXI had 6,332,931 common shares issued and outstanding. Purchases under the NCIB began on December 2, 2024 and will terminate no later than December 1, 2025. The Company reserves the right to terminate the NCIB earlier if it feels that it is appropriate to do so. Under its current NCIB, as of August 18, 2025, the Company has repurchased 221,400 Common Shares, at a weighted-average price of C$20.84. All Shares will be purchased on the open market through the facilities of the TSX as well as on alternative Canadian trading platforms, at prevailing market rates and any Shares purchased by CXI will be cancelled. The actual number of Shares that may be purchased and the timing of any such purchases will be determined by CXI. Any purchases made by CXI pursuant to the share buyback program will be made in accordance with the rules and policies of the TSX. Under the policies of the TSX, CXI will have the right to repurchase under its share buyback program, during any one trading day, a maximum of 1,000 Shares. In addition, CXI will be allowed to make a block purchase (as such term is defined in the TSX Company Manual) once per week of Shares not directly or indirectly owned by the insiders of the Company, in accordance with TSX policies. CXI will fund the purchases through available cash. In deciding to amend the share buyback program, the Board of directors believes that the market price of the Common Shares may not, from time to time, fully reflect their long-term value. Accordingly, the purchase of the Common Shares under the amended share buyback program is in the best interests of the Company and an attractive and appropriate use of available funds. Although the Company has a present intention to acquire its Shares pursuant to the share buyback program, the Company will not be obligated to make any purchases and purchases may be suspended by the Company at any time. The Company has also amended its automatic share purchase plan (the ' ASPP ') with its broker to allow for the purchase of up to 377,000 Shares under the ASPP. All repurchases made under the ASPP will be included in computing the number of Shares purchased under the NCIB. About Currency Exchange International, Corp. One in five small businesses dealing with tariffs won't last more than six months if nothing changes, says survey

A new survey says one in five small Canadian businesses dealing with tariff costs won't last more than six months if the status-quo lingers on. The survey of Canadian Federation of Independent Business members shows 62 per cent of businesses are facing higher expenses, 48 per cent are seeing lower revenues, 41 per cent are experiencing supply chain disruptions, and 41 per cent are pausing investments. ADVERTISEMENT Additionally, 19 per cent of small businesses dealing with extra tariff costs report they won't be able to last more than six months if the tariff situation remains, with 38 per cent saying they would last less than a year. 'At the end of the day many of these small businesses have been trying to absorb these added costs, but frankly they're running out of runway,' said Ducan Robertson, the federation's director of legislative affairs in Nova Scotia. The federation is calling for the federal government to take retaliatory tariffs collected at the border and return it to businesses feeling the most impact. 'That could be in the form of reducing the federal small business tax rate to zero per cent, temporarily,' said Robertson. 'It could be a rebate sent to small businesses, similar to what happened during the carbon tax.' The federation said its online survey has been active since Aug. 8, with 1,721 respondents. For comparison purposes, a probability sample with the same number of respondents would have a margin of error of at most +/- 2.36 per cent, 19 times out of 20.
