ISS recommends against Shari Redstone's re-election to Paramount board

June 24 (Reuters) - Proxy adviser Institutional Shareholder Services said on Tuesday Paramount Global (PARA.O), opens new tab shareholders should vote against the re-election of four directors to the board, including the media company's chair Shari Redstone.
A vote against their re-election is warranted as the directors maintained a "problematic capital structure", ISS said in a report dated June 23, recommending votes against Redstone and governance committee members Barbara Byrne, Linda Griego and Susan Schuman.
ISS also cited concerns with Paramount's executive pay plans including what it called a "relatively large influence" of individual performance on annual bonus payouts for recommending votes against three of the directors, who serve on the company's compensation committee.
Paramount is seeking to close its $8.4 billion merger with Skydance Media, which is pending regulatory approval. The company earlier this month nominated three new directors to its board, and ISS has recommended a vote for the nominees.
Paramount is scheduled to hold its annual stockholder meeting on July 2.

Billionaire Bill Ackman is continuing his charge to change education in America as he's backing new, AI-assisted 'Alpha Schools' in four states. While much of Ackman's activism has been aimed at rooting DEI and ' woke ideology' out of the Ivy League schools that helped make him, Alpha Schools are aimed at K-12 education. Alpha Schools already exist in Texas, Florida and California and are coming to four states this fall, including a Manhattan campus, heading to Ackman's backyard, where he will become an ambassador. The schools use artificial intelligence and teachers are known as 'guides' - many of whom don't have traditional teaching backgrounds - who help 'speed-teach' two hour lessons to students. They claim that the two-hour, AI-software backed lessons teach students twice as much than a traditional school. Children are still kept active in the afternoons with 5-mile bikerides and AI-generated plans that allow children to explore personal hobbies and teaching practical skills like entrepreneurship, public speaking and financial literacy, according to WSJ. Ackman, whom some have hailed as the new Warren Buffett, hailed the program on social media: 'The first truly breakthrough innovation in K-12 education that I have seen since the Kipp Academy.' 'The bottom line: Alpha kids love school and have incredible outcomes.' While much of Ackman's activism has been aimed at rooting DEI and ' woke ideology' out of the Ivy League schools that helped make him, Alpha Schools are aimed at K-12 education Co-founder Mackenzie Price noted that social issues and politics are not allowed in her classrooms. 'We do not let anything - political, social issues - come in the way. We stay very much out of that,' she said. The schools are charging 'founding families' anywhere from $45,000 to $60,000 a year for tuition. Unsurprisingly, liberal teachers union head Randi Weingarten is not a fan of Price's ideas. 'Students and our country need to be in relationship with other human beings. When you have a school that is strictly A.I., it is violating that core precept of the human endeavor and of education,' she told The New York Times. Ackman has long been at odds with Harvard, criticizing the university for not doing enough to protect students from antisemitism. Early last year he launched an unsuccessful bid to get four candidates on the ballot for a governing board. The financier runs New York-based hedge fund firm Pershing Square Capital Management and has been a vocal supporter of Trump's policies on tariffs and spending. Harvard is 'a collection of buildings, nice real estate' located in Cambridge, Massachusetts next to the Charles River, he said. But its cutting-edge faculty, researchers and students could easily move elsewhere, he said. 'This is the best time in history to start a university.' He also again hit out at the school's governing board, saying it has become insular and that there is no mechanism to remove members the way there is in corporate America where investors can run board challenges.

WASHINGTON, Aug 20 (Reuters) - U.S. Director of National Intelligence Tulsi Gabbard on Wednesday announced the first major overhaul of her office since its creation, slashing personnel by more than 40% by October 1 and saving more than $700 million per year. Among other changes, the restructuring eliminates the Foreign Malign Influence Center, which monitors foreign efforts to influence the American public. A fact sheet said that function was already performed by other U.S. intelligence units. The Trump administration has sought to shrink the federal bureaucracy and has made sweeping cuts to a number of agencies. Gabbard's announcement also comes as she accuses former intelligence officials and others of involvement in what she says was a manufactured and politicized assessment that Russia sought to influence the 2016 presidential vote in U.S. President Donald Trump's favor. The Office of the Director of National Intelligence (ODNI) played a key role in drafting those findings, which were confirmed by bipartisan Senate intelligence committee reports and a recent review ordered by CIA Director John Ratcliffe. ODNI also oversaw assessments that Russia used online influence operations to try to sway the 2020 and 2024 presidential votes to Trump. Russia denies the allegations. The office was created after the September 11, 2001, al Qaeda attacks on the U.S. to coordinate the work of the 18-agency U.S. intelligence community. "Over the last 20 years, ODNI has become bloated and inefficient, and the intelligence community is rife with abuse of power, unauthorized leaks of classified intelligence, and politicized weaponization of intelligence," Gabbard said in a statement. The overhaul is required so ODNI can focus "on its core mission: find the truth and provide objective, unbiased, timely intelligence to the president and policymakers," she said. ODNI had about 1,800 employees when Gabbard took the helm, and she has already reduced staff by about 25 percent, according to the Federal News Network, which focuses on news about the federal workforce. The additional 40% cut will save taxpayers more than $700 million a year beginning when fiscal 2025 ends on October 1, Gabbard said. The ODNI fact sheet said Gabbard is also eliminating units that track weapons of mass destruction and cyber threats, saying that work, too, is performed by another intelligence unit. Eliminated as well is a group that produced long-range forecasts of global trends.
