AirAsia X seeks shareholder nod for new related-party deals worth over RM43mil

KUALA LUMPUR: AirAsia X Bhd (AAX) is seeking shareholder approval for several new related-party transactions (RPTs) worth over RM43 million.
This includes a RM42 million base maintenance services agreement with Asia Digital Engineering Sdn Bhd, the group said in a bourse filing.
The proposals, to be tabled at the company's annual general meeting on June 18, also cover a RM945,000 customer services partnership with Move Travel Sdn Bhd and a RM1.5 million merchandising arrangement with Move Duty Free Sdn Bhd.
At the same time, AirAsia X is proposing to renew its existing shareholder mandate for RRPTs involving services such as aircraft leasing, inflight catering, insurance, advertising and cargo operations.
These involve entities linked to Capital A Bhd, AirAsia Bhd and other associated companies.
Among the most significant RRPTs are cargo-related transactions with Teleport Everywhere Pte Ltd valued at RM288 million, platform services from AirAsia MOVE Sdn Bhd estimated at RM75.7 million and inflight catering and merchandise procurement from Santan at RM57.7 million.
AirAsia X said the transactions are part of its ordinary course of business and will be conducted on normal commercial terms, with no special treatment given to related parties.
The parties involved include directors and major shareholders such as Tan Sri Tony Fernandes, Datuk Kamarudin Meranun and Datuk Fam Lee Ee, who are linked to both AirAsia X and the related companies.
In a separate filing, the group announced that Kamarudin, who is also a non-independent executive director, has declared his intention to deal in the company's shares during the closed period ahead of its financial results.
Kamarudin holds a direct stake of 8.54 per cent, or 38.17 million shares, and an indirect stake of 29.31 per cent, or 131.03 million shares, via a combination of personal holdings and stakes through Tune Group and AirAsia Bhd.

MELAKA: Polytechnics and Community Colleges (PolyCC) continue to demonstrate the effectiveness of the national Technical and Vocational Education and Training (TVET) system, achieving an impressive graduate employability rate of 98.8 percent in 2024. Higher Education Ministry Secretary-General (KSU) Datuk Dr Anesee Ibrahim said the achievement was the result of strong collaboration between PolyCC and nearly 20,000 industries through the implementation of high-impact programmes such as Work-Based Learning, Structured Industrial Training, as well as Professional and Competency Certification. 'The academic programmes offered at PolyCC are ensured to gain accreditation and recognition from authorised professional bodies such as the Malaysian Qualifications Agency (MQA), the Malaysia Board of Technologists (MBOT), and professional certification agencies. 'This accreditation proves that Polytechnic and Community College graduates receive formal recognition from the government, both domestically and internationally, as well as from relevant industries,' he said in Ayer Keroh here today. He was speaking at the 22nd Convocation Ceremony of Politeknik Melaka, which was also attended by Dr Shamsuri Abdullah, Deputy Director-General (Planning) of the Department of Polytechnic and Community College Education. Elaborating further, Anesee said efforts to produce well-rounded and entrepreneurially-minded graduates were also being emphasised, with 119 entrepreneurship incubators successfully established this year, involving 476 students and generating nearly RM800,000 in sales. 'Students are exposed to various programmes during their studies, including skills competitions, entrepreneurship activities, research, volunteerism, and sports, to shape holistic and dynamic character,' he said. He added that PolyCC is also actively forging partnerships with various international institutions from countries such as Russia, Japan, Korea, Türkiye, China and Indonesia, to strengthen academic and research collaboration in line with the ministry's focus on the internationalisation of higher education. 'This move aligns with the ministry's aspiration to strengthen Malaysia's position as a world-class higher education hub, while elevating PolyCC as a leading TVET institution at the international level,' he said. Anesee noted that PolyCC now stands as a premier TVET institution with 36 polytechnics and 106 community colleges, involving nearly 15,000 staff and 97,000 active students, including in Melaka, which hosts two polytechnics and six community colleges. 'This year, a total of 32,087 graduates from polytechnics and community colleges will have been or are being celebrated in 28 convocation ceremonies held nationwide,' he said. - Bernama

The unit, which adopts the D2EI theme of Sarawak's Women's Day 2025, embodies the state's commitment to a people-centred development approach that upholds fairness in diversity regardless of geography, gender, ethnicity, religion or ability. At the Sarawak Women's Day 2025 celebration held at the State Legislative Assembly (DUN) Complex here today, Abang Johari said the state government intends to strengthen women's involvement in high-growth sectors. 'This includes support in the form of economic grants, digital entrepreneurship training and start-up assistance. We have grants from the government and the state holds some influence in Affin Bank as a major stakeholder. 'We have asked the bank to assist us in investment-related efforts, including lifelong learning opportunities. This will certainly empower women more comprehensively in line with the D2EI values,' he said. He added the D2EI principles align with the Post Covid-19 Development Strategy 2030, which also emphasises inclusivity, and believed these values could help raise household income and reduce poverty across the state over time. Meanwhile, Minister for Women, Childhood, and Community Wellbeing Dato Sri Fatimah Abdullah said her ministry is working with key organisations including the United Nations Population Fund (UNFPA), the 30% Club, and the Asian Women Leadership University College (AWLUC) to further strengthen the direction and implementation of the D2EI initiative. In this regard, she said the ministry is seeking support and sponsorship from the Sarawak government to fund studies for selected individuals to pursue the Master of Arts in Leadership Development programme at AWLUC, which costs RM105,000 in total (RM35,000 per student for the entire duration). Abang Johari approved the request, stating that the funding would be disbursed through Yayasan Sarawak. KUALA LUMPUR: Prime Minister Datuk Seri Anwar Ibrahim announced an allocation of RM100,000 for each village under the Federal Land Development Authority (Felda) to implement development projects of their choice. He said the approach of allowing villagers to choose their preferred projects is in line with the Madani Government's aspiration, which emphasises consultation and community empowerment. "I have prepared the allocation, with each Felda village receiving RM100,000 to decide which project they want to implement. "This is not Felda management deciding what project to undertake. Want to buy a tractor? Build a fish pond? Purchase a drone? You decide what you want; I'm providing RM100,000 for each village," he said when launching the 2025 Mega 3D Carnival (MK3D) at the Malaysia International Trade and Exhibition Centre (MITEC) here on Saturday (Aug 2).
