Brazilian renewable energy company Rio Alto Energias Renovaveis SA is working with financial advisory firm Laplace Finanças and law firm Felsberg Advogados as debt restructuring advisers, according to people familiar with the matter.
Laplace and Felsberg have been helping Rio Alto negotiate with its creditors to reach an agreement as the company seeks to avoid filing for bankruptcy protection, the people said, asking not to be named because the discussions are private.

RIO DE JANEIRO – Netflix and Embratur, the Brazilian Tourism Board, announced Friday a cooperation agreement aimed at boosting tourism through Brazilian audiovisual productions, establishing a model which could be used in other countries. Embratur President Marcelo Freixo and Netflix Director of Public Policy for Brazil Mariana Polidorio announced the deal during a panel at Rio2C, Latin America's largest creativity event that is running over May 27 to June 1 in Rio. The panel also counted on Fernanda Souza, host of Netflix hit reality show 'Stranded With My Mother-In-Law.' Inspired by the success of some of Netflix's biggest plays in countries such as France and Spain, the initiative takes in a promotional video which plays on the tourist potential of settings from productions that have captivated global audiences – such as 'Invisible City,' lensed in the Amazon rainforest, or 'Love Is Blind Brazil,' with seasons shot at destinations such as Trancoso, Bahia, and Bom Jardim da Serra, Santa Catarina, nd 'Sintonia,' highlighting the urban landscapes of São Paulo's outskirts. 'Audiovisual content is a powerful tool and a key asset for tourism promotion. Many people choose their travel destinations based on a movie or series they've watched. Brazilian content and talent are globally recognized for their quality, they carry our cultural identity, and they continue to win hearts all over the world. Brazilian Fintech Firm Méliuz Plans $78M Equity Offering to Buy Bitcoin, Shares Plunge

Brazilian fintech Méliuz (CASH3), which serves over 30 million users in the country, is launching a public share offering to raise up to R$450 million ($78 million), with plans to allocate all proceeds to purchasing bitcoin BTC. The offering, announced Friday in a securities filing, consists of an initial issuance of 17 million common shares, with the possibility of expanding to 51 million depending on demand. Shares will be sold exclusively to professional investors in Brazil and abroad under automatic registration rules. Each share purchased will come with a package of free subscription warrants divided into 10 series, allowing investors to buy additional stock at set prices in the future. At current share prices, Méliuz expects to raise around $26 million, but that figure could triple if overallotment options are exercised. Investors participating in the offering will also receive 50.6 million warrants, of which up to 152 million will be issued in total under maximum subscription conditions. Méliuz will use the raised funds to acquire BTC, positioning it as a "primary strategic asset" in its treasury. The firm, known for its cashback and financial services platform, revealed it was allocating 10% of its cash reserves to BTC back in March. Warrant trading is expected to begin on June 16, with share settlement and crediting of the bonus instruments by June 18. The company currently holds 320.2 BTC. Its shares dropped more than 8% in Friday's trading session. By Luciana Magalhaes and Leticia Fucuchima SAO PAULO (Reuters) -A new fund managed by private equity firm IG4 Capital is in advanced talks with creditors of Brazilian renewable power company Rio Alto Energias Renovaveis to restructure and invest in its operations, two people familiar with the deal said. Rio Alto, which builds and runs solar energy projects, has a portfolio of more than 1.8 GW in assets operating or under development, but has been struggling to avoid bankruptcy court. In February, the company requested a legal order temporarily halting creditor actions, as it seeks to restructure its debt. Rio Alto and IG4 declined to comment on the matter. One person familiar with the talks said that if the deal is completed, it will represent the first investment from IG4's Fund III, which has already raised some $200 million in capital. The deal would involve restructuring about 1.5 billion reais ($260 million) of debt and injecting some 300 million reais of fresh capital, the person said. IG4 is not the only potential buyer for Rio Alto, but it is well-positioned to move ahead with the deal, according to another person with knowledge of the transaction. The firm was co-founded by Paulo Mattos, a former GP Investments executive, who was also a director at Brazilian development bank BNDES.
