Co accused in NSEL scam discharged under IBC clause granting immunity

Time of India24-05-2025
Mumbai: Dunar Foods Ltd, an accused in the 2016 NSEL scam case involving alleged cheating and siphoning of funds, has been discharged from criminal proceedings. The court's decision was based on Section 32A of the
Insolvency and Bankruptcy Code
(IBC), which grants immunity to corporate debtors once a resolution plan is approved and management changes hands.
In a recent order, special judge V P Desai referred to citations and said it was crystal clear that once the resolution plan forwarded by Resolution Professional is accepted by the NCLT, immunity cannot be denied to the corporate debtor. "The provision of section 32A is not to shield the wrongdoers. The extinguishment of the criminal liability of the corporate debtor is apparently important to the new management to make a clean break with the past and start on a clean slate.
It must also not overlook the principle that the provision is part of an economic measure," the judge said.
The judge further said that, thus, though it can be gathered that the company was involved in the offence committed by the prime accused, Surender Gupta in conspiracy along with others, as the resolution plan is accepted by NCLT, there is immunity to the corporate debtor. "Therefore, in view of section 32A (1) of IBC, as the corporate debtor cannot be liable for criminal proceedings committed prior to commencement of the Corporate Insolvency Resolution Process, M/s Dunar Foods Ltd needs to be discharged," the judge said.

The CBI alleged a conspiracy was hatched between 2007 and 2013 to defraud M/s PEC Ltd of approximately Rs 120 crore through fraudulent agro-commodity trades on the NSEL platform, with Dunar Foods Ltd identified as a major beneficiary.
However, Dunar Foods Ltd sought discharge, arguing its financial creditor, State Bank of India, initiated insolvency proceedings. A resolution plan was approved by the National Company Law Tribunal on Nov 26, 2019, leading to a change in the company's management with a man being appointed as the Successful Resolution Applicant.
The defence submitted that the new management, having paid the entire amount along with interest under the approved resolution plan, should not face ongoing criminal proceedings due to the protection offered by Section 32A of IBC. They cited several Supreme Court and high court judgments, emphasizing on the principle of a "fresh slate" for successful resolution applicants, preventing them from being burdened by pre-existing claims.
The CBI opposed the plea, submitting allegations of fraudulent transactions and the company's alleged role as beneficiary of misappropriated funds. But the court noted CBI's arguments did not specifically address the applicability of Section 32A of IBC. The judge said the resolution plan for Dunar Foods Ltd was approved on Nov 26, 2019, and the company's criminal liability ceased from that date.

Minor Girl Missing Since 2023 Rescued From Rajasthans Pali, Five Arrested

The Central Bureau of Investigation (CBI) has rescued a minor girl from Pali, Rajasthan. She had gone missing from Bardhaman, West Bengal, since August 2023. The case was registered by CBI on February 16, 2024, in compliance with the order dated February 8, 2024, passed by the High Court of Calcutta in W.P. No. 793 of 2024. The missing girl had disappeared on August 9, 2023, when she had gone for tuition and did not return. It was believed that she had been kidnapped. Initially, the case was investigated by the local police and then by the CID, West Bengal. Thereafter, on the petition of the mother of the missing girl, the High Court at Calcutta transferred the case to the CBI. Based on the information received from sources and CDR (Call Detail Record) analysis, leads were obtained that the missing girl might have been sent to district Pali in Rajasthan. Accordingly, the CBI team visited Pali, Rajasthan, and after verifying the information, the missing girl was recovered from the residence of the accused at Pali, Rajasthan, on August 8, 2025. The investigation revealed that the missing girl was a minor when she went missing and was shown as a major in the affidavits created for her marriage. She was sold twice for marriage. It is suspected that this incident could be part of a bigger human trafficking network. After the rescue of the girl, CBI arrested five persons on August 8, in connection with the case and produced them in the Court of Judicial Magistrate, Marwad Junction, District Pali on August 9, 2025, which granted Transit Remand for three days in respect of all accused persons for their production before the Court of Additional District & Sessions Judge at Purba Bardhaman in West Bengal.

Cops in slumber, scrap thieves targeting construction material make hay in Bengaluru

Bengaluru: Construction sites on the city's periphery have a new-found problem: Scrap thieves. The miscreants are not the usual fly-by-night thieves, but a well-organised gang that uses elderly men as scouts to pull off daring and early-morning heists. The operation of the gang is simple: An elderly man will casually survey sites with little or no security. Once he spots a soft target, he will tip off the gang. Hours later, usually between 2.30am and 4am, a group posing as construction workers will arrive in a goods van and load up construction material before fleeing. According to police sources, over 15 such thefts have been reported in recent weeks in areas like Dasarahalli, Bagalagunte, Peenya, Soladevanahalli and Madanayakanahalli. While prices of construction materials have skyrocketed and thieves find it easy to dispose of stolen goods, for police, these crimes are still low priority and the lost goods are not of high value. Mithun, a scaffolding supplier from Peenya, recounted his loss: "I lost 240 scaffolding sheets in one night. In 10 days, my losses hit Rs 11.5 lakh. We started monitoring the site and noticed an elderly man hanging around. One night, a tempo arrived and in minutes, everything was gone. by Taboola by Taboola Sponsored Links Sponsored Links Promoted Links Promoted Links You May Like The 5 Books Warren Buffett Recommends You To Read in 2025 Blinkist: Warren Buffett's Reading List Undo We caught the man, but he acted drunk and clueless when we handed him over to police." Despite CCTV footage and growing complaints, little action has followed. A partial breakthrough happened Wednesday when Bagalagunte police recovered 130 stolen sheets from an interstate scrap racket in a pre-dawn raid — but no FIRs were filed and no arrests made. Contractors and site owners are now left to fend for themselves. "We're forced to guard half-built buildings like fortresses," said Ramamurthy, a contractor from Dasarahalli. "These gangs are fearless and getting bolder. It has become a headache to even protect half-built structures," he added.
