Investcorp wins big from Citykart exit after co gets capital from A91, TPG

Bahrain-based private equity firm Investcorp earned more than four times its investment after exiting value retail chain Citykart, which raised about ₹538 crore in its Series B funding round, led by TPG NewQuest and A91 Partners, through a mix of direct investment and share sales, a top executive said.
Investcorp invested ₹75 crore in 2019 in the company's seed round and will now exit with about ₹280-300 crore, Citykart's co-founder Sudhanshu Agarwal told Mint in an interview. 'We undertook this entire process to give an exit to our investors. We are already cash-rich and have a healthy balance sheet, as we have been profitable since inception. While there may be some scope to raise a debt round later, there are no immediate plans to raise any further capital."
TPG NewQuest - a secondary private equity platform for Asia within TPG, and growth-stage investor A91 Partners' entry marks a significant shift in the company's cap table, while existing investor India SME Fund continues to hold a minority stake.
The company did not disclose any details of the valuation.

As per the terms of the deal, about ₹120 crore constitutes primary capital that will be used to accelerate the company's expansion plans, such as increasing store count and entering new product categories. The company has about 137 stores but plans to add another 40-50 every year.
The remaining portion was reserved for secondary transactions. Typically, shareholders in a secondary transaction sell their stakes to other existing or new investors, and no new capital is injected into the company. Secondary transactions generally take place at a discount to the primary shares.
Increasing stores
'We will be bringing in more stores in the areas where we are present and will also explore other neighbouring states. We've already started opening stores in various places such as Jharkhand, Orissa and Chhattisgarh... we will focus on a combination of fortification (strengthening presence in existing areas) as well as foraying into newer territories," Agarwal said.
Beyond apparel, Citykart is also evaluating newer products like cosmetics. 'We are noticing that cosmetics has become very big in tier 2 and 3 areas. Our focus has always been on identifying product lines that are unorganised and then entering to make them organised and available through our stores," he said. 'So, we feel cosmetics is one field among 4-5 other categories where we feel we can really drive volumes and become more relevant for our customers."
In FY24, Citykart reported an operating income of ₹628 crore, compared to ₹524 crore a year ago. It posted a profit of ₹11.94 crore, compared to ₹24 lakh in FY23, according to a Crisil ratings report in August.
Agarwal further said the company reported revenue of ₹950 crore in FY25 and expects to reach about ₹1,300 crore in the current financial year. Citykart will also tap the public markets to further unlock value for its shareholders, but it aims to at least double its scale before considering a listing, he said.

He attributed the increase in revenue and improved profitability to better same-store sales growth (SSSG) over the last two years. 'We did some surveys of customers visiting our stores as well as other nearby markets and retailers, and we realised that they are very value-conscious. We understood that increasing the average selling price won't work as they are looking for more offers and promotions," Agarwal said.
Customer feedback
'We made some changes based on these observations, and we saw nearly 70% of our customers come back. Beyond price conscious, it also became clear that it is a volume game as these higher volumes contributed to a bulk of our SSSG," he said. They will continue pricing their products attractively and drive volumes that will target a broader base of customers.
Founded by Agarwal and his brother Rohit Agarwal in 2015, Citykart aims to further strengthen its reach in underserved yet budget-conscious markets. With the bulk of its revenues coming from tier 2 & 3 areas alongside a portfolio of in-house brands such as Athiya, Nimes, Fumee, and Remise, the company caters to over 15 million customers annually.

Crisil noted that the company's established market presence in tier 2 areas and beyond offers healthy potential for growth. However, it continues to face some headwinds from the fragmented nature of the industry, which results in intense competition from the unorganised market. The company's growth is limited by the number of new stores it can open.

Quick Routes Int'l exits Zinka Logistics; pares 9% stake for Rs 672 cr
New Delhi, Jun 3 (PTI) Quick Routes International on Tuesday exited Zinka Logistics Solutions by selling a 9 per cent stake in the company for Rs 672 crore through open market transactions. Zinka Logistics Solutions is the parent entity of logistics unicorn Blackbuck. According to the bulk deal data available on the NSE, Quick Routes International sold more than 1.59 crore shares in two tranches, representing a 9 per cent stake in Zinka Logistics. The shares were offloaded in the price range of Rs 420.06-420.25 apiece, taking the combined transaction value to Rs 671.76 crore. In a separate transaction on the NSE, Peak XV Partners' affiliate Peak XV Partners Investments VI disposed of 12.10 lakh shares in Zinka Logistics Solutions for Rs 53 crore. The shares were sold at an average price of Rs 444.71 per piece, taking the deal size to Rs 53.84 crore. Meanwhile, Abu Dhabi Investment Authority, Massachusetts Institute of Technology, ICICI Prudential Mutual Fund, SBI Mutual Fund and Nomura India acquired a total of 83.87 lakh shares or cumulatively a 4.73 per cent stake in Bengaluru-based Zinka Logistics. Details of the other buyers of Zinka Logistics' shares could not be ascertained on the National Stock Exchange (NSE). In a separate bulk deal on the BSE, private equity firm Accel through its affiliates — Accel India IV (Mauritius) and Accel Growth Fund V — divested a 2.7 per cent stake in Zinka Logistics Solutions for Rs 204 crore through open market transactions. The shares were sold in the price range of Rs 420.04-420.29 per piece, taking the aggregate deal value to Rs 203.78 crore. Details of the other buyers of Zinka Logistics Solutions' shares could not be identified on the exchange. Shares of Zinka Logistics Solutions rose 1.43 per cent to close at Rs 443.75 apiece on the BSE, and it went up by 0.96 per cent to settle at Rs 441.85 per piece on the NSE. Garden Reach inks pact with Norway firm, India to build its first polar research vehicle
Kolkata-based Garden Reach Shipbuilders and Engineers Limited (GRSE), a Government of India undertaking, signed an MoU with Norwegian firm Kongsberg on Tuesday to co-design and build India's first-ever polar research vehicle (PRV) indigenously. The MoU was signed in Oslo in the presence of Union Minister of Ports, Shipping and Waterways Sarbananda Sonowal, who termed it 'a commitment to fostering scientific discovery, advancing India's capabilities in polar and ocean research, and contributing to global efforts to address pressing challenges like climate change.' 'Let this MoU signing be a beacon of hope and progress, signalling India's unwavering commitment to scientific advancement and sustainable development. Together, we are building not just a vessel but a legacy — a legacy of innovation, exploration and international cooperation that will inspire generations to come,' Sonowal said. A PRV is a ship which serves as a platform for research in the polar regions (areas surrounding the North and South Poles). It can also help scientists undertake research in the ocean realm. India currently operates three research base stations in the polar regions — Bharati and Maitri in Antarctica, and Himadri in the Arctic region — and had been planning to have its own PRV for a while now. In 2023, Union Minister Kiren Rijiju informed the Rajya Sabha that the country would have its first PRV within five years at an estimated cost of Rs. 2,600 crore. According to the Ministry, the MoU marks an important milestone for India's shipbuilding sector as it will receive design expertise for developing the PRV 'while taking into account the requirement of National Centre for Polar and Ocean Research, which will use it for research activities in the polar and southern ocean realms'. The PRV will be equipped with the latest scientific equipment, enabling researchers to explore the oceans' depths and study marine ecosystems, Sonowal said. It will be a testament to India's critical shipbuilding capabilities, boosting the Government's 'Make In India' initiative, he added. GRSE, which has built warships, survey and research vessels, will build the PRV in its yard in Kolkata. Meanwhile, Sonowal, who is on a five-day official visit to Norway and Denmark, also represented India in a ministerial meeting on the role of shipping in shaping the future. The meeting emphasised the need for the industry to seek out a stable, long-term, regulatory environment supporting inclusive and decarbonised ocean-based trade. Ministers from Brazil, Japan, UN, US, China and Norway also attended the meet. HC upholds TN law regulating online real-money games
Chennai: A Tamil Nadu law regulating online real-money games like rummy and poker by introducing age, money, time and ad restrictions, besides two-stage Aadhaar-based verification, has been upheld by Madras high court . "In true essence, the online real money games is a trade activity, which, if left unregulated, has immediate implications on health of the public," a division bench of Justice S M Subramaniam and Justice K Rajasekar said on Tuesday. Bench made the observation while dismissing a batch of petitions moved by online gaming platforms challenging validity of restrictions. Refusing to concur with the platforms which contended that a state govt lacks power to bring in such restrictions, the court said, "Both the Union and state govts have power to enact laws in their own respective subject matter apart from the common pool as enabled in List III (concurrent list). This court cannot hold that state is barred from enacting laws regulating online real money games. It is covered under the subject matter of public health and sanitation which comes under List II (state list)," judges said. The argument that Information Technology Rules, 2021 already prescribe a regulatory framework for intermediaries, including online gaming platforms, and hence the state cannot frame a subordinate legislation is unacceptable, the court said. "This court views that the state is fully within its competence to enact laws pertaining to online real money games. This court on perusal of the provisions of the Act (state legislation) finds no contradictions or provisions that run contrary to the central rules in force," the bench said. Moreover, the provisions related to online gaming under IT Rules, 2021 is yet to take effect and remains unenforceable as of today. So there exists a vacuum in regulating online games, the court pointed out. The judges added that they are of the view that the state govt has rightfully taken adequate steps to fill in the vacuum by framing the legislation. Rejecting argument that mandatory Aadhaar verification violates privacy of a player, bench said, "Right to privacy carries with it its own limitations and cannot be claimed in absolute. When put on a scale, a compelling public interest outweighs right to privacy."
