Mawson Finland Limited ('Mawson' or the 'Company') (TSX-V:MFL)(FRANKFURT:PM6) is pleased to announce results from remaining drillholes from the 2025 drilling season at the Company's wholly-owned Rajapalot gold-cobalt project in Finland (see Figure 1, Table 1, Table 2, and Table 3).
Highlights:
Significant 200 m down-plunge step-out at Raja (Raja Deeps) (Figure 1, and Figure 2), including: PAL0388b – 0.7 m @ 18.0 g/t gold (cobalt TBA) PAL0388 – 7.9 m @ 2.29 g/t gold and 868 ppm cobalt, including: 1 m @ 8.64 g/t gold and 725 ppm cobalt
80 m strike-extension of South Palokas (South Palokas Deeps), and a 46 m down-plunge step-out at New Lens, located in the footwall-zone of the South Palokas mineralised system. Significant intercepts include: 4.2 m @ 2.46 g/t Au and 371 ppm Co (from 340.2 m), and 2.6 m @ 3.94 g/t Au and 463 ppm Co (from 399.4 m) in PAL0195.
Discovery of a new gold-only occurrence of mineralisation situated approximately 300 m west of Raja in drillhole PAL0387 , assaying 0.5 m @ 14.4 g/t gold , contained within a wider 9.8 m interval lower-grade zone.
Extensive Bottom-of-till drill programme nearing completion with a total of 830 holes drilled from a planned 900 holes
Mine permitting including environmental impact assessment and zoning approvals ongoing.
Ms. Noora Ahola, Mawson Finland CEO, comments: 'Our 2025 winter drilling campaign has delivered exceptional results, with significant discoveries and extensions validating Rajapalot's exceptional growth potential across multiple zones.
The standout achievement is our 200-metre down-plunge extension at Raja Deeps, which has substantially expanded the mineralised footprint with outstanding higher-grade intercepts of 0.7 metres at 18.0 g/t gold and 7.9 metres at 2.3 g/t gold with 868 ppm cobalt – highlighted by a 1-metre interval grading 8.6 g/t gold.
We've also achieved an 80-metre strike extension at South Palokas Deeps and a 46-metre down-plunge step-out at New Lens in the footwall zone, with significant intercepts of 4.2 metres at 2.5 g/t gold and 371 ppm cobalt, plus 2.6 metres at 3.9 g/t gold and 463 ppm cobalt in drillhole PAL0195.
Perhaps most exciting, is our discovery of entirely new mineralisation 300 metres west of Raja, where drillhole PAL0387 intersected 0.5 metres at 14.4 g/t gold within a broader 9.8-metre mineralised zone. This breakthrough demonstrates significant exploration upside within our existing footprint.
Gold-Cobalt mineralisation has now been drilled to approximately 650 metres below surface at South Palokas and approximately 680 metres below surface at the Raja, with the mineralising system remaining open at depth across the entire project. Our comprehensive 830-hole base-of-till program is nearing completion, while we continue advancing critical mine permitting processes including environmental impact assessment and zoning approvals.'
Technical Discussion
During the 2025 winter drilling programme at Rajapalot a total of 33 drillholes of NQ diamond core, 11,397 m was drilled. To date, gold-assay results (and partial cobalt analysis) have been received for all drillholes completed in this drilling season and presented in Table 1, 2 and 3, and summarised in Figure 1.
Raja Deeps: Target-test drilling (drillhole PAL0388) of a conductive anomaly defined through DHEM geophysics, located in the down-plunge/down-dip position of the Raja projected mineralised zone (see news release dated February 11, 2025) has intercepted 7.9 m @ 2.29 g/t Au and 868 ppm cobalt from 668.3 m downhole (including a rare occurrence on visible gold as reported April 24, 2025, grading 1 m @ 8.64 g/t Au and 725 ppm Co).
Three additional 'navi' wedge holes were drilled from PAL0388 in order to follow up this intercept (collared between 420 and 462 m downhole), where PAL0388b returned an intercept of 0.7 m @ 18 g/t Au (cobalt TBA). Drillholes PAL0388a and PAL0388c also intercepted the mineralised horizon but returning lower-grade intercepts (refer to Table 2 and Table 3, and Figure 1 and Figure 2). Overall, these drilling intercepts represent a significant down-plunge step-out of the Raja zone, extending the known mineralised envelope of Raja by over 200 m from the previously deepest recorded intercept (refer to Figure 2).
Raja West: Target-test drilling in an area approximately 300 metres west of the Raja zone intercepted a very-shallow and broad 9.8 m thick interval of disseminated iron-sulphides, returning a gold-rich intercept of 1.5 m @ 5.47 g/t Au, including 0.5 m @ 14.4 g/t Au from only 29 m downhole (refer to Figure 1 and Figure 2). While geological interpretation of this important new intercept is still underway, this mineralised occurrence at Raja West is hosted in the immediate footwall of a north-west dipping, severely hydrothermally altered shear-zone, conforming to the geological setting of all other mineralised gold-cobalt occurrences in the Rajapalot area. As such, further exploration drilling will take place at Raja West in the upcoming 2026 drilling season, where down-dip step-out to this new mineralised zone will be tested.
New Lens/South Palokas: A total of 8 drillholes were drilled into the New Lens zone of South Palokas, of which 4 drillholes were tails/extensions drilled off existing diamond drillholes that previously ended immediately below the South Palokas zone of gold-cobalt mineralisation; some 80 to 100 m short of where New Lens lies. Of these 8 drillholes, 2 intercepted significant intercepts in New Lens; PAL0016 and PAL0195.
Drillhole PAL0195 was extended to test the down-plunge extension and continuation of the New Lens zone, where it successfully intersected multiple significant intercepts approximately 80 m down-plunge of the next nearest drillhole PAL0335. Significant intercepts recorded from PAL0195 include 4.23 m @ 2.46 g/t Au and 371 ppm Co (from 340.2 m), and 2.6 m @ 3.94 g/t Au and 463 ppm Co (from 399.35 m); refer to Figure 3 and Figure 4.
Drillhole PAL0016 was extended in order to test for lateral, northwards extension from drillhole PAL0364, where it intercepted significant mineralisation of 13.9 m @ 1.03 g/t Au and 666 ppm Co (from 291.6 m), increasing the gold-cobalt mineralised envelope of New Lens to the north by around 43 m.
Drillholes PAL0379, PAL0383, PAL0389 and PAL0393 did not intercept significant mineralisation in the New Lens zone, however, all did intercept gold-cobalt mineralisation as they passed through the South Palokas zone on their intended journey towards the New Lens target depth. PAL0383 intercepted 5.2 m @ 2.61 g/t Au and 1170 ppm Co (from 127.6 m), and 3.7 m @ 1.04 g/t Au and 758 ppm Co, from (137.45 m), representing a 18 m of mineralised step-out to the south in the upper region of the South Palokas zone. PAL0393 recorded up to 1.55 m @ 1.76 g/t Au and 168 ppm Co and 5.85 m @ 0.52 g/t Au and 224 ppm Co as it passed through the already inferred area of mineralisation in the upper-most portions of South Palokas zone supporting both grade and geological continuity as it has been modelled here.
Palokas: Drilling at deep Palokas consisted of 5 holes in total, all targeting down-dip extensions of the Palokas gold-cobalt system. Drillholes PAL0380 and PAL0386 intercepted significant mineralisation, where PAL0380 recorded multiple significant intercepts (recording a best of 6 m @ 1.03 g/t gold; as reported in previous release dated February 11, 2025), and PAL0386 intercepted a single, thinner interval of 1.05 m @ 2.26 g/t Au (cobalt results not yet received).
Drillholes PAL0377, PAL0382, PAL0386 and PAL0396 all intercepted the targeted sulfide-bearing shear structure however, the intercepted sulfidic-rich zones are not gold-bearing in these drillholes due to the interaction of the host-structure with a change in host-recks to the unfavourable dolostone rock units. Location of these Palokas drill-intercepts are illustrated in Figure 3.
Technical Background, Data Verification and Quality Assurance and Quality Control
Four diamond drill rigs from MK Core Drilling Oy, Comadev Oy and Arctic Drilling Company Oy, all with water recirculation and drill cuttings collection systems, were used in this drill program. Core diameter is NQ2 (50.7 mm). Core recoveries are excellent and average close to 100% in fresh rock. After photographing and logging in Mawson's Rovaniemi facilities, core intervals of between 0.4 to 2 m are taken, then half-sawn by independent contractors the Geological Survey of Finland (GTK) in Rovaniemi, Palsatech Oy in Kemi and Geopool Oy in Sodankylä. The remaining half core is retained for verification and reference purposes. Analytical samples are transported by commercial transport from site to the independent contractor CRS Minlab Oy ('CRS') facility in Kempele, Finland. Samples were prepared and analyzed for gold using the PAL1000 technique which involves grinding the sample in steel pots with abrasive media in the presence of cyanide, followed by measuring the gold in solution with flame AAS equipment. Samples for multi-element analysis (including cobalt) are pulped at CRS, then transported by air to MSALABS in Vancouver, Canada and analyzed using four acid digest ICP-MS methods. All the foregoing laboratories are independent of the Company. The quality assurance and quality control program of Mawson consists of the systematic insertion of certified standards of known gold content, duplicate samples by quartering the core, and blanks placed within sample runs in interpreted mineralized rock. In addition, CRS inserts blanks and standards into the analytical process. In addition to the sample preparation and security measures described above, data verification procedures are well integrated into the Company's quality assurance and quality control program. Routine ongoing checking of all data is undertaken prior to being uploaded to the database. This will be followed by independent data verification audits at exploration milestones throughout the Rajapalot project's development. Dr. Fromhold (see 'Qualified Person' below) has also reviewed the qualifications and analytical procedures of the above-mentioned laboratories, photographs of drill cores, and the PEA in connection with verifying the exploration information presented herein.
Of the 33 drillholes drilled, 3 holes were abandoned due to excessive and unexpected deviation leaving 30 drillholes drilled to target/completion. Additionally, a further 5 drillholes were tails/continuations of existing and older drillholes, while 3 drillholes were 'navi' or directional holes collared beneath the surface from an existing deep drillhole.
All maps have been created within the KKJ3/Finland Uniform Coordinate System (EPSG:2393). Tables 1-3 provide collar and assay data. Due to the typically low angles of drill intercepts, the true thickness of the mineralized intervals are interpreted to be approximately 80-90% of the drilled thickness. Table 3 gives detailed individual assay data of all intervals reported in this press release. Intersections are reported with a lower cut of 0.3 g/t Au over 1 m sampled intervals, with composite data (Table 2) containing no more than 2 m of consecutively sampled waste-rock (i.e., 2 m @
Deposit Model
At Rajapalot, mineralization is regarded as orogenic in nature. All examples of gold-cobalt mineralisation are consistently located within highly-sheared and foliated wall-rocks adjacent to strongly hydrothermally altered, northwest to north dipping shear-zones. Mineralisation is typically encountered as disseminated to semi-massive sulfide lenses (predominantly pyrrhotite and lesser pyrite ± cobaltite), hosted within strongly deformed and altered, mafic volcanic and volcaniclasitic stratigraphy of the upper portions of the Paleoproterozoic-aged Kivalo Group of the Peräpohja Greenstone Belt. Prospects with high-grade gold and cobalt mineralisation at Rajapalot occur across a 3 km (east-west) by 2 km (north-south) area within the larger Rajapalot project area measuring 4 km by 4 km with multiple mineralized boulders, base-of-till (BOT). Gold-Cobalt mineralization at Rajapalot has been drilled to approximately 650 metres below surface at both South Palokas and Raja prospects, with mineralisation remaining open at depth across the project.
Rajapalot Mineral Resource
An Inferred Mineral Resource ('MRE') has been calculated for the Rajaplot project (effective date August 26, 2021), and is based on an 'underground only' mining scenario containing 9.8 million tonnes @ 2.8 g/t gold ('Au') and 441 ppm Co, equating to 867 thousand ounces ('koz') gold and 4,311 tonnes of cobalt.

Rajapalot Inferred Mineral Resource Effective August 26, 2021
The independent geologist and Qualified Person as defined in NI 43-101 for the mineral resource estimates is Mr. Ove Klavér (EurGeol). The effective date of the MRE remains unchanged to the Previous MRE (August 26, 2021, available on SEDAR as filed by the previous owner, Mawson), and will be restated in the PEA technical report when it is filed.
The mineral estimate is reported for a potential underground only scenario. Inferred resources were reported at a cut-off grade of 1.1 g/t (AuEq 1 Au g/t + Co ppm /1005) with a depth of 20 meters below the base of solid rock regarded as the near-surface limit of potential mining.
Wireframe models were generated using gold and cobalt shells separately. Forty-eight separate gold and cobalt wireframes were constructed in Leapfrog Geo and grade distributions independently estimated using Ordinary Kriging in Leapfrog Edge. A gold top cut of 50 g/t Au was used for the gold domains. A cobalt top cut was not applied.
A parent block size of 12 m x 12 m x 4 m (>20% of the drillhole spacing) was determined as suitable. Sub-blocking down to 4 m x 4 m x 0.5 m was used for geologic control on volumes, thinner and moderately dipping wireframes.
Rounding of grades and tonnes may introduce apparent errors in averages and contained metals.

NEW YORK--(BUSINESS WIRE)-- The Estée Lauder Companies Inc. (NYSE: EL) today reported its financial results for its fiscal year ended June 30, 2025. Stéphane de La Faverie, President and CEO, said, 'Having closed fiscal 2025 as expected, we remain wholly focused on continuing to execute our strategic vision of Beauty Reimagined with excellence. Despite continued volatility in the external environment, we embarked on fiscal 2026 with signs of momentum and confidence in our outlook to deliver organic sales growth this year after three years of declines and to begin rebuilding operating profitability in pursuit of a solid double-digit adjusted operating margin over the next few years.' FISCAL 2025 SELECT FINANCIAL RESULTS (unaudited) 1,2 1 See pages 22 and 23 for reconciliation between GAAP and Adjusted Non-GAAP measures. 2 Adjusted Non-GAAP measures are calculated based on Net Sales adjusted only for Returns associated with restructuring and other activities. Expand As Reported and Organic Net sales decreased 8%. As Reported and Adjusted Gross margin expanded 230 basis points, to 74.0%, despite the decline in net sales, primarily driven by net benefits from the Company's Profit Recovery and Growth Plan ('PRGP') through operational efficiencies, lower excess and obsolescence and benefits from our strategic pricing actions. Operating margin declined to (5.5)% from 6.2% in the prior year, primarily reflecting the year-over-year increase in both goodwill and other intangible asset impairment charges of $815 million and charges associated with restructuring and other activities of $362 million. The decline also includes $159 million of aggregate charges associated with the talcum litigation settlement agreements. Adjusted operating margin contracted 220 basis points, to 8.0% from 10.2%. This reflects the increase in consumer-facing investments 3, along with sales volume deleverage in fiscal 2025. These impacts were partially offset by net benefits from the Company's PRGP that helped to reduce non-consumer-facing expenses. Effective tax rate was (8.9)%, a decrease compared to 47.0% in the prior year, reflecting the establishment of a valuation allowance against general foreign tax credit and research and development tax credit carryforwards, based on the Company's assessment of the realizability of these deferred tax assets, as well as the tax impacts associated with the charges noted above. Adjusted effective tax rate was 38.8% compared with 31.0%, reflecting a higher effective tax rate on the Company's foreign operations due to its geographical mix of earnings and the unfavorable impact associated with previously issued stock-based compensation. Diluted net (loss) earnings per common share decreased to a net loss of $(3.15) in fiscal 2025, compared with net earnings of $1.08 in the prior year, including impacts from the charges noted above. Adjusted diluted net earnings per common share decreased to $1.51, compared with $2.59. For the year ended June 30, 2025: Net cash flows provided by operating activities decreased to $1.27 billion, compared with $2.36 billion in the prior year, primarily reflecting lower pre-tax earnings, excluding non-cash items, as well as the unfavorable change in operating assets and liabilities. This includes the impact from the significant reduction in inventory in the prior year that drove strong net cash flows in fiscal 2024. The decrease also reflects the increase in restructuring payments. Capital expenditures decreased to $602 million from $919 million in the prior year, primarily due to the prior-year payments relating to the manufacturing facility in Japan. This level of expenditures reflects the Company's efforts in fiscal 2025 to optimize capital expenditures to improve free cash flow. This decline more than offset the benefit from new product launches, including Double Wear Stay-in-Place 24-Hour Concealer and Double Wear Stay-in-Place Matte Powder Foundation. Declines in the lip and eye subcategories from Too Faced and face subcategory from Bobbi Brown, reflecting retail softness for the brands. Partially offsetting these declines, Clinique's net sales growth across all geographic regions, led by the face and lip subcategories, benefiting from its fiscal 2024 third quarter launch in Amazon's U.S. Premium Beauty store as well as innovation such as Even Better Clinical Vitamin Makeup and the expansion of the Almost Lipstick product franchise. Makeup operating income declined, primarily due to the (i) impairment charges recorded in fiscal 2025 totaling $308 million, consisting of the other intangible asset impairment relating to TOM FORD as well as the goodwill and other intangible asset impairments relating to Too Faced and (ii) $159 million of aggregate charges recorded in fiscal 2025 associated with the talcum litigation settlement agreements. The decline also reflects lower net sales, partially offset by the reduction in cost of sales, including net benefits from the PRGP. In the fiscal 2025 fourth quarter, the Company recorded an other intangible asset impairment charge of $50 million relating to Too Faced reflecting lower-than-expected results in key geographic regions and channels. The charge is reflected in the operating results of The Americas. Fragrance Fragrance net sales were flat, primarily driven by: The mid-single-digit increase from the Company's Luxury Brands 5, fueled by strong double-digit growth from Le Labo and, to a lesser extent, KILIAN PARIS. Le Labo's performance was driven by its Classic Collection and City Exclusives, both of which benefited from innovation such as Eucalyptus 20 and Osmanthus 19, respectively, as well as targeted expanded consumer reach. These were partially offset by the year-over-year decrease of $96 million in goodwill and other intangible asset impairment charges relating to Fourth Quarter Results For the three months ended June 30, 2025, reported and organic net sales decreased 12% and 13%, respectively, compared to the prior-year period, reflecting declines across all product categories, except Fragrance, and all geographic regions. Organic net sales decreased 13%, led by Skin Care and Makeup. Net sales fell 17% in Skin Care, primarily driven by Estée Lauder and La Mer, reflecting the challenges in the Company's Asia travel retail business, as previously discussed. Makeup net sales decreased 12%, primarily reflecting (i) lower net sales from Estée Lauder, due to the challenges in the Company's Asia travel retail business, (ii) declines across all geographic regions from M·A·C and (iii) lower net sales in North America, led by Too Faced, primarily due to retail softness for some brands as well as the timing of shipments. Fragrance operating loss increased, primarily driven by the increase in consumer-facing expenses, partially offset by the increase in net sales. Net loss was $546 million and diluted net loss per common share was $1.51, compared to $284 million and $.79, respectively, in the prior-year period. During the three months ended June 30, 2025, the Company recorded restructuring and other charges and other intangible asset impairment charges that, combined, resulted in an unfavorable impact of $527 million ($408 million net of tax), equal to $1.12 per diluted share. In addition, the Company recorded a U.S. deferred tax asset valuation allowance adjustment of $172 million, equal to $.48 per diluted share. The prior-year period results include restructuring and other charges and adjustments that, combined, resulted in an unfavorable impact of $582 million ($516 million 6 less the portion attributable to redeemable noncontrolling interest and net of tax), equal to $1.43 per diluted share. Excluding restructuring and other charges and adjustments referred to in the previous bullet, adjusted diluted net earnings per common share for the three months ended June 30, 2025 was $.09, a decrease from $.64 in the prior-year period. Expand QUARTERLY DIVIDEND Today, the Company announced a quarterly dividend of $.35 per share on its Class A and Class B Common Stock, payable in cash on September 16, 2025 to stockholders of record at the close of business on September 2, 2025. PROFIT RECOVERY AND GROWTH PLAN ('PRGP') In February 2025, the Company announced the expansion of its PRGP, including the restructuring program. While the Company realized more net benefits under the PRGP in fiscal 2025 than expected, these benefits were more than offset by sales volume deleverage, investments to restore sustainable growth and inflation. Actions under the plan are expected to be substantially completed in fiscal 2027, with a majority of the full run-rate benefits expected to be realized during fiscal 2027. The plan is designed to further transform the Company's operating model to fund a return to sales growth in fiscal 2026 and restore a solid double-digit adjusted operating margin over the next few years, and continue to mitigate impacts from external volatility. The Company has made meaningful progress in the execution of its PRGP, as evidenced by adjusted gross margin expansion, the advancement of planned initiatives, internally and with external partners, and cumulative actions under its restructuring program. The Company delivered over 200 basis points of adjusted gross margin expansion in fiscal 2025, despite pressure from its sales volume declines, through initiatives designed to (i) enhance operational efficiencies; (ii) reduce excess inventory; and (iii) improve the realization of net strategic pricing actions by reducing discounts and promotions. This reflects over 300 basis points of expansion in each of the first three quarters, and relatively flat adjusted gross margin in the fourth quarter—despite being the quarter with the largest sales volume decline of fiscal 2025. In addition, the Company reduced its non-consumer-facing expenses by 6% in fiscal 2025, with continued progress in the fourth quarter, to help fund consumer-facing investments, through initiatives designed to (i) reduce employee-related costs, (ii) optimize vendor management and (iii) reduce third-party labor-related costs. Restructuring Program Component of the PRGP Relating specifically to the restructuring program component of the PRGP, once fully implemented, the Company expects to take restructuring and other charges of between $1.2 billion and $1.6 billion, before taxes, consisting of employee-related costs, asset-related costs, contract terminations and other costs associated with implementing these initiatives. The restructuring program is expected to yield annual gross benefits of between $0.8 billion and $1.0 billion, before taxes, to help restore operating margin and also fuel reinvestment in consumer-facing areas to drive sustainable sales growth. The Company estimates a net reduction in positions of 5,800 to 7,000, including approvals to date. This net reduction takes into account the elimination of positions after retraining and redeployment of certain employees in select areas. Approvals for specific initiatives under this restructuring program, in total, are expected to be completed by the end of fiscal 2026. The restructuring program's focus includes the (i) reorganization and rightsizing of certain areas, (ii) simplification and acceleration of processes, (iii) outsourcing of select services and (iv) evolution of go-to-market footprint and selling models. As of June 30, 2025, the Company has recognized total cumulative charges under the restructuring component of the PRGP of $610 million, consisting primarily of employee-related costs. As of August 13, 2025, the Company has approved initiatives totaling cumulative charges of $747 million and a net reduction of over 3,200 positions. Inclusive of approvals through August 2025 and relative to the high end of the total expected ranges, the Company has approved initiatives that account for over 60% of the expected gross benefits and nearly 50% of both the expected charges and net reduction in positions. OUTLOOK FOR FISCAL 2026 FULL YEAR As the Company has done historically, it continues to develop its strategy, assess performance and allocate resources by product category and will continue to report results by product category. Specific initiatives under the expanded component of the restructuring program are expected to be substantially completed by the end of fiscal 2027. (C) During the fiscal 2025 second quarter, the TOM FORD brand experienced lower-than-expected growth within key geographic regions and channels, including in mainland China, Asia travel retail and Hong Kong SAR. Also during the fiscal 2025 second quarter, the Too Faced reporting unit experienced lower-than-expected results in key geographic regions and channels. As a result, the Company made revisions to the internal forecasts relating to its TOM FORD brand and Too Faced reporting unit. Additionally, there were increases in the weighted average cost of capital for both the TOM FORD brand and Too Faced reporting unit as compared to the prior-year annual goodwill and other indefinite-lived intangible asset impairment testing as of April 1, 2024. The Company concluded that the changes in circumstances in the TOM FORD brand and Too Faced reporting unit, along with increases in the weighted average cost of capital, triggered the need for interim impairment reviews of the TOM FORD trademark and the Too Faced trademark and goodwill. These changes in circumstances were also an indicator that the carrying amounts of Too Faced's long-lived assets, including customer lists, may not be recoverable. After performing the relevant impairment assessments, the Company recorded $773 million and $75 million of trademark intangible asset impairment charges for TOM FORD and Too Faced, respectively, as well as a $13 million goodwill impairment charge related to Too Faced. Based on the Company's annual goodwill and other indefinite-lived intangible asset impairment testing as of April 1, 2025, the Company determined that the carrying value of the and Too Faced trademarks exceeded their estimated fair values. As it relates to a decision was made in the prior year in the reporting unit's operating plan to exit the travel retail channel. A revised strategy was implemented that included increased direct investment in other areas of the business, including in mainland China, to support the brand's future growth. However, given the lower-than-expected growth within key geographic regions in fiscal 2025, specifically within mainland China and Korea, it was determined that revisions to the internal forecasts were necessary which were finalized and approved in the fiscal 2025 fourth quarter in connection with the brand's annual planning process, and reflected in the goodwill and other indefinite-lived intangible asset impairment testing as of April 1, 2025. The Too Faced reporting unit continued to experience lower-than-expected results in key geographic regions and channels and as such, it was determined that revisions to the internal forecasts were necessary. These changes in circumstances were also indicators that the carrying amounts of their respective long-lived assets, including customer lists, may not be recoverable. After performing the relevant impairment assessments, the Company recorded $83 million and $50 million of trademark intangible asset impairment charges for and Too Faced, respectively, and a $292 million impairment charge related to the customer list intangible asset for For the three months ended June 30, 2025, other intangible asset impairment charges were $425 million ($327 million, net of tax), with a combined impact of $.89 per common share. For the twelve months ended June 30, 2025, goodwill impairment charges were $13 million and other intangible asset impairment charges were $1,273 million (combined $1,001 million, net of tax), with a combined impact of $2.78 per common share. Based on the Company's annual goodwill and other indefinite-lived intangible asset impairment testing as of April 1, 2024, the Company determined that the carrying value of the reporting unit and trademark exceeded their estimated fair values. Given the lower-than-expected growth within key geographic regions, the reporting unit has made a strategic shift in its operating plan to exit the travel retail channel. This revised strategy also includes increased direct investment in other areas of the business, including in mainland China, to support the brand's future growth. As a result of these changes in strategy, the Company made revisions to the internal forecasts relating to the reporting unit which were finalized and approved in the fiscal 2024 fourth quarter, and reflected in the goodwill and other indefinite-lived intangible asset impairment testing as of April 1, 2024. These changes in circumstances were also indicators that the carrying amounts of its respective long-lived assets may not be recoverable. After performing the relevant impairment assessments, the Company recorded a goodwill impairment charge of $291 million and a trademark intangible asset impairment charge of $180 million related to (combined $430 million, net of tax), with a combined impact of $1.19 per common share, for the three and twelve months ended June 30, 2024. (D) From the end of August 2024 through October 2024, the Company reached agreements with certain plaintiff law firms (collectively, the 'talcum litigation settlement agreements') for: (i) the resolution of pending cosmetic talcum powder matters handled by those firms as well as (ii) a process for resolving potential future cosmetic talcum powder claims expected to be brought on behalf of plaintiffs by those firms from January 1, 2025 through December 31, 2029, with annual capped amounts per year for each participating law firm. To account for the talcum litigation settlement agreements, the Company recorded a charge of $159 million in the fiscal 2025 first quarter for the amount agreed to settle the current claims and an estimated amount for potential future claims. (E) During fiscal 2025, the Company established a U.S. valuation allowance of $172 million against general foreign tax credit and research and development tax credit carryforwards as it was determined more-likely-than-not that these deferred tax assets would not be realized. This determination was driven by the Company's weighing of relevant evidence including lower U.S. taxable income in fiscal 2025 as compared to recent years, reflecting reduced income from its travel retail business, and the resulting uncertainty about the ability to realize the carryforwards prior to expiration. Did you just receive a ‘ghost promotion?' Here's how to tell

'Congrats,' my former manager had exclaimed as he sat me down. 'We're going to make you a vice president. You now get to oversee these two other teams as well. It's going to be amazing for your career here.' I was ecstatic that day when I walked out of his office. Becoming a VP was a huge, highly coveted step at the company. But in the days to follow, my excitement vanished. There was no new paperwork to sign; there was no announcement to the team or broader organization; there was no pay increase. Just a fancy new title and lots and lots more work to do. It finally became clear that I was the victim of a fake promotion—also known as a ghost promotion. Ghost promotions aren't a new phenomenon, but certainly more prevalent when companies are cautious about spending more money. According to a recent Mercer study, there's an ongoing decline in annual compensation budgets given heightened economic uncertainty. Gusto research also shows that promotion rates have slowed steadily across all industries over the last three years, with tech seeing the biggest impact. If you can't pay people more to recognize and reward them, ghost promotions may be a creative solution leaders find themselves offering. 'These hollow advancements are everywhere now,' explains Jason Morris, a business expert at My Profit Engine, a specialized link-building agency. 'Companies have figured out they can keep ambitious employees happy temporarily by changing their title while changing absolutely nothing else.' So how can you tell if you have been the recipient of a ghost promotion, or if your manager is actually focused on your career growth in tough economic times? Consider the following ways to evaluate the offer: 1. Figure out if the promotion feels fishy In my case, my promotion came with no organizational announcement, no new paperwork, no new job description. My former boss asked me to absorb two additional teams during a big restructure of the department. He introduced me as a VP in external meetings with much fanfare and encouraged me to change my email signature. To discern if this was a ghost promotion, I went to my trusted network of friends, a few of them who were vice presidents at the company. They shared what a compensation package for a VP should look like, including ranges for base pay, bonus target, and stock grants. They also let me know that at the VP level, you were assigned a financial adviser paid for by the company, which was one of the additional benefits of getting to that level. My boss never mentioned any of those details. 'A legitimate promotion always involves money talk,' Morris notes. 'If they're avoiding that conversation entirely, they're probably hoping you won't bring it up.' Apart from compensation, here are some other questions to consider when evaluating this promotion: Did you receive a new job description with roles and responsibilities? Was there an announcement to the team and the broader department? Did anyone congratulate you or celebrate you? Did you receive a new contract, which includes changes to pay, but also highlights additional benefits you may receive? Reviewing these questions can help you then prepare for next steps when meeting with your boss. 2. Approach your boss on next steps 'Listen, you should consider yourself lucky I'm giving you a VP title,' my boss had responded, completely irritated that I was asking the specifics about the promotion a week later. 'There's no budget for any of the things you are asking for. And there's no need to tell everyone about it.' I felt my throat dry up and a pit in my stomach. His response validated my concerns. 'Real promotions create ripples throughout an organization,' Morris says. 'If you're the only one who knows about your advancement, it probably isn't real.' In my case, this wasn't real career growth or advancement; it was manipulation. But it's important to know that there may be a case where your boss is focused on supporting your career ambitions. They may be giving you the title now, but putting the promotion in the system next quarter when budgets open up. They may be giving you the title and more job responsibilities now to protect your job if more layoffs are planned. They may be giving you the title now and oversight of the team to make the case for you to receive all the benefits of the real promotion later on in the year. Approaching your boss can give you clarity on what to do next. 3. Use the promotion to your advantage As soon as I determined I'd been given a ghost promotion, I was faced with two choices. One was to not accept the promotion, risk my job security, and aggravate my boss further. The other was to accept the promotion and use it to my advantage. I decided to smile, say thank you, and plot my exit plan. I was able to parlay the ghost promotion, and the increased responsibilities, into a strong career story for a bigger, better role externally—one that was a real promotion with all of the benefits I deserved. 'Sometimes a ghost promotion is actually a gift—it gives you the credentials to pursue genuine opportunities without having to wait for your current company to catch up. The key is recognizing when you're being strung along versus when there's actual potential for growth,' says Morris. If you find yourself in a position where you accept a ghost promotion, use it to your advantage. Use it to find your next opportunity, where you're valued for what you have earned—and deserve.
