VANCOUVER, BC, May 28, 2025 /CNW/ - Black Mammoth Metals Corporation (TSXV: BMM) (OTC: LQRCF) ("Black Mammoth" or the "Company") is pleased to report assay results from the recently completed rock chip sampling program conducted at its Coal Canyon Gold Project ("Coal Canyon" or the "Property") situated in Pershing County, Nevada and is located on the west side of the Humboldt Range, approximately 14 km southwest of the Rochester gold and silver deposit and 2 km south of the Willard Mine (see Figure 1).
The Company began evaluating its Coal Canyon property after collecting 20 rock chip samples from roadcuts and other outcrops. The samples were submitted to ALS Chemex for Au-ICP21 and the ME-MS41 multi-element package to confirm historical sample results and assess the remaining gold potential on the Property. As a result, most rock samples had gold contents ranging from several tenths of a g/t up to 2.28 g/t, accompanied by strong trace element contents with As up to 7120 ppm, as well as Sb (100.5 ppm) and Se (44.7 ppm) (see Figures 2, 3 & 4). The altered and mineralized material appears to be exposed in a window of silicified carbonates of the Lower Plate and in adjacent intrusive (sills), with strong enrichment of iron oxides along the fractures; most of the area is covered by gravel or unmineralized shale of the Upper Plate (see Figure 5).
Based on the results of the new rock samples and the extensive alteration and oxidation along the roadcuts, the Company is encouraged to initiate further exploration steps. Since additional gold mineralization potential is suspected under cover, the Company intends to conduct an induced polarization survey and detailed mapping.

Quality Assurance/Quality Control:
All sampling is conducted under the supervision of the Company's project geologists and the samples are taken to the ALS Laboratory (ALS) in Reno or Elko, Nevada for preparation and analysis.
The ALS PREP-31 package is utilized for sample preparation. In this package, each sample is crushed to better than 70%, passing 2mm, then a 250-gram riffle split is then taken. This split is pulverized to a target of 85% passing 75microns; and a 30-gram portion of this pulverized split is digested by Four Acids and analyzed for gold by the Au-ICP 21 method, which is a Fire Assay, with an ICP-AES (Induced Coupled Plasma) finish. A 41-element suite is also run on the sample using the ALS ME-MS 41 multielement package. This method utilizes Aqua regia digestion followed by low detection ICP-MS (Induced Coupled Plasma) finish. ALS Laboratories have ISO 9001 and 17025 accreditations. Black Mammoth Metals Corp's QA/QC program includes regular insertion of CRM standards, duplicates and blanks into the sample stream with a stringent review of all results. ALS also undertakes their own internal coarse and pulp duplicate analysis to ensure proper sample preparation and equipment calibration.

(CSE: CUPR) (OTCQB: CUPPF) (FSE: N60) (" Super Copper" or the "Company") is pleased to announce that it has closed its previously announced non-brokered private placement of units (the " Units"), raising gross proceeds of $1,000,000 (the "Offering"). Under the Offering, the Company issued 4,000,000 Units at a price of $0.25 per Unit to Apeiron Investment Group Limited (" Apeiron"), a leading global investment firm founded by entrepreneur and investor Christian Angermayer. Each Unit is comprised of one common share and one common share purchase warrant (a " Warrant"). Each Warrant entitles the holder to acquire an additional common share at a price of $0.30 per common share until May 29, 2028. In exchange for Apeiron providing advisory services to the Company, the Company agreed to grant Apeiron an aggregate of 4,000,000 restricted share units (" RSUs") under its equity incentive plan (the " Plan"), of which 3,000,000 RSUs were granted on closing of the Offering and 1,000,000 RSUs will be granted as soon as permitted under the terms of the Plan. To facilitate the granting of the RSUs, an aggregate of 1,200,000 outstanding options were cancelled. Following closing of the Offering and grant of the RSUs, Apeiron holds approximately 10.99% of the issued and outstanding common shares of the Company on an undiluted basis. The Warrants and the RSUs are subject to a restriction on exercise or conversion that prohibits Apeiron from exercising the Warrants or converting the RSUs if the number of common shares to be issued pursuant to such exercise or conversion would exceed, when aggregated with all other common shares of the Company owned by Apeiron, 19.9% of all of the common shares issued and outstanding at such time, unless the Company has obtained shareholder approval for the creation of a new 'control person', in accordance with the policies of the Canadian Securities Exchange. In addition if any of the RSUs have not been settled by the date that is three years following the date of grant, and the Company has not obtained shareholder approval for the creation of Aperion as a new "control person" and if settlement of the RSUs in common shares would violate the foregoing restriction, then the Company has agreed to settle such RSUs by paying Apeiron cash equal to the fair market value of the common shares underlying such RSUs. In connection with the Offering, the Company's CEO, Zachary Dolesky and all other directors of the Company entered into voluntary lock-up agreements covering an aggregate of 5,817,360 common shares. Mr. Dolesky has agreed to lock up 5,317,360 common shares for so long as Apeiron maintains a minimum ownership stake of 10.0% in the Company (on a partially diluted basis). Additionally, subject to Apeiron maintaining a minimum ownership stake of 10.0% in the Company (on a partially diluted basis), the other directors of the Company have agreed to lock up an additional 500,000 common shares for a term of 18 months. Concurrently with the closing of the Offering, Apeiron and the Company entered into an investor rights agreement, that provides, among other things, Apeiron with certain rights in the event it maintains a minimum ownership stake of 10.0% in the Company (on a partially diluted basis), including: (i) the right to participate in equity financings; (ii) top-up rights in the event of dilutive issuances; and (iii) the right to nominate one person to the Company's board of directors. The proceeds raised from the Offering are expected to be used to accelerate the advancement of Super Copper's flagship Cordillera Cobre project in Chile and support broader business expansion initiatives, including targeted acquisitions and for general working capital purposes including marketing and investor relations. The securities underlying the Units and RSUs are subject to a four month hold period, expiring on September 30, 2025 in accordance with applicable Canadian securities laws. Selected financial and operational information is set out below and should be read in conjunction with the Company's March 31, 2025 Condensed Interim Financial Statements and the related Management's Discussion and Analysis, which are available for review at or the Company's website at First Quarter 2025 Financial and Operational Highlights The first quarter of 2025 witnessed a number of significant developments and achievements, together with a few key funding achievements subsequent to the quarter-end, namely: Operational The Company successfully completed construction efforts of the Empower Calgary Facility; and Following the successful completion of construction, the Company began the important task of commissioning the Empower Calgary Facility. The Company's asphalt shingle reprocessing facilities are broadly broken into two main phases: (1) feedstock preparation and mechanical separation of aggregate, and (2) hydrocarbon treatment and processing. The Company successfully completed all commissioning efforts of the first phase and now continues to commission the second phase. Once those efforts are completed, the Empower Calgary Facility will be turned over to operations, currently scheduled for mid-year 2025. Plant Expansions - significant steps continued towards expansion efforts of the Company's business model, including: Empower Hamilton Facility – the Company executed a letter of intent with YORK1 Environmental Waste Solutions Ltd. to supply up to 10,000 tonnes of waste roofing shingles with an understanding to increase supply volumes through time. Execution of supply agreements represents a critical step in establishing a working facility. This first supply agreement followed closely on the announcement in late 2024 of the Company signing a letter of intent with the Great Lakes Port Management Inc., a subsidiary of the Hamilton-Oshawa Port Authority, for a long-term lease for an industrial zoned property located in Hamilton, Ontario as the site for the Company's planned facility in southwestern Ontario ; US Expansion – the Company continues to expend time and energy in the selection of a suitable site for our inaugural reprocessing facility in the United States . As has been previously communicated by the Company, selection criteria have focused on areas that represent an operational fit with the Company's strategic financial partner, TAMKO Building Products Inc.; and Empower Delta Facility – during the quarter, the Company successfully secured a fifteen-year lease at its existing Delta, British Columbia location. This paves the way to retro-fit the existing pilot facility at this location to a full-scale commercial facility. The site currently holds all necessary regulatory approvals and permits for light industrial operations, offering a future expansion opportunity with reduced timelines and costs associated with permitting and site development. Liquidity – commensurate with execution of the business plan, the Company successfully received proceeds under previously negotiated funding agreements, consisting of: $3.9 million from Emissions Reduction Alberta, subsequent to the quarter-end, upon completion of Milestone 2, which includes among other items, all major processing units installed and electrified and substantial completion as defined in the Builder's Lien Act; $617 thousand final draw subsequent to the quarter-end under the Business Development Bank $8.75 million non-revolving senior secured project loan facility; and $248 thousand received during the quarter from the exercise of existing stock options and warrants. (CSE: BIOV) (FRA: 5LB) (" BioVaxys" or the " Company") announces a proposed consolidation of the common shares of the Company (the " Common Shares") on the basis of ten (10) pre-consolidation Common Shares for one (1) post-consolidation Common Share (the " Consolidation"), and a concurrent brokered private placement offering (the " Offering") consisting of a minimum of 5,714,285 units of the Company (each, a " Unit") at a post-Consolidation price of $0.35 per Unit for minimum gross proceeds of $2,000,000 and a maximum of 8,571,428 Units at a post-Consolidation price of $0.35 per Unit for maximum gross proceeds of up to $3,000,000. The Company will issue a subsequent news release in respect of the proposed Consolidation to announce the effective date of the Consolidation, the new CUSIP and ISIN for the post-Consolidation Common Shares, and any other relevant details, and file all necessary documentation with the Canadian Securities Exchange (the " CSE") in respect of the proposed Consolidation. The post-Consolidation Common Shares will continue to trade on the CSE under the Company's existing name and trading symbol. The Consolidation remains subject to requisite approvals, including acceptance by the CSE. Offering The Company has entered into an agreement with D12 Capital Markets Inc. (" D12") and its affiliate, Foundation Markets Inc. to act as agents (the " Agents") in connection with the Offering. Completion of the Offering will be contingent upon the Company issuing a minimum of 5,714,285 Units at a post-Consolidation price of $0.35 per Unit for minimum gross proceeds of $2,000,000. Each Unit will consist of one (1) post-Consolidation common share in the capital of the Company (each, a " Post-Consolidation Common Share") and one (1) Post-Consolidation Common Share purchase warrant (each, a " Post-Consolidation Warrant"). Each Post-Consolidation Warrant will entitle the holder thereof to purchase one Post-Consolidation Common Share at a post-Consolidation price of $0.60 for a period of 36 months from the closing date of the Offering. The Company intends to use the net proceeds raised from the Offering for research and development, general corporate purposes and working capital. Upon successful closing of the Offering, the Agents will receive a cash commission equal to 8% of the gross proceeds committed to the Company from any party introduced by the Agents. Such payment shall be paid by the Company in equal share to the Agents as per their direction. Closing of the Offering is anticipated to occur on or about June 30, 2025, or such other date as the Company and the Agents may agree upon provided such date is on or before July 14, 2025. Closing of the Offering and payment of the Agents' commission are subject to the satisfaction of certain conditions, including, but not limited to, acceptance by the CSE.
