NSE reaches Rs 40 crore settlement with Sebi over data disclosure case

The National Stock Exchange of India has agreed to pay Rs 40.35 crore to settle charges related to the indirect sharing of confidential information on listed companies with a third-party vendor, the Securities and Exchange Board of India (Sebi) said on Friday.
ADVERTISEMENT The settlement ends regulatory proceedings against the exchange without admission of guilt, in a case that had raised concerns over governance lapses at one of India's most influential market institutions.
The case relates to multiple governance lapses identified during a regulatory inspection for the period between February 2021 and March 2022. Sebi found that NSE, in the absence of a binding contract, had outsourced storage of historical trade data to a third-party vendor and permitted the transfer of sensitive information to a data subsidiary, which further disseminated it to external clients. This setup, according to Sebi, enabled clients to receive unpublished price-sensitive announcements before they were made public.
In its order dated July 31, Sebi noted that NSE's system architecture 'enabled it to send unpublished price sensitive corporate announcement(s) to the clients of NDAL (NSE Data & Analytics Limited) prior to hosting the same on its website,' in violation of several market regulations, including the Sebi (Prohibition of Insider Trading) Regulations, 2015.

Only 30% Indian districts get CSR funding for development needs: Study

Only around 30 per cent of eligible rural districts in India receive Corporate Social Responsibility (CSR) funds aligned with their development needs, while 23 per cent of districts show a complete mismatch between the funds received and their requirement, and 47 per cent show partial misalignment, a recent survey by the Development Intelligence Unit (DIU) has found. The DIU is a collaborative enterprise of Sambodhi Research and the Transform Rural India Foundation (TRIF). The survey uses a refined methodology to estimate CSR spending in rural areas, focusing only on districts with over 50 per cent rural population (as per Census 2011) and sectors with a clear rural development focus. The analysis computes average per capita CSR spending and compares it against the RQOL Index to evaluate the appropriateness of fund allocation. RQOL, or Rural Quality of Life Index, is a weighted composite measure developed indigenously by DIU, using administrative (public intent) data. It encompasses 69 indicators across nine key thematic pillars—agriculture, economic ability and employment, education, gender, governance, health and nutrition, infrastructure and amenities, social security, and sustainability and climate resilience. The index classifies districts within each state into tertiles—high, medium, and low—to enable within-state comparisons and planning. The report highlights a stark divergence between need and actual CSR funding, indicating that CSR strategies are often driven by corporate convenience or compliance motives, rather than a strategic or evidence-based approach. CSR spending continues to be concentrated in three broad sectors—education, healthcare, and rural poverty alleviation—which account for over 60 per cent of all CSR funds. Critical sectors such as environmental sustainability and livelihood enhancement receive inadequate attention. 'Moreover, many CSR initiatives suffer from the lack of impact assessments, duplication of government schemes, weak community participation, and poor innovation or strategic planning. Often, projects are implemented in a top-down manner, driven more by corporate discretion than by actual deprivation or community needs,' the report stated. India's CSR framework, mandated under Section 135 of the Companies Act, 2013, requires companies to allocate a portion of their profits towards social development. Section 135 applies to companies with a net worth of Rs 500 crore or more, or a turnover of Rs 1,000 crore or more, or a net profit of Rs 5 crore or more during the immediately preceding financial year. The Act also mandates that eligible companies must spend at least 2 per cent of their average net profit of the preceding three financial years on CSR activities. In FY23, CSR expenditure in India reached Rs 29,989.92 crore, registering a 12.8 per cent growth over the previous year—a sign of recovery after pandemic-induced disruptions. 'However, this growth masks a deep structural imbalance in the geographical distribution of CSR funds. CSR allocations tend to follow the geographical footprint of donor companies, i.e., where their headquarters or manufacturing or mining units are located. Consequently, industrialised states like Maharashtra, Karnataka, Gujarat, Tamil Nadu, Andhra Pradesh, Telangana, and Delhi have historically captured a disproportionately large share of CSR funds,' the report stated. The report strongly advocates a shift from compliance-led CSR to a development-oriented and impact-driven approach. 'It recommends that the Ministry of Corporate Affairs introduce policy directives to encourage better geographic and sectoral targeting of CSR funds,' it added.

Regaal Resources IPO price band has been fixed in the range of ₹ 96 to ₹ 102 per equity share of the face value of ₹ 5. The Regaal Resources IPO date of subscription is scheduled for Tuesday, August 12 and will close on Thursday, August 14. The allocation to anchor investors for the Regaal Resources IPO is scheduled to take place on Monday, August 11. The floor price is 19.20 times the face value of the equity shares and the cap price is 20.40 times the face value of the equity shares. The Regaal Resources IPO lot size is 144 equity shares and in multiples of 144 equity shares thereafter. Regaal Resources IPO has reserved not more than 50% of the shares in the public issue for qualified institutional buyers (QIB), not less than 15% for non-institutional Institutional Investors (NII), and not less than 35% of the offer is reserved for retail investors. Tentatively, Regaal Resources IPO basis of allotment of shares will be finalised on Monday, August 18 and the company will initiate refunds on Tuesday, August 19 while the shares will be credited to the demat account of allottees on the same day following refund. Regaal Resources share price is likely to be listed on BSE and NSE on Wednesday, August 20. The IPO consists of a fresh issue valued at ₹ 210 crore and an offer for sale (OFS) of up to 9.41 million shares by current shareholders and promoters. At the highest end of the price range, the OFS is estimated to be approximately ₹ 96 crore, making the total size of the issue around ₹ 306 crore. This would result in a market capitalization of about ₹ 1,050 crore once listed. Funds from the new issuance will mainly be used for repaying debt. As of June 2025, the company's total sanctioned debt was ₹ 873.46 crore, with pending dues amounting to ₹ 561.15 crore, in contrast to the previous year. Pantomath Capital Advisors and Sumedha Fiscal Services serve as the lead managers for the issue. As per red herring prospectus (RHP), the company's listed peers are Sanstar Ltd (with a P/E of 36.46), Gujarat Ambuja Exports Ltd (with a P/E of 20.22), Gulshan Polyols Ltd (with a P/E of 44.56), and Sukhjit Starch and Chemicals Ltd (with a P/E of 13.51). In the financial year 2025, Regaal Resources reported a revenue of ₹ 915.16 crore, an increase from ₹ 600 crore in the prior year. The net profit for the year surged to ₹ 47.69 crore, compared to ₹ 22.14 crore in the previous fiscal year.
