Tex Cycle completes Meridian World acquisition

KUALA LUMPUR: Tex Cycle Technology Bhd has completed its acquisition of Meridian World Sdn Bhd, with RM42.8mil paid to vendors and RM6.7mil retained with solicitors.
In a statement, the waste management and recycling solutions provider said Meridian World met its profit guarantee with an audited consolidated profit after tax of at least RM5.3mil for the financial year ended Dec 31, 2025 (FY24).
As a result, the guarantee period remains FY24 and FY25, and the original RM12mil retention sum has been reduced to RM6.7mil, in line with the share sale agreement.
Tex Cycle group CEO Gary Dass Anthony Francis said the deal is more than a financial transaction, representing the integration of two established players to broaden offerings and boost the group's competitiveness in environmental services.
He noted that Meridian World's 30-year track record and expertise in specialised waste streams, including chemical waste and e-waste, strengthen Tex Cycle's platform to deliver end-to-end sustainable solutions across industries.
'Together, we're charting a more resilient, diversified, and innovative path in line with our long-term growth aspirations.'
Meanwhile, Meridian World managing director Teoh Kok Cheow said: 'Joining forces with Tex Cycle opens up a new chapter of growth and opportunity for Meridian World. We're proud to have met the profit guarantee, and even prouder to now be part of a larger ecosystem that shares our commitment to environmental responsibility. This collaboration enables us to expand our capabilities, reach new markets, and collectively drive greater impact across Malaysia's waste management and circular economy landscape.'

KUALA LUMPUR: Waste management and recycling solutions provider Tex Cycle Technology (M) Bhd posted a net profit of RM3.02 million for the second quarter ended June 30, 2025, up 20.5 per cent from RM2.50 million a year ago. Its revenue increased five per cent to RM8.6 million from RM8.3 million, driven by stronger contributions from its trading and renewable energy segments. For the six months to June 30, 2025, the company recorded revenue of RM17.5 million, representing an eight per cent growth compared to RM16.3 million in the corresponding period last year. Group chief executive officer Gary Dass A/L Anthony Francis said the first-half performance underscored the resilience of Tex Cycle's core operations. He added that with the completion of the Meridian World acquisition, the company is venturing into the e-waste segment, a rapidly expanding and highly specialised niche within the scheduled waste management industry. "In addition, our Tex Cycle (P2) Sdn Bhd's 2MW biomass gasification power plant successfully completed the initial operation date test with Tenaga Nasional Bhd and is now undergoing the power quality measurement test. "With these strategic developments, we are confident of further strengthening our capabilities, enhancing sustainable income streams, and unlocking greater value for our stakeholder," he added. Tex Cycle's shares ended the day at RM1.11, giving the company a market value of RM312.1 million.

This translates to earnings per share of 1.15 sen in 2Q25, compared with 0.99 sen a year earlier. The waste management and recycling solutions provider's revenue increased to RM8.6 mil from RM8.2 mil, supported by contributions across its trading and renewable energy divisions. For the first six months to June 30, Tex Cycle posted a net profit of RM5.2mil, down 43.2% from RM9.1mil while revenue climbed to RM17.5mil against RM16.2mil last year. Group chief executive officer Gary Dass Anthony Francis said the company is pleased with its resilient performance for the first half of the year, which reflects the strength of its core operations and disciplined investment strategies. 'With the successful completion of the Meridian World acquisition, Tex Cycle is now expanding into the e-waste segment, a fast-growing and highly specialised area within the scheduled waste management sector. 'Meridian World's established track record of approximately 30 years and strong expertise in specialised waste streams, including chemical waste and niche waste codes such as e-waste, positions us better to capture this market and strengthen our presence across industries,' he said in a statement. Additionally, Francis said that on July 29, 2025, Tex Cycle (P2) Sdn Bhd's 2MW biomass gasification power plant completed the initial operation date (IOD) test with Tenaga Nasional Bhd (TNB) and is currently undergoing the power quality measurement test. KUALA LUMPUR: While the National Scam Response Centre (NSRC) has received scam reports involving losses amounting to RM193mil between January and July, only a fraction of the funds were successfully frozen. This, according to Bukit Aman Commercial Crime Investigation Department director Comm Datuk Rusdi Mohd Isa ( pic ), was due to the calls to NSRC being made much later after the scam occurred. 'Between January and July, the NSRC received calls on scams involving RM193mil in funds. 'However, only RM12mil was successfully frozen as some of the calls were made a month, a week, even a year after the scam occurred,' he said when contacted. The funds that were successfully frozen will eventually be returned to the victims under Section 116D of the Criminal Procedure code, once the legal process is completed, Comm Rusdi said. 'Money stolen from scams can disappear within minutes as the scammers act fast. 'I urge the public to report the matter as soon as possible,' he said. With the centre operating round the clock, Comm Rusdi said it has received 10,038 calls between Aug 3 and Aug 7. 'The majority of the calls were recorded before 8pm amounting to 7,254 with the remaining 2,514 after 8pm. 'Some 51% of the calls were genuine scams while others were inquiries,' he said. Comm Rusdi urged the public to fully utilise the SemakMule portal as it was set up to enable the public to conveniently check bank account numbers, phone numbers and companies used by scammers. 'Since Jan 1, 2015, the portal has listed 272,250 bank accounts, 216,242 phone numbers and 14,160 companies. 'Between Jan 1, 2015, and Aug 7, the portal has received 35.8 million visitors,' Comm Rusdi said.
