SEBI's moves to address concerns over disclosure norms and conflict of interest: A step in the right direction

Last year, allegations by the US-based firm, Hindenburg Research, had raised troubling questions for the Indian stock market regulator, particularly over its disclosure norms and matters of conflict of interest. Hindenburg had alleged that then SEBI chairperson Madhabi Puri Buch and her husband 'had hidden stakes in the exact same obscure offshore Bermuda and Mauritius funds, found in the same complex nested structure, used by Vinod Adani'. SEBI was at the time probing the Adani Group. In her defence, Buch had argued that 'all disclosures as required have already been furnished to SEBI'. In August, SEBI issued a statement saying that it has 'adequate internal mechanisms for addressing issues relating to conflict of interest which include disclosure framework and provision for recusal'. Notwithstanding the defence mounted, however, questions arose and persisted, especially about why the disclosures had not been made to the wider public.
In an interview to this paper, Tuhin Kanta Pandey, the new SEBI chair, has acknowledged the gap, noting that there was 'virtually no public disclosure' for those at the helm of SEBI. This is odd, for those charged with protecting the integrity of the Indian stock markets. After all, members of Parliament declare their assets and liabilities. More recently, Supreme Court judges have publicly declared their assets, publishing them on the court's website. Considering the wide ambit of the market regulator's influence, there needs to be a proper framework for public disclosures and also for recusal processes. Any link between the market regulator and the regulated entity must be fully disclosed. Not doing so will only raise more questions.
The constitution of a high-level committee to review and make recommendations for strengthening frameworks for managing conflicts of interest and disclosures for the regulator's board members is a step in the right direction. Putting in place a robust mechanism, drawn after wide-ranging consultations with all stakeholders, will help address the concerns that have been raised. As Pandey says, 'in terms of conflicts… this framework needs clarity. Otherwise, there will be confusion.' Alongside, the norms for recusal must also be clearly defined and laid out. The stock market regulator needs to be ring-fenced from such allegations in the future. The guiding objective must be to ensure that aspersions cannot be cast on the functioning and decisions of the regulator. Its integrity, independence and autonomy must be bolstered. At a time when millions are entering the stock markets — as per reports, the number of demat accounts now exceeds 170 million, with account holders now located in almost all pin codes in the country — their faith in the market regulator and the efficient functioning of the markets must be fortified.

The attack, which targeted the auditorium and other parts of the heritage site, vandalising window panes, doors, and furniture, was triggered by an altercation between a visitor and the staff over a motorcycle parking fee on Sunday (June 8), according to media the attack, authorities shut down the site and formed a probe panel to investigate the incident.A case was lodged on Wednesday (June 11) against 50–60 individuals, including 10 named accused, in connection with the mob attack on the historic site, reported the Dhaka-based Daily Star. Rabindra Kacharibari, literally meaning "Tagore's estate office home", was where Rabindranath Tagore's family oversaw their estate in Sirajganj's Shahzadpur upazila. Now the mansion serves as a memorial museum. The mansion, purchased by Rabindranath Tagore's father, was visited by the poet multiple times, during which he stayed and wrote parts of several of his June 8, Bangladeshi expatriate Shah Newaz visited the Kachharibari with his family, where he got into an altercation with an employee at the entrance over a motorcycle parking fee, Bangladeshi daily New Age Newaz was allegedly locked up in an office room and physically by the incident, locals staged a protest by forming a human chain on demonstration was followed by a mob attack on the auditorium in the premises of Rabindra Kacharibari, during which the director of the institution was also assaulted.(The story will be updated soon)

Mumbai, Bollywood actor Dino Morea on Thursday appeared before the Enforcement Directorate here in connection with a money laundering probe linked to an alleged ₹65 crore Mithi river desilting scam, officials said. Morea, who had been summoned by the ED for questioning, reached the federal agency's office at Ballard Estate in south Mumbai at around 10.30 am, an official said. The ED on June 6 conducted searches at more than 15 locations in Mumbai, and Kochi in Kerala, including the premises of Dino Morea in Bandra area here, those linked to his brother Santino, some Brihanmumbai Municipal Corporation officials, and contractors among others, official sources earlier said. The searches were conducted in Kochi as one of the companies that provided desilting equipment to the BMC Matprop Technical Services Pvt Ltd is based in this city, they said. The investigation is being conducted under the Prevention of Money Laundering Act , the sources had said. The ED case stems from a Mumbai Police Economic Offences Wing FIR filed in May against 13 persons, including contractors and civic officials, for an alleged ₹65.54 crore scam in tenders awarded from 2017-2023 for desilting of the Mithi river which flows through Mumbai and acts as a stormwater drainage channel for the metro city. The Uddhav Thackeray-led undivided Shiv Sena controlled the cash-rich BMC from 1997 till the party's split in 2022. After the expiry of the general body in 2022, the civic body was controlled by the state government, which was then headed by Eknath Shinde. It was alleged by the police in its complaint that BMC officials tailored the tender for the desilting contract in such a way that it benefited a particular supplier of machinery, and the contractors reportedly generated fraudulent bills for transporting the sludge out of Mumbai. The 49-year-old actor and his brother were questioned by the Mumbai Police EOW in this case last month also. The Morea brothers, it is understood, were questioned by the police about their alleged links with alleged middleman Ketan Kadam, arrested in the case along with another accused, Jai Joshi, apart from some financial transactions made in a company linked to Santino. Kadam and Joshi, according to police, were involved in the renting out of 'silt pusher' machines and multi-purpose amphibious pontoon machines to contractors who were carrying out Mithi river desilting work. In 2021, the ED had attached Morea's assets as part of a money laundering investigation linked to an alleged bank fraud case against Gujarat-based pharmaceutical company Sterling Biotech and its promoters. The plan to desilt the river was planned by the Mumbai civic authorities following the 2005 floods, which brought the city to a grinding halt.

If you look at the market capitalisation of NSE, it had actually shrunk by almost like Rs 90 lakh crore to the lows in February or end of February and from there on, the market cap erosion has actually narrowed quite substantially because of the recovery that has happened. There is also a possibility that the market might start pricing in tax cuts in the US as well. These are the two things that are moving in favour of the IT sector. IT stocks have seen significant correction and there is a certain amount of valuation that people might be looking at. All put together, there does seem to be this whole rotation across sectors moving in favour of IT now. So, IT is one sector. There are other sectors like pharma where there is a possibility of rotation in favour of them. Auto is another one, news will have an effect on the alco-beverage companies. What the Maharashtra government has announced may create a certain amount of suspicion that other states might actually also announce. This could be because state governments are also struggling on the revenue side. There is a likelihood that people might expect or extrapolate this kind of a scenario in other states as well.I would say people will need to wait to see whether they get more clarity on this and whether this can create a trend. While we are positive fundamentally on space, we do have Allied Blenders in our list, but this is a regulatory risk that will need to settle down before we take a decisive view.
