SC junks BCCI, Riju Raveendrans plea on settlement for Byjus

New Delhi, Jul 21 (PTI) The Supreme Court on Monday upheld an order rejecting the appeals of the BCCI and Byju's co-founder Riju Raveendran seeking withdrawal of insolvency proceedings against his company.
A bench comprising Justices J B Pardiwala and R Mahadevan dismissed the appeals filed by the Board of Control for Cricket in India (BCCI) and Raveendran challenging the National Company Law Appellate Tribunal (NCLAT) verdict on April 17.
BCCI and Raveendran had previously challenged an order of the Bengaluru bench of the National Company Law Tribunal, which on February 10 directed to place their settlement offer before the new Committee of Creditors (CoC), in which US-based Glas Trust, the trustee for lenders to which Byju's owes USD 1.2 billion, is a member.
A two-member Chennai bench of the NCLAT comprising Justice Rakesh Kumar Jain and Jatindranath Swain upheld the directions passed by the NCLT and said the settlement proposal was filed after the formation of CoC, hence as the provisions of Section 12 A of the Insolvency & Bankruptcy Code, it requires the approval of the lender's body.
Both BCCI and Raveendran contended since the application under Section 12A was filed before the constitution of the CoC, the provisions of Section 12A coupled with Regulation 30A(1)(a) shall apply and not Regulation 30A(1)(b).
Section 12 A of IBC prescribes an exit route from insolvency. It mandates that NCLT may allow the withdrawal of insolvency initiated by any financial or operational creditor under Sections 7,9 or section 10, based on an application made with the approval of 90 per cent voting share of the CoC.
Regulation 30A(1)(a) deals with the provision of filing Section 12 A proceedings through the interim resolution profession before formation of CoC whereas 30A(1)(b) deals with provision of filing after formation of CoC.
The BCCI and Byju's contended Form FA, which is an application for withdrawal of Corporate Insolvency Resolution Process (CIRP), was submitted before the formation of CoC of Byju's.
However, rejecting the plea NCLAT said, 'Form FA, admittedly having been filed on November 14, 2024, is post (formation of) CoC." 'If the application under Section 12A is filed under Regulation 30A(1)(a) before the constitution of CoC then Section 12A which mandates the approval of such application for withdrawal by 90 per cent voting share of the CoC shall not apply but if the application is filed after the constitution of the CoC then the provisions of Section 12A shall apply with full force," said NCLAT.
CIRP against Byju's was initiated on July 16, 2024 by NCLAT admitting a Rs 158.90 crore claim from BCCI as an operational creditor of edtech major. An IRP was appointed also by the NCLT in this matter.
Later, a settlement was arrived between the parties and Raveendran approached NCLAT.
The appellate tribunal set aside the insolvency proceedings against Byju's on August 2, 2024 after approving dues settlement with the BCCI, which had entered into a Team Sponsor Agreement with the cricket body in 2019.
This was challenged by Glas Trust before the Supreme Court.
Glas Trust, a financial creditor, also filed a separate petition before NCLT seeking resolution of its debt of USD 984.3 million (approximately Rs 8,200 crore).
The apex court on October 23, 2024, set aside the NCLAT order staying the CIRP against Think & Learn, which owns edtech brand Byju's and asked BCCI to approach NCLT for the settlement.
Although BCCI submitted Form FA to the Interim Resolution Professional (IRP) on August 16, 2024, it had instructed the IRP to file it only after the resolution of an appeal pending before the Supreme Court.
Raveendran contended before NCLAT there was a delay on the part of the IRP in filing the withdrawal form.

Top government officials on Monday told a parliamentary panel that India's relations with the US were multifaceted, and not restricted to trade issues. They were, however, confident that the sixth round of negotiations on the India-US Bilateral Trade Agreement (BTA) would take place as a US trade team is scheduled to visit India on August 25 for talks. To questions by panel members on India's defence ties, the officials rejected recent reports that have claimed that New Delhi has halted its purchases of defence equipment from the US. They said the government-to-government engagement between the two countries on all other issues remains normal, but conceded to rough spots over trade that need ironing out. Top officials of the ministries of external affairs and commerce, and industry briefed the members of the Parliamentary Standing Committee on External Affairs on 'the current development in India's foreign policy with special reference to the US-India trade negotiations and tariffs'. Congress Lok Sabha member Shashi Tharoor heads the panel. At the conclusion of the meeting, Tharoor said that Foreign Secretary Vikram Misri told the panel that India's relationship with the US is multi-dimensional, and trade is just one aspect of this, but New Delhi continues to engage with Washington DC on many subjects. The members asked more than 50 questions on India-US relations, including on trade, which the commerce secretary answered in detail. However, the impact of the 25 per cent tariff that the US has slapped on India is impacting the country, and needs to be reduced. The officials said the US imposing unilateral, punitive measures on third countries, in the context of India's purchase of Russian oil, only serves to erode trust and distorts global trade norms. 'Despite the recent developments, we remain committed to engaging constructively with our partners, including the US, to resolve all outstanding issues through dialogue and mutual respect,' one of the officials told the members. Members of the panel asked questions about the Trump administration hosting Pakistan's Chief of Army Staff Field Marshal Asim Munir twice in a span of one-and-a-half months. They also wanted to know whether Trump has imposed a high tariff and penalty on India for not being 'credited' for mediating the peace between India and Pakistan.

Lodha Developers to raise ₹5,000 crore through NCDs for expansion

The board of directors of Mumbai-based Lodha Developers has approved raising Rs 5,000 crore through the issuance of non-convertible debentures (NCDs) on Monday. The company will raise the amount from time to time, in one or more tranches, on a private placement basis. It has approved an enhancement of the borrowing limit from Rs 3,000 crore to a maximum outstanding amount of Rs 5,000 crore. The fundraising is aimed at diversifying the debt pool, enabling a continued reduction in the cost of funds on targeted debt capital, Lodha said. As of the first quarter of the financial year 2026 (Q1 FY26), the company's net debt stood at Rs 5,080 crore, with a net debt-to-equity ratio of 0.24x, below its target ceiling of 0.5x. Net debt in Q1 FY26 rose by about Rs 1,100 crore due to investment in business development. Since its initial public offering in April 2021, the company has added 48 projects with a GDV of over Rs 1 trillion to its portfolio. 'Our exit cost of debt for Q1 FY26 stands at 8.3 per cent, down 40 basis points for the quarter — among the lowest in the industry,' Abhishek Lodha, managing director and chief executive officer, had said while announcing the company's financial results last month. The company's profit attributable to owners for Q1 FY26 grew about 42 per cent year-on-year (YoY) to Rs 674.7 crore. Lodha attributed the rise to revenue growth, significant operating leverage, and financial leverage. Revenue from operations in Q1 FY26 increased 22.66 per cent YoY to Rs 3,491.7 crore, supported by 'industry tailwinds'. The firm also reported its best-ever Q1 pre-sales performance, with Rs 4,450 crore in pre-sales, up 10 per cent YoY. The company's shares closed at Rs 1,224.40 on the Bombay Stock Exchange on Monday.
