Meta shareholders aim to haul CEO Mark Zuckerberg, Sheryl Sandberg to court

Mark Zuckerberg is slated to make yet another high-stakes courtroom appearance this week as shareholders seek to hold him accountable for the more than $8 billion that Meta has spent to settle lawsuits over privacy violations.
The trial, set to begin Wednesday in Delaware's Court of Chancery, aims to hold Zuckerberg, former Meta COO Sheryl Sandberg and other former executives personally liable for the billions the company spent to resolve allegations that it failed to safeguard user data.
Shareholders argue that Zuckerberg, Sandberg and former VP Konstantinos Papamiltiadis violated their fiduciary duties by 'intentionally' failing to ensure compliance with a 2012 Federal Trade Commission consent order requiring the firm then known as Facebook to protect user privacy.

That failure, they say, enabled the Cambridge Analytica scandal — a notorious breach that saw data from tens of millions of Facebook users improperly harvested for political profiling.
Meta is not a named defendant in the suit and declined to comment on the case. Attorneys for the defendants did not immediately respond to a request for comment on Monday evening.
The case is a shareholder derivative lawsuit, a type of legal action that allows investors to sue company executives or board members on behalf of the company itself.
In these cases, shareholders argue that corporate insiders failed in their fiduciary duties and caused harm to the company—financial or otherwise—that management has failed to address.
In April, Zuckerberg was questioned by the Federal Trade Commission about internal communications surrounding Facebook's acquisitions of Instagram and WhatsApp.
Meta is facing regulatory scrutiny for allegedly abusing its monopolistic power to gain a competitive advantage in the marketplace.

The trial in Delaware will further probe Meta's handling of user privacy with a focus on the company's knowledge and decision-making in the run-up to the Cambridge Analytica breach.
The case has drawn in a number of other prominent figures from the tech and business world who are either current or former members of Meta's board of directors.
Both sides are seeking testimony from billionaire venture capitalist Marc Andreessen.
Shareholders also want Netflix co-founder Reed Hastings to testify. Former PayPal executive Peter Thiel, former Biden White House chief of staff Jeff Zients and eBay CFO Peggy Alford are on the witness list as well, either for in-person testimony or recorded depositions.
Hastings, Thiel and Zients are no longer on Meta's board of directors.
According to the shareholders' complaint, the defendants failed to act on multiple 'red flags' prior to the scandal.
The case highlights the company's 2019 decision to settle with the FTC for $5 billion after it was accused of violating the 2012 consent order.

That settlement, the shareholders argue, was approved by a board that disregarded evidence of noncompliance.
In its 2012 consent decree, the FTC ordered Facebook to give users 'clear and prominent notice' and obtain 'their express consent' before sharing information beyond their privacy settings.
At the time of the Cambridge Analytica scandal, Facebook allowed third-party apps not only to collect data from users but also from those users' friends — without their direct knowledge or consent.
In early 2018, Facebook acknowledged that Cambridge Analytica had improperly obtained data from tens of millions of users. The final estimate was that up to 87 million individuals were affected.
Zuckerberg later issued a public apology, stating the platform had 'a responsibility to protect your data.'
The fallout was global. In 2019, the FTC announced a then-record $5 billion fine against Facebook as part of a settlement over violations of the consent order.

A separate investigation by the British parliament concluded that had Facebook taken its obligations seriously under the 2012 consent decree, the Cambridge Analytica breach might have been prevented.
Shareholders cite that conclusion in their pretrial filings.
In their defense, attorneys for Zuckerberg and the other executives claim there is no evidence of wrongdoing.
'This evidence, and much more like it, negates plaintiffs' pleaded portrait of a company indifferent to compliance,' the defense wrote in a recent court filing.

The lawsuit has been years in the making. Two years ago, efforts to have the case dismissed failed.
At the time, Vice Chancellor Travis Laster, the judge overseeing the case, remarked that 'this is a case involving alleged wrongdoing on a truly colossal scale.'
The current non-jury trial will be presided over by Chancellor Kathaleen McCormick. McCormick is best known for repeatedly striking down Elon Musk's $55 billion Tesla compensation package.
Her rulings have led to discontent in the tech and business world over Delaware's handling of corporate governance cases.
In the aftermath, several major firms — among them Andreessen Horowitz, Roblox, Dropbox and Bill Ackman's Pershing Square Capital Management — have either left Delaware or announced plans to reincorporate elsewhere.
The Post has sought comment from Meta, Sandberg, Andreessen, Hastings, Thiel, Zients, Alford and Papamiltiadis.

Zuckerberg is pouring billions into plans for 'personal superintelligence'

Meta (META) CEO Mark Zuckerberg is plowing billions into his company's AI expansion efforts with the goal of developing so-called superintelligence, or AI that can surpass human capabilities. In a Threads post on Monday, Zuckerberg revealed plans to spend hundreds of billions of dollars building several massive AI data centers across the US, including one that will come online as soon as next year. Another data center, called Hyperion, will eventually scale up to support up to 5 gigawatts, or 5 billion watts, of capacity. A gigawatt of electricity can power roughly 800,000 homes. It's not just data centers, though. Zuckerberg is also splashing money on high-profile AI hires. In June, Meta invested $14.3 billion in Scale AI and hired its CEO Alexandr Wang. The company also hired former GitHub CEO Nat Friedman and Safe Superintelligence CEO Daniel Gross and poached Apple's head of AI foundation models, Ruoming Pang, according to Bloomberg. According to the Wall Street Journal, Meta also snagged OpenAI ( researchers Lucas Beyer, Alexander Kolesnikov, and Xiaohua Zhai. All of this comes as Meta looks to capture the lead in the AI wars after the company was forced to put its Llama 4 Behemoth model on ice while it works to bring its functionality up to par with frontier models from the likes of OpenAI and Google. 'Mr. Zuckerberg believes it's very important to have one of the leading models,' D.A. Davidson head of technology research Gil Luria told Yahoo Finance. 'He's rebuilt the team so he has the talent to do it, and he's going to continue to invest in the compute capacity so he has the compute capacity to achieve it.' For Meta, it's a gamble the company can't afford to lose. A more personal superintelligence Meta's AI efforts differ significantly from those at OpenAI, Anthropic ( Perplexity ( xAI, and even Microsoft (MSFT) and Google (GOOG, GOOGL). Rather than using its technology to explore questions about the universe or power enterprise and cloud-based software services, Zuckerberg said the company is angling to make its AI platform a kind of 'personal superintelligence.' During an interview with The Information's TITV, Zuckerberg explained that Meta's personal superintelligence will solve simpler problems for users on a daily basis. 'Our mission with the lab is to deliver personal superintelligence to everyone in the world, so that way we can put that power in every individual's hand. It's a different thing than what the other labs are doing. This is going to be something that is the most important technology in our lives.' It's a vague statement, with no real solid examples of how personal superintelligence will impact our daily lives or how we'll use it more broadly. But Zuckerberg did offer that the technology will power Meta's recommendation engine, advertising capabilities for customers, and, importantly, the company's smart glasses software. 'I continue to think that that's going to be the best form factor for AI, because, you know, they can see what you see and hear what you hear, and you can talk to them throughout the day,' Zuckerberg said. Meta is banking on smart glasses as the next major piece of consumer hardware after the smartphone. The company is developing self-contained smart glasses that don't require a smartphone to power apps or other software. The move would allow Meta to break free of Apple's and Google's respective app stores, giving it more control over its products, a long-term goal of the social media giant. The spending is all part of the plan In order for Meta to get to that point, though, it needs to spend a lot of cash — something it's doing with aplomb. 'Overall, I think it just shows how in demand AI engineering talent is and how hard it is to secure and keep good talent,' Creative Strategies principal analyst Ben Jajarin told Yahoo Finance. 'The AI talent wars is a fierce battle, and honestly, it is hard to see this going away or slowing down anytime soon," he said. "Ultimately, other than money, I think it will be hard to keep talent as well. So it's possible we will see a lot of churn as well.' The spending on talent comes after as Meta looks to develop future cutting-edge AI models following its Llama 4 issues. 'Last year, when they introduced the Llama 3 model, they had one of the top frontier models at the time,' Luria said. 'However, by the time they got around to Llama 4 it was not successful, and it's not even one of the best models," he added. "And so Mr. Zuckerberg decided that it was essential for him to redouble his effort and remake the team leading the AI effort at Meta, which he has done in an unprecedentedly aggressive manner over the last few weeks.' Now Zuckerberg has to ensure all of that spending pays off and that his vision of a more personal superintelligence comes to fruition. Fast-thinking Washington firefighters used Narcan to save a puppy who had been exposed to fentanyl. The tiny pooch was found unresponsive inside a vehicle where fentanyl was present on Tuesday, and firefighters from the Lacey Fire Department quickly administered a small dose of Narcan, a nasal spray used to reverse the effects of an opioid overdose in humans. They were able to revive the tiny pup on the scene and are 'happy to report it's doing well,' the department said in a Facebook post. Officials have not released any additional details of the incident or the dog's owner. The Post has reached out to the Lacey Police Department to confirm whether or not any arrests were made. Lacey is a suburb of about 50,000 just north of state capital, Olympia.

Scale AI lays off 14% of staff, largely in data labeling business

In Brief Data labelling startup Scale AI is laying off 200 employees, roughly 14% of its staff, and cutting ties with 500 of its global contractors, Bloomberg reported on Wednesday. The cuts come just a month after Meta hired Scale AI's CEO in a $14.3 billion deal. In a memo obtained by Bloomberg, interim CEO Jason Droege told staff that Scale AI had too quickly scaled its core data labeling business — in which the startup supplied AI labs with labeled, structured data to train AI models. Droege said in the memo that Scale AI would staff up around its enterprise and government sales units. Like other AI startups that have been reverse acquihired, such as Inflection, it seems that Scale AI now has to pivot from the business that put it on the map. In light of Meta's investment, several of Scale AI's largest data customers cut ties with the startup.
