
Adnoc transfers stake in Austrian energy company OMV to XRG
'Adnoc remains committed to its long-standing partnership with OMV through XRG and reaffirms its support for the company's continued growth,' it said on Wednesday.
Adnoc had bought the stake in OMV from Mubadala Investment Company in December 2022. Through the investment in OMV, which held a 75 per cent stake in Austrian plastics maker Borealis, Adnoc increased its stakes in both Borealis and Borouge.
In March this year, Adnoc and OMV agreed to terms of a binding agreement to merge their polyolefins business and create a $60 billion global entity.
Under the framework agreement, the two companies said they will form a joint venture company, Borouge Group International (BGI), combining Adnoc's Borouge with OMV's Borealis unit. Adnoc has also signed a share purchase agreement with Nova Chemicals, a unit of Mubadala Investment Company, for the full acquisition of Nova.
On completion of the Borouge and Borealis merger, the new entity will take ownership of Nova for $13.4 billion including debt, which will expand its footprint in North America.
Adnoc is 'progressing with preparation for the proposed establishment of Borouge Group International, which is set to be a top-four global polyolefins producer', the company said on Wednesday.
Following the deal, BGI is expected be the world's fourth-largest polyolefin producer, as measured by nameplate capacity, with a capacity of 13.6 million tonnes per annum. That includes the expected addition of 1.4 mtpa capacity from Borouge-4 by the end of next year, at a cost of about $7.5 billion.
BGI will be headquartered and domiciled in Austria, with its regional headquarters in the UAE. The new entity, which will retain key corporate hubs in Calgary, Pittsburgh and Singapore, will be listed on the Abu Dhabi Securities Exchange.
Under the terms of the agreement, Adnoc and OMV will hold equal stakes of 46.94 per cent in BGI. The remaining 6.12 per cent will be free float, subject to the UAE's Securities and Commodities Authority's approval.
Adnoc's proposed 46.94 per cent shareholding in BGI is expected to be held by XRG upon completion of the transaction, subject to regulatory approvals, the company said on Wednesday.
XRG was launched last year as a global lower-carbon energy and chemicals investment company, with an enterprise value exceeding $80 billion. The company has been actively scaling up its operations globally and plans to double its asset value over the next decade, capitalising on energy transition, artificial intelligence advances and the rise of emerging economies.
XRG's chemicals platform aims to become a top-five global player, producing and delivering chemical and speciality products to meet a projected 70 per cent increase in global demand by 2050, Adnoc said last year. It is also investing in natural gas projects to meet growing demand for LNG.
Last month, XRG made a $19 billion indicative offer to buy Australia's second-largest gas producer Santos. Under the proposal, a consortium led by XRG, including Abu Dhabi's sovereign wealth fund ADQ and global investment firm Carlyle, proposes to acquire 100 per cent of the ordinary shares in Santos.

Multiply Group posts Dh214 million net profit in second quarter
Multiply Group, a leading Abu Dhabi-based investment holding firm, on Tuesday announced its Q2 2025 net profit at Dh214 million excluding fair value changes, with 39% revenue growth across the operating portfolio. Ebitda excluding fair value changes of stood at Dh395 million (Dh403 million in Q2 2024). Adjusting for the impact of the Kalyon Enerji joint venture (realising a share of loss as a result of foreign exchange losses arising from the revaluation of EUR-dominated loans), the Group's Ebitda rose 38 per cent year-on-year (YoY) for Q2 2025. Net profit from subsidiaries increased 52 per cent underpinned by solid growth across verticals. Reported profit of Dh532 million included Dh318 million in unrealised gains from revaluation, driven by periodic market fluctuations. The Group continues to focus on integrating operations across its verticals, with an emphasis on digital transformation and operational efficiency. These efforts have contributed to strong revenue momentum. Group revenue increased by 39 per cent YoY to Dh503 million, driven by growth across all verticals, the full-quarter consolidation of The Grooming Company Holding and the acquisition of Excellence Driving. Blended gross profit margin remained healthy at 52 per cent, reflecting continued profitability across the core portfolio. The Group's net profit from operating businesses increased by 52 per cent on the back of the Beauty vertical more than doubling net profit and the Mobility vertical increasing net profit by 48 per cent as a result of organic and inorganic growth while Media vertical grew by 23 per cent. The Group recorded a share of loss from Kalyon JV amounting to Dh54 million in Q2 2025 (Q2 2024 - Dh78 million gain) as a result of the foreign exchange losses from the revaluation of EUR-denominated loans on the back of a stronger Euro. The Group's balance sheet remains robust, with cash balance of Dh1.85 billion. Execution of its long-term strategy continues to deliver results, as the Group builds a diversified portfolio across core verticals while pursuing high-return investments under Multiply+ Under Multiply+, the Group's public market portfolio closed the quarter with a valuation of Dh32 billion, compared to an initial investment of Dh15 billion. Despite market fluctuations affecting the fair value of some assets, performance across the portfolio remains strong as does the underlying long-term potential from targeted investments. European Commission to investigate ADNOC's acquisition of Covestro
The proposed US$15 billion acquisition of German chemical company Covestro by XRG, the international investment arm of Abu Dhabi National Oil Company (ADNOC) – the biggest acquisition ever by a Gulf company in Europe – will be delayed as the deal is now being investigated by the European Commission. The EC has opened an in-depth investigation to assess, under the Foreign Subsidies Regulation (FSR), the acquisition by ADNOC/XRG. The Commission said they were concerned that foreign subsidies granted by the UAE to the state-owned ADNOC 'could distort the EU internal market'. Covestro shareholders had given their go-ahead to XRG 's proposed deal in December 2024. EU probes ADNOC's Covestro takeover The Commission said that 'opening of an in-depth investigation does not prejudge the outcome of the investigation'. If the European Commission probe, which has a deadline of December 2 to issue a ruling, concludes that rules have been violated, the takeover could eventually be blocked unless ADNOC makes significant concessions. The Commission's preliminary investigation indicates that ADNOC and Covestro may receive foreign subsidies. The possible foreign subsidies include an unlimited guarantee from the UAE, as well as a committed capital increase by ADNOC into Covestro. The preliminary investigation felt that the foreign subsidies may have enabled ADNOC to acquire Covestro at a valuation and financial terms that would not be in line with market conditions, and which could not have been matched by unsubsidised investors. During its in-depth investigation, the Commission said it would assess… Whether the foreign subsidies that ADNOC may have received distorted the outcome of the acquisition process. ADNOC may have offered an unusually high price and other favourable conditions, which may have deterred other investors from making an offer. Whether such potential foreign subsidies may lead to negative effects in the internal market with respect to the merged entity's activities after the transaction.
