CELEBRATION, Fla., May 29, 2025 (GLOBE NEWSWIRE) -- Zevra Therapeutics, Inc. (NasdaqGS: ZVRA) ('Zevra,' or the 'Company'), a commercial-stage company focused on providing therapies to people living with rare disease, announced that based on the final vote count certified by the independent Inspector of Elections following the Company's 2025 Annual Meeting of Stockholders (the 'Annual Meeting'), stockholders have voted to re-elect Wendy L. Dixon, Ph.D. and Tamara A. Favorito to the Company's Board of Directors (the 'Board') as Class I Directors to serve until the 2028 Annual Meeting.
The Zevra Board issued the following statement:
'We thank all our stockholders for their strong participation in the voting process and continued support of Zevra. The overwhelming support for the Company's nominees represents a clear endorsement of our strategic direction from our stockholder base. Over the past two years, we have taken decisive action to transform Zevra into a stronger, growth-oriented commercial organization focused on making a positive impact for patients living with rare diseases. This vote validates our progress to date and reinforces our confidence in our strategic plan as we continue building momentum and drive long-term value for our stockholders.'
As previously disclosed, Daniel J. Mangless, a stockholder of the Company, indicated his intention to nominate Travis C. Mickle, Ph.D. and Arthur C. Regan for election as directors at the Annual Meeting, in opposition to Dr. Dixon and Ms. Favorito. However, Mr. Mangless subsequently failed to comply with the applicable requirements of the Securities and Exchange Commission's (the 'SEC's') proxy rules and the Company's amended and restated bylaws (the 'Bylaws') to proceed with a valid nomination. Specifically, Mr. Mangless failed to solicit at least 67% of the voting power of the shares entitled to vote on the election of directors at the Annual Meeting, as required by SEC rules and the Bylaws, and failed to provide the Company with reasonable evidence of such solicitation, as required by the Bylaws. Finally, Mr. Mangless did not attend the Annual Meeting to validly nominate his nominees, as required by the Bylaws.
As a result of Mr. Mangless' failure to meet these requirements and as provided by the Bylaws, Mr. Mangless' nominations were disregarded. Based on results from the independent Inspector of Elections for the Annual Meeting, if Mr. Mangless had complied with the applicable requirements to validly nominate his nominees, Dr. Mickle would have received just 26.45% of the vote and Mr. Regan would have received just 23.97% of the vote, compared to 73.97% and 73.41% for Dr. Dixon and Ms. Favorito, respectively.
The outcome of the election underscores stockholders' strong support for Zevra's Board – including its deep industry expertise, proven track record, and steadfast commitment to delivering value. Looking ahead, and now with a clear mandate from stockholders, the Board and management team are focused on accelerating Zevra's disciplined strategy and value-creation initiatives.
Additionally, stockholders approved the proposal to ratify the appointment of Ernst & Young LLP as the Company's independent auditors for the fiscal year ending December 31, 2025.
The final certified results, as confirmed by the independent Inspector of Elections, will be filed on a Form 8-K with the SEC.

State ethic complaint filed against PAC linked to $140M Ponzi scheme

The Brief The Georgia Government Transparency and Campaign Finance Commission filed a complaint against the Georgia Republican Assembly PAC for spending over $220,000 to influence elections without registering as an independent committee, violating campaign finance laws. Edwin Brant Frost IV is accused by the SEC of running a Ponzi scheme, diverting millions for personal use, including political donations, with over $1 million of investor money reportedly used for political activities. The PAC, controlled by the Frost family, supported candidates opposing House Speaker David Ralston and engaged in undisclosed spending in local races, while the SEC's civil case against Frost IV is pending, with emergency relief measures in place. ATLANTA - Georgia's state ethics watchdog has filed a complaint against a political action committee linked to a $140 million investment fraud, alleging it illegally tried to influence elections while failing to follow campaign finance laws. Georgia Republican Assembly PAC ethics complaint What we know The complaint, filed Wednesday by the Georgia Government Transparency and Campaign Finance Commission, says the now-dissolved Georgia Republican Assembly PAC spent more than $220,000 between 2021 and 2024 to directly advocate for or against political candidates without registering as an independent committee. Such activity would violate Georgia campaign finance rules. The PAC was chaired by Edwin Brant Frost V, whose father, Edwin Brant Frost IV, is accused by the U.S. Securities and Exchange Commission of running a Ponzi scheme through a company called First Liberty Building & Loan. Federal investigators say Frost IV raised funds from around 300 investors, promising high returns through short-term loans to businesses. Instead, the SEC alleges Frost IV used new investments to pay earlier ones and diverted millions for personal use, including over $570,000 in political donations. More than $1 million in investor money reportedly went toward political activity, strengthening the Frost family's influence in Republican politics across Georgia, Alabama, Maine and other states. Some of that spending was disclosed in public records, but the Ethics Commission says a portion was not. Claims of 'dark money' What they're saying "The ethics complaint filed today represents our initial charges against the Georgia Republican Assembly-PAC," said Ethics Commission Executive Director David Emadi. "Our investigation remains ongoing and additional charges may be coming at a future date, but we intend to aggressively pursue all violations of Georgia law committed by the GRA which illegally influenced elections in 2022 and 2024." State Rep. Dale Washburn, a Macon Republican, said he was targeted by the PAC in a 2022 mailer and believes the lack of transparency is harmful. "The whole dark money thing, where you can attack a candidate with a name that really doesn't represent who is behind the attack, I think that is a problem and it should be addressed," Washburn said. Washburn added that he believed he was targeted due to his support for the late House Speaker David Ralston and a bill that would have granted in-state tuition to some undocumented immigrants. "I was kind of taken aback by those mailers when they happened and was honestly angered by them because I thought they were very deceitful and misrepresented some things," he said. Campaign disclosures show that most of the PAC's funding came from the Frost family and affiliated businesses. The PAC frequently supported Republican candidates who opposed Ralston, whom the Georgia Republican Assembly (GRA) considered a corrupt moderate. The complaint also notes undisclosed spending in school board races in Coweta County, where the Frosts reside, and in a Meriwether County commission race. Frost splits with GRA Dig deeper Although the PAC shared a name with the Georgia Republican Assembly, the two organizations were separate, according to GRA President Nathaniel Darnell. He said the PAC was authorized and promoted by the GRA but operated independently under the Frosts' control. "The entire time the PAC was in operation, the Frosts controlled it with zero oversight from the GRA organization," said Darnell, who also disclosed that he personally lost money invested in First Liberty. The Frosts fell out with the GRA following the state Republican convention earlier this year, when the group expelled Katie Frost, sister of Brant Frost V. She had chaired a nominating committee that advised against several GRA-backed candidates. Brant Frost V and his supporters resigned shortly after. First Liberty Ponzi scheme The backstory Although no criminal charges have been announced, the SEC's civil case against Frost IV is pending in the U.S. District Court for the Northern District of Georgia. Investigators say Frost IV misappropriated investor funds for rare coins, luxury vacations, credit card bills, and political donations. He consented to emergency relief measures including an asset freeze and expedited discovery, without admitting wrongdoing. Brant Frost V has not been named in the SEC's lawsuit, but a subpoena filed last week seeks information about his activities as an employee of First Liberty. He also incorporated a new company, Heartland Capital LLC, on June 26—one day before First Liberty declared bankruptcy. No further comment What we don't know The younger Frost promoted First Liberty on conservative talk shows and interacted directly with some investors, according to the SEC. He did not respond to messages seeking comment. A lawyer for his father also did not reply, but previously took responsibility in a statement. XRP (XRPUSD) was an underperformer for years. But since late last year, the XRP crypto has become one of the biggest comeback stories. XRP is up over 415% over the past year due to multiple positive catalysts materializing one after the other. That was until President Donald Trump won reelection in November 2024. His pro-crypto promises are why investors started betting that the SEC would finally end its pursuit of Ripple. Sure enough, the SEC formally dropped its appeal in March. In the meantime, Bitcoin (BTCUSD) was already soaring, fueling the broader digital asset market. Institutional Support and Possible ETF Listings As Bitcoin pushed above $100,000, investors also started bidding XRP higher. This is a crypto that has lots of use cases in processing international transfers and partnering with banks. As such, it will be one of the biggest winners if crypto does continue to go mainstream. XRP broke $1, then $2, and briefly broke and held at $3 in the last two weeks of January. Profit-taking and the tariff drama in Aoril sent it to the $1.75 level. The crypto has recovered since then, and XRP has surged 48% in the past month. There are now expectations for an eventual spot XRP ETF listing, expected to lead to an even more significant surge for those who want to hold cryptos with banking sector exposure. XRP could surge massively on a spot ETF announcement. Based on Polymarket, ETF approval odds are currently at 86% for 2025. Tailwinds in Washington The Trump administration's executive order on digital asset markets and the passing of the GENIUS Act made crypto investors more confident about where XRP was headed. Trump has also announced a strategic Bitcoin reserve, which also includes other digital assets like Ethereum (ETHUSD) and XRP. The odds of an ETF approval went up due to these tailwinds, and it became much more likely that more banks will partner up with XRP to handle transactions. There are also that BlackRock (BLK) is pressuring the SEC to approve XRP spot ETF applications. Upgrades Could Boost Use Cases In November, Ripple's upgrade with eight amendments expanded the ledger's capabilities for decentralized finance (DeFi) and token management. This included Multi-Purpose Tokens (MPTs) for more flexible institutional token use in DeFi, credentials for automated payment approvals based on ledger-stored credentials, and clawback support for automated market makers (AMMs) to enable revocable tokens in liquidity pools. Ripple also unveiled its broader XRPL roadmap for this year to gain more DeFi adoption. This included plans to enhance Decentralized Identity (DID) standards with credentials for better regulatory compliance, permissioned decentralized exchange (DEX) features to restrict access based on know your customer (KYC) credentials, and permissioned domains for privacy-focused institutional platforms. Another upgrade happened last month with seven amendments. This included TokenEscrow (enabling escrows for IOUs and multi-purpose tokens like stablecoins), Batch (for atomic execution of up to eight grouped transactions to streamline complex operations), and PermissionedDEX (allowing DEX operators to enforce compliance by controlling participant access). Other amendments added invariant checks for AMMs to enhance risk management, fixes for NFT trustlines and expired payment channels, improved transaction relay logic, and increased network I/O capacity for handling higher loads. XRP's EVM sidechain also went live on June 30. This brought Ethereum-compatible smart contracts to the ledger. Buy or Sell XRP at $3? Any revisit of $3 would be a buying opportunity, as there are more opportunities for breakouts on the horizon. The ongoing correction from its $3.657 52-week peak seems more like an accumulation zone. The crypto is down 12% over the past five days, prompting some investors to think a move back below $3 could be in store. $3 itself is a very strong support level, with the next one at the $2.87 20-day moving average. If XRP goes below $3, that may turn $3 into a strong resistance level, and I'd wait for the price to consolidate near $2.87 before buying. There's resistance at $3.23, $3.34, and $3.46. If XRP can break above $3.34 and hold without being rejected, and possibly rally to a new high, this could lead to $4 or more. If a strong altcoin season happens this year, combined with spot ETF approval, XRP could reach $5.
