Adani Data Network to transfer entire spectrum to Airtel after failing to roll out services

'Adani Data Networks Limited (ADNL), a wholly-owned subsidiary of Adani Enterprises Ltd, has signed definitive agreements with Bharti Airtel Ltd and its subsidiary Bharti Hexacom Ltd to transfer the rights to use 400 MHz of spectrum in the 26 GHz band,' Adani Group said in a statement. The development comes at a time when Adani Data Networks was about to lose its entire 400 megahertz spectrum in 26 Gigahertz band as it failed to meet the roll-out obligations within the stipulated time. New Delhi, Apr 22 (PTI) Adani Group firm Adani Data Network will transfer its entire spectrum holding to Bharti Airtel and its subsidiary Bharti Hexacom, both the companies said in separate statements without disclosing financial details. Adani Data Networks (ADNL) had acquired the spectrum for about Rs 212 crore through an auction held in 2022. 'Bharti Airtel Limited and its subsidiary Bharti Hexacom Limited have entered into definitive agreements with Adani Data Networks Limited (ADNL), a subsidiary of Adani Enterprises, to acquire rights to use of 400 MHz of spectrum in the 26 GHz band in Gujarat (100 MHz), Mumbai (100 MHz), Andhra Pradesh (50 MHz), Rajasthan (50 MHz), Karnataka (50 MHz) and Tamil Nadu (50 MHz),' Airtel said in a statement. The auction rules make it mandatory for players acquiring spectrum in 26 Ghz band to launch commercial service anywhere in the telecom circle where it has the radiowaves within 12 months of its allocation. Adani Data Networks will complete three years of spectrum allocation in August 2025. An e-mail seeking comments from Adani Group did not elicit any reply. By the end of the third year, it is mandatory for players holding spectrum in 26 Ghz band to deploy at least 90 sites in each circle where they hold the radiowaves. The spectrum allocation rule has a provision to impose a penalty of Rs 1 lakh per week for the first 13 weeks if the spectrum holder misses the roll out target. Thereafter, the penalty is increased to Rs 2 Lakh for the next 13 weeks and to Rs 4 Lakh for the next 26 weeks subject to a maximum of Rs 1.40 crore for each phase. For delay of more than 52 weeks at any phase, in addition to the penalty the spectrum assigned may be withdrawn and the bank guarantee shall be encashed to the extent of the fine, if not paid. Bharti Airtel to acquire 400 MHz spectrum from Adani Data Networks

Telecom operator Bharti Airtel on Tuesday announced it will acquire the rights to use 400 MHz of telecom spectrum in the 26 GHz band from Adani Data Networks Limited (ADNL). Airtel and its subsidiary, Bharti Hexacom Limited, have entered into definitive agreements with ADNL, a subsidiary of Adani Enterprises. ADNL had acquired airwaves in the 26 GHz band back in the 2022 5G spectrum auctions for Rs 212 crore but had been unable to deploy them. "The closing of the transaction is subject to satisfaction of the standard conditions (including conditions stated in the Spectrum Trading Guidelines) and statutory approvals," Airtel said in a statement. The spectrum being added to Airtel's holdings is spread across six telecom circles and will help the telco boost 5G services in these areas, a company official said. The 26 GHz band (24.25–27.5 GHz) has drawn particular interest from all telcos over the years. Also known as the mmWave band, it offers ultra-fast data transmission and low latency, even though its range is limited. As a result, it is sought after in dense urban environments and has been used for specialised enterprise applications and fixed wireless access. Case in point, as much as 72 per cent of the spectrum on offer in this band received bids in the 2022 spectrum auctions. But with both Reliance Jio and Airtel already having picked up large chunks of the band on offer back then, it did not find any takers in the spectrum auctions in 2024. With the number of 5G customers rising, Bharti Airtel had begun re-farming its mid-band spectrum to meet a major growth in 5G traffic in June last year. The telco's spectrum holdings across mid-bands such as 1800, 2100 and 2300 MHz across the country will be repurposed to provide 5G services. The move will allow enhanced browsing speeds in addition to improved indoor coverage. The band was also tipped to have great utility for captive networks, or dedicated 5G networks designed for internal use by a single enterprise. This had prompted ADNL to make a move for it in 2022. However, the company had been unable to use the same. It had earlier said it planned to create a private 5G network for its operations and establish a unified digital platform that would accelerate the Adani group's digitisation of its core infrastructure, but it did not announce any progress on this front. It had also been unable to meet the Department of Telecommunications (DoT)'s minimum rollout obligations.

Airtel to acquire 400 MHz spectrum from Adani Enterprises in 5G boost

Bharti Airtel is set to acquire the entire 400 megahertz (MHz) spectrum of Adani Data Networks Limited (ADNL), the company said in an exchange filing on Tuesday. "Bharti Airtel Limited and its Subsidiary, Bharti Hexacom Limited have entered into definitive agreements with Adani Data Networks Limited (ADNL), a subsidiary of Adani Enterprises to acquire rights to use of 400 MHz of spectrum in the 26 GHz band in Gujarat (100 MHz), Mumbai (100 MHz), Andhra Pradesh (50 MHz), Rajasthan (50 MHz), Karnataka (50 MHz) and Tamil Nadu (50 MHz). The closing of the transaction is subject to satisfaction of the standard conditions (including conditions stated in the Spectrum Trading Guidelines) and statutory approval(s)," the company's statement read. In August 2022, ADNL acquired the right to use 400 MHz of spectrum in the 26 GHz millimetre wave band during India's inaugural 5G spectrum auction. ADNL spent ₹212 crore for the wave band for 20 years, spanning six service areas: Gujarat, Mumbai, Karnataka, Andhra Pradesh, Tamil Nadu, and Rajasthan. ADNL emphasised that it had no plans to enter the consumer mobility sector and intended to use this spectrum for private network solutions -- enhancing digital infrastructure across its diverse business operations, including ports, airports, power generation, and logistics. Shortly after the spectrum, ADNL was granted a Unified Licence for Access Services in October 2022. This licence authorised the company to provide comprehensive telecom services across India. In January this year, ADNL faced scrutiny from the Department of Telecommunications (DoT) for its delay in rolling out 5G telecom services despite securing the spectrum. According to a Moneycontrol report, the government issued multiple notices to ADNL regarding its non-compliance with minimum rollout obligations (MRO) for 5G services. Bharti Airtel's 5G push In the same 2022 auction, Bharti Airtel acquired 19,800 MHz of spectrum across multiple bands, including 900 MHz, 1800 MHz, 2100 MHz, 3300 MHz, and 26 GHz, for ₹43,084 crore. With this acquisition, Airtel got a pan-India footprint in the 3.5 GHz and 26 GHz bands, positioning it to launch 5G services starting with key cities. Airtel's acquisition of ADNL's 400 MHz spectrum signifies its push for 5G services expansion, particularly in the high-frequency 26 GHz band, which is essential for delivering high-speed, low-latency services. According to data from the Telecom Regulatory Authority of India (Trai), Airtel gained the most number of subscribers in January this year, with 1.65 million new wireless users, while Reliance Jio added 0.68 million users.
