Ex-Blackstone, Tether Execs Seek $1B to Build Multitoken Crypto Treasury: Bloomberg
A blank-check company backed by former Blackstone dealmaker Chinh Chu and Tether co-founder Reeve Collins is looking to raise $1 billion to build a publicly traded cryptocurrency treasury firm, Bloomberg reported citing sources familiar with the plans. The vehicle, M3-Brigade Acquisition V, plans to rebrand and use the cash to buy a basket of tokens including bitcoin BTC, ether ETH and Solana's sol SOL. The move comes as public companies worldwide are rushing to add cryptocurrencies as treasury assets. Many, however, are focusing on bitcoin, the largest crypto by market cap, alone. Among them, Anthony Pompliano's ProCap BTC this week said it planned to go public through a SPAC and stock up on BTC. Multitoken companies are rarer and Brigade Acquisition would be among the first. Former Hut 8 Mining CEO Jaime Leverton will run the company. Wilbur Ross, who served as U.S. Commerce Secretary, and Gabriel Abed, Barbados's former ambassador to the UAE and current chair of Binance's board, will act as vice chairs. Cantor Fitzgerald is among the advisers, and both the fundraising target and token mix could still change, Bloomberg said. The biggest name companies with single-coin strategies include Strategy (MSTR) and Metaplanet (3350), whose focus is on bitcoin. Other single tokens firms are exploring alternative coins, for example SharpLink Gaming (SBET) accumulating ether and Nano Labs piling into BNB. Shares of M3-Brigade fell 12% after news of the plan surfaced on Wednesday, and were recently up 5% pre-market.

Transaction Details On April 3, 2025 (the "Closing Date"), the Investor acquired, on a private placement basis (the "Private Placement"), the following securities of Westaim for aggregate gross proceeds to Westaim of US$250 million pursuant to an investment agreement dated October 9, 2024 between the Investor, Westaim, and, solely for purposes of specific sections of the investment agreement, AIGH, Mr. Zwirn and Mr. Cutler, as amended on November 15, 2024 (the "Investment Agreement"): (a) 11,979,825 common shares of Westaim ("Common Shares") at an implied purchase price of C$28.50 per share in cash; and (b) warrants to purchase 5,214,705 additional Common Shares (the "Warrants"), comprised of (i) Warrants to purchase 1,303,676 Common Shares having an exercise price of C$24.12 per Common Share, which Warrants will vest in the event the volume-weighted average trading price of the Common Shares on the TSX Venture Exchange (the "TSXV") or other stock exchange on which the Common Shares are listed for trading equals or exceeds C$48.00 (subject to certain adjustments) for any 30 consecutive trading day period prior to the five-year anniversary of the Closing Date (the "Common Stock Price Target Condition"); and (ii) Warrants to purchase 3,911,029 Common Shares having an exercise price of C$28.50 per Common Share. The Warrants are exercisable for a period of five years following the Closing Date and the number of Common Shares issuable pursuant to the Warrants and the exercise prices thereof are subject to certain adjustments. Prior to entering into the Investment Agreement, CC Capital and its affiliates did not beneficially own or control, directly or indirectly, any of the issued and outstanding Common Shares. Pursuant to the Investment Agreement, Westaim has committed to use the proceeds from the Private Placement, additional capital from its balance sheet and capital from the monetization of certain existing assets to invest up to US$620 million in a new investment vehicle named Salem Group Partners, LP ("Salem Partners") in exchange for 100% of the limited partnership interests of Salem Partners. An affiliate of CC Capital serves as the general partner of Salem Partners and controls Salem Partners and its investments. Pursuant to a consulting agreement dated October 9, 2024 between Westaim and Wembley Management, LLC ("Wembley Management"), an affiliate of the Investor and CC Capital, on the Closing Date, Wembley Management received a grant of 673,727 performance-based restricted stock units ("PSUs") of Westaim. The PSUs will vest if the Common Stock Price Target Condition is achieved prior to the fifth anniversary of the Closing Date and, once vested, will be settled a one-for-one basis for an aggregate of 673,727 Common Shares, representing approximately 2% of the issued and outstanding Common Shares as of the Closing Date. In addition, in connection with the transaction, Westaim has restructured the ownership of Arena to acquire from BP LLC the remaining 49% of the equity of Arena that it did not already own in exchange for the issuance of profit interests entitling the members of BP LLC and certain other front office investment management team members of Arena to receive distributions of 45% of the net profits of Arena on an ongoing basis. CC Capital is entitled to receive distributions of 6% of the net profits of Arena on an ongoing basis and Westaim is entitled to the remaining 49%. From Bain to Brookfield: Battle for Insignia sparks three-way bidding war
Feb 5 (Reuters) - New York-headquartered asset manager Brookfield ( opens new tab has emerged as the latest private equity firm seeking to buy Australian wealth manager Insignia Financial ( opens new tab, joining the bidding frenzy by matching the offers by rivals. Brookfield's A$4.60 per share offer on Wednesday values Insignia at A$3.07 billion ($1.9 billion) and has got it limited access to the wealth manager's books. The other bidders, Bain Capital and CC Capital Partners, have also bid for Insignia at A$4.60 apiece and have limited access to the money manager's books. Insignia's stock rose 7.6% to A$4.65 on Wednesday, surpassing the latest offer price for the first time since the initial bid from Bain was tabled in late 2024. Here is a timeline of events since: Dec. 12, 2024 Insignia shares soared over 10% in the final few minutes after the Australian Financial Review reported that Bain Capital was in advanced stages of making an offer for the firm. Dec. 13, 2024 Insignia said it had received a non-binding all-cash takeover proposal from Bain Capital, valuing the Australian company at A$2.67 billion. Dec. 18, 2024 Insignia rejects Bain Capital's takeover bid, saying the offer does not provide fair value to its shareholders, creating a barrier for the buyout giant's Asia expansion plans. Jan. 6, 2025 Insignia receives an A$2.87 billion takeover offer from CC Capital Partners - a family office set up by former top Blackstone dealmaker Chinh Chu, topping Bain's bid. Jan. 10, 2025 Insignia responds to media reports, saying that it has not received an offer from buyout giant Brookfield. Its shares gain to hover around A$4.14. Jan. 13, 2025 The bidding war escalates as Insignia reveals that Bain has sweetened its bid, now valuing the firm at A$2.87 billion, matching CC Capital's offer. Jan. 17, 2025 CC Capital sweetens its offer to A$3.07 billion, the first time a bidder offers A$4.60 apiece. Jan. 20, 2025 Insignia provides CC Capital access to non-public information to help determine whether the U.S.-based suitor can improve its proposal. Jan. 23, 2025 Bain matches CC Capital's offer, pushing Insignia shares to a high of A$4.55 that day.
