Portsmouth Square Completes Strategic Refinancing of Hilton San Francisco Financial District Hotel

SAN FRANCISCO, CA, April 01, 2025 (GLOBE NEWSWIRE) -- Portsmouth Square, Inc. (OTC: PRSI) ("Portsmouth Square" or "the Company") today announced the successful refinancing of its flagship asset, the Hilton San Francisco Financial District Hotel. This strategic refinancing positions the Company for improved financial flexibility and stability in managing its premier hospitality asset. The refinancing was executed through Justice Operating Company, LLC ("Justice"), a wholly owned subsidiary of Portsmouth Square. Justice secured a $67 million mortgage loan agreement with PRIME Finance, arranged by Eastdil Secured, LLC a leading global real estate investment banking firm. The loan carries a floating interest rate equal to the 30-day Secured Overnight Financing Rate (SOFR) plus 4.80%, and to proactively manage interest rate risk, Justice has secured an interest rate cap, limiting SOFR exposure to a maximum rate of 4.50%. In addition, Justice Mezzanine Company, LLC another subsidiary of Portsmouth Square, has modified its existing mezzanine loan with CRED REIT Holdco LLC, obtaining a principal amount of $36.3 million at a fixed interest rate of 7.25% per annum. Both loans mature in two years, with options to extend for three additional one-year periods, providing added flexibility. ORANGE COUNTY, Fla. - The families of the four people who were killed when a fireworks warehouse exploded in Orange County have settled a lawsuit with the company Magic in the Sky. However, the terms of the settlement have not yet been released. The FOX 35 News team is working to learn more details about the lawsuit. The backstory The warehouse fire broke out on Dec. 1, 2022, in Southwest Orange County at 901 Central Florida Parkway in Taft. The warehouse was home to multiple businesses, but the fire was contained to just one unit. Officials said there were reports of explosives going off inside the building as crews arrived at the scene of the explosion. Only one person survived the explosion. What we know Magic in the Sky is a fireworks company whose clients included SeaWorld Entertainment. All four of the people killed in the explosion, as well as the fifth person who was severely injured, worked at the company. The type of fireworks that were stored at the facility are called "special effects" fireworks. These are professional-grade fireworks, larger than bottle rockets and sparklers, but not as large as the fireworks you may see during a show on the Fourth of July. FOX 35 discovered that Magic in the Sky was not permitted to store fireworks in the warehouse, and Orange County officials said they had no idea it was even there. They said the business didn't have any permit or business license with the county to keep fireworks there. According to records, there wasn't even one filed, let alone approved. Local perspective The four people killed in the explosion are: Landon Bourland, 24; David Gonzalez, 22; Lindsey Phillips, 23; and Elizabeth Tiralongo, 22. Several others were injured in the fire, including 27-year-old Lindsey Tallafuss, who was fighting for her life in the hospital after being burned on 62% of her body. A motion filed by SeaWorld this week says the five lawsuits have been consolidated into one case, which they want to see deemed as "complex" under Florida Rules of Civil Procedure. If approved, this would grant the parties extra time for discovery. The new settlement of the lawsuit means prosecutors can move forward with a criminal investigation. Everyone has a different preference when it comes to coffee, and on Sunday local coffee shops competed for the title of the best cup of joe in Erie. Millions of people drink coffee every day, and on Sunday some coffee drinkers got a chance to support their favorite cup of coffee in the erie area. For many people, coffee is just the beverage you drink in the morning… But for others, the rich, dark caffeinated drink is a way of life… Sunday at the Zem Zem Shrine Club on West 38th Street, eight local coffee shops went head-to-head to prove they have the best cup of coffee in erie. 'There's just so much variety depending on where the coffee is from, so I don't think it's something that will go out of style, but you don't get tired of it,' said David Gonzalez, the event organizer. Attendees tasted all sorts of coffee from cold brews to cappuccinos and then voted which business had the best. A panel of celebrity judges also picked a 'Judges Choice' winner. This year crowning a new coffee shop, legenderie, as the victor. 'The reason we have the best cup of coffee is probably because of the atmosphere we're in. I think that it's filled with love and we're a community and I think that makes the drinks better,' said Milla Trohoske, a barista at Legenderie. Legenderie opened on Peach Street back in September, doubling as both a record store and coffee shop. But other local coffee shops also came to play at sunday's competition. We were there with Norman and Ryan, co-owners from Lucky Bean Coffee. They were voted the Best Cup of Coffee last year. I don't drink coffee too much, but I'm going to try it here to see what we think. That's good. What's in that?' 'It's got flavor notes of strawberry, honey and dark chocolate. It's a medium roast, very good for cold brew, espresso shots,' said Norman Stark, co-owner of Lucky Bean. That blend of coffee ended up being voted as Erie's best, and the Lucky Bean coffee shop on West 26th Street will hold onto the crown for another year. Stark said their coffee is ethically grown from volcanic soil in Columbia, but it's the people who work there that separates their coffee from the rest. 'I think what makes us unique is all our employees, baristas, managers, they're fully invested into our vision and long-term growth, and it makes them more willing to put more work in because they want to see that brand succeed,' Stark went on to say.
