Gatekeeper Announces $10 Million Bought Deal Private Placement Français
ABBOTSFORD, BC, July 14, 2025 /CNW/ - Gatekeeper Systems Inc. (" Gatekeeper" or the " Company") (TSXV: GSI) (OTC: GKPRF), a video and data solutions provider for public transportation and smart cities, announces that it has entered into an agreement with Canaccord Genuity Corp. (the " Lead Underwriter") as lead underwriter and sole bookrunner, and a syndicate of underwriters to be formed (together, the " Underwriters") pursuant to which the Company has launched a "bought deal" private placement of 8,335,000 common shares of the Company (the " Offered Shares") at a price of $1.20 per Offered Share (the " Offering Price") for aggregate gross proceeds of $10,002,000 (the " Offering"). The Offering will be completed on a private placement basis (i) in reliance on the "listed issuer financing" exemption from the prospectus requirements available under Part 5A.2 of National Instrument 45-106 – Prospectus Exemptions, as modified by Coordinated Blanket Order 45-935 – Exemptions from Certain Conditions of the Listed Issuer Financing Exemption in each of the Provinces and Territories of Canada, (ii) in the United States pursuant to an exemption from the registration requirements of the United States Securities Act of 1933 (the " U.S. Securities Act"), as amended, and (iii) in such other jurisdictions other than Canada and the United Sates pursuant to relevant prospectus or registration exemptions in accordance with applicable laws, provided that no prospectus filing or comparable obligation, ongoing reporting or continuous disclosure requirement or requisite regulatory or governmental approval arises in such jurisdictions. The net proceeds of the sale of the Offered Shares will be used for working capital and general corporate purposes, as described in the Offering Document. In a landmark deal, Gatekeeper Systems (TSXV:GSI) has been awarded a contract by a transit agency in Oregon to equip its fleet with the company's advanced Mobile Data Collectors and a comprehensive suite of transit video solutions. The agency will also subscribe to Gatekeeper's AI-assisted video management platform, enabling enhanced video analytics and secure cloud-based storage. This new customer contract is valued at approximately US$1.4 million (C$1.9 million), with additional monthly recurring subscriptions exceeding US$50,000 per year over an initial five-year term, totaling approximately C$340,000. In addition to the Oregon contract, Gatekeeper has signed an upgrade agreement with a long-standing school district customer in California. Under this contract, 46 existing buses will be upgraded, and 5 new buses will be outfitted with the company's latest school bus video systems. The district will also implement Gatekeeper's video management software for in-yard Wi-Fi-based video analysis and storage. The contract is valued at approximately US$131,000 (C$180,000), plus ongoing subscription services. Further strengthening its presence in the Midwest, Gatekeeper has also secured a project to provide video solutions and software subscriptions for a fleet of over 70 school buses in Nebraska. The project, awarded through an original equipment manufacturer bus manufacturer, includes factory-installed Mobile Data Collectors and interior video systems, as specified by a major school bus transportation provider. This new customer engagement is valued at approximately C$420,000 (US$307,000), with additional recurring software subscription revenue. Gatekeeper Announces $3.5M SEPTA Video Services Contract Extension

Gatekeeper Supports Transport Canada's New Mandate for Cameras on School Buses
Abbotsford, British Columbia--(Newsfile Corp. - February 19, 2025) - Gatekeeper Systems Inc. (TSXV: GSI) (OTC Pink: GKPRF) ("Gatekeeper" or the "Company"), a leader in intelligent video and data solutions for public transportation and smart cities, supports Transport Canada's new regulation mandating that perimeter visibility systems be installed on all new school buses as a feature to improve school bus safety. In addition, the regulation also introduced requirements for the installation of infraction cameras for manufacturers who wish to voluntarily install them on buses. The Transport Canada regulation came into effect December 18, 2024, and all new school buses will be equipped with perimeter visibility systems as of November 1, 2027. Transport Canada estimates the cost of the regulation to be $196 million in present value between 2024 and 2036 and estimates 65,105 school buses will be affected by 2036. These measures follow a 2020 Report of the Task Force on School Bus Safety, which recommended new measures to protect children outside the school bus, where they face the greatest risk. Gatekeeper was selected as a pilot project supplier for testing in this initiative in April 2021 and installed 360 Surround Vision and Student Protector systems on pilot project school buses in British Columbia and Ontario. Gatekeeper's 360 Surround Vision is a perimeter visibility system which provides a surround view of the school bus and is automatically activated when the bus is reversing or making side turns. The surround view is displayed on a specialized rear-view mirror system allowing drivers to monitor school children all around the bus. Gatekeeper's Student Protector is an infraction camera solution specifically designed to record and target vehicles that illegally pass a school bus when the stop arm is deployed and captures license plate information day or night up to four lanes from a school bus.
