Euro Manganese Announces Results of Annual General and Special Meeting

(TSXV: EMN) (ASX: EMN) (FSE: E060) (the "Company" or "EMN") is pleased to announce that shareholders have voted in favour of all matters of business brought before them at the Company's Annual General & Special Meeting of Shareholders (the "Meeting") held on May 15, 2025. Detailed results of the voting from the Meeting are set out below. In addition, the Company announces an upcoming change to its Chief Financial Officer effective at the end of the month. See below for details. Based on this exclusion and reclassification, the total number of votes cast in respect of this resolution was 35,504,229, of which 31,933,996 votes were cast for the resolution, representing 89.94% of the total votes cast, 2,963,702 votes were cast against the resolution, representing 8.35% of the total votes cast, and 606,531 votes were withheld/abstain, representing 1.71% of the total votes cast. Additionally, for purposes of the ASX, shareholders of the Company also approved each of the following resolutions: a) for the purpose of Listing Rule 7.1 of the ASX, the issuance of 21,400,000 Units comprising of 21,400,000 Shares and 21,400,000 Warrants to the European Bank for Reconstruction and Development (the "EBRD") and the issuance of up to 18,063,331 Units comprising of 18,063,331 Shares and 18,063,331 Warrants, and 14,650,278 Units comprising of 14,650,278 CHESS Depositary Interests ("CDIs") each representing one Share and 14,650,278 Warrants to sophisticated and professional investors, respectively, (the "Offering"); b) for the purpose of Listing Rules 10.11.1 and 10.11.4 of the ASX, the issuance to the following individuals of Units under the Offering on terms and conditions identical to all other subscribers under the Offering: (i) 55,555 Units, comprising of 55,555 Shares and 55,555 Warrants, to JJW Investments Ltd., a company controlled by Mr. John Webster; (ii) 41,666 Units, comprising of 41,666 Shares and 41,666 Warrants, to Dr. David B. Man arrested on suspicion of murder after death of woman in Rochdale collision

A 49-year-old male driver has now been arrested on suspicion of murder and remanded into custody, police said. The woman had been airlifted to hospital after she was hit by a car in Whitworth Road – and three pedestrians, including a child, were injured in Woodgate Avenue, around two miles away. The incidents are not being treated as terrorism-related and are not related to a pre-planned Counter Terrorism Policing operation which saw a 40-year-old Iranian man arrested in Rochdale on Saturday evening. Emergency services were called to road traffic collisions involving a car and pedestrians at Woodgate Avenue and Whitworth Road at around 2.30pm on Saturday, police said. Those injured in Woodgate Avenue suffered minor injuries, and police said all three have been discharged from hospital following treatment. The driver was arrested on suspicion of assault and attempted murder, but has now been arrested on suspicion of murder. Assistant Chief Constable John Webster said: 'Firstly, our thoughts are with the family of the victim who has sadly lost their life in this tragic case. The actions of a single person have caused significant damage to the people of Rochdale. 'I want to take this opportunity to categorically confirm that this terrible incident is in no way related to the pre-planned Counter Terrorism arrests and searches that took place yesterday, part of which resulted in the arrest of a man in Rochdale on Saturday evening. 'We are aware of comments on social media about the driver's identity and ethnicity. The suspect is a white male currently in custody and no further details can be released at this time. 'I also want to reassure the public that ongoing efforts are being taken to ensure the safety of people in Rochdale and our Major Incident Team are conducting several lines of enquiry.' Mr Webster said it was 'being treated as an isolated incident' and roads have now reopened. He added: 'This incident caused significant disruption yesterday and I thank the public for their cooperation and understanding while our officers conducted their enquiries. A woman has died after she was among four people hit by a car involved in two crashes, police have said. She was airlifted to hospital after the collision in Whitworth Road, Rochdale, on Saturday afternoon. That crash followed another where three people, including a child, were struck by the same vehicle in Woodgate Avenue, Greater Manchester Police said. A 49-year-old man, who was arrested at the time on suspicion of assault and attempted murder, has now also been detained on suspicion of murder. Assistant Chief Constable John Webster said the crashes were "in no way related" to a counter-terror policing raid where officers arrested a 40-year-old Iranian man in the borough on Saturday. He said police were "aware of comments on social media about the driver's identity and ethnicity", adding: "The suspect is a white male currently in custody and no further details can be released at this time." On Woodgate Avenue, three people were injured, including a child. All suffered minor injuries, none of which are life-threatening or life-changing, and were taken to hospital for treatment, Greater Manchester Police said. On Whitworth Road, one woman was injured and airlifted to hospital with potentially life-threatening injuries. He has since been detained in hospital. A scene remains in place while emergency services personnel conduct their enquiries. This incident is not being treated as terrorism related, the fore confirmed. Images from the scene show a large cordon around St Mary's Gate near to Whitworth Road. There remains heavy traffic in the area. Bury Road remains closed as officers conduct their enquiries. Assistant Chief Constable John Webster said: "We are deeply saddened by the tragic events that occurred in Rochdale today. Our officers are supporting the victims and their families at this time. 'We believe this to be an isolated incident with one lone offender arrested and in hospital. 'Additional resources will remain deployed to the local area, please speak to officers if you have any concerns. 'We are working tirelessly to investigate the incident and ensure the safety of our community. 'We urge anyone with information to come forward and assist us in our efforts. We will provide updates as more details become available."
