Definity enters $2.4bn deal to buy most of Travelers Canada
Definity Financial Corporation has agreed to acquire the majority of Travelers' Canadian operations for a cash consideration of nearly C$3.3bn ($2.4bn). The assets to be acquired are the personal insurance business and most of the commercial insurance business of Travelers Canada, excluding its Canadian surety operations. Travelers Canada, with approximately C$1.6bn in annual gross written premiums, is a national property and casualty (P&C) insurer with a diverse portfolio. The deal is contingent on regulatory approvals and is due to be completed in the first quarter of 2026 (Q1 2026). Definity plans to fund the acquisition through C$281m from a bought deal private placement, C$70m from a private placement with the Healthcare of Ontario Pension Plan, C$1.5bn in excess capital and C$1.6bn in new debt. Upon finalisation, Definity is looking to divest C$1bn of the excess capital to repay a term loan, subject to regulatory approval. The acquisition is expected to position Definity as one of the five largest P&C insurers in Canada, with around C$6bn in combined annual premiums, the Definity press release said. It will also accelerate the transformation of Definity's commercial insurance platform and scale to its personal lines business. Definity president and CEO Rowan Saunders said: 'This is a transformative acquisition that is squarely in line with the growth strategy we have set for Definity, one that will move us into the top four largest P&C insurers in Canada. 'This highly complementary business will diversify our portfolios, provide additional expertise and product offerings, and continue our track record of shareholder value creation.' Travelers has stated that it intends to use approximately $700m of the net cash proceeds from the transaction for additional share repurchases in 2026, while retaining the balance for ongoing operations and general corporate requirements. Definity's $3.3B Travelers deal to keep 1,400 jobs in Canada; what it means for workers, brokers, and policyholders
In one of the biggest moves in Canada's insurance sector in recent years, Definity Financial Corp. is set to acquire the Canadian operations of U.S. giant Travelers for $3.3 billion, a deal that could reshape the competitive landscape for both customers and insurers. However, while major acquisitions often come with job cuts, this one doesn't: more than 1,400 Traveler employees across Canada will keep their jobs as the two firms merge under one brand. With the deal, Definity will become Canada's fourth-largest property and casualty insurer, rising from sixth place. It will now manage $6 billion in total annual premiums, a sign of its growing footprint in the insurance sector. 'This is a big step in our journey to build a Canadian champion,' said CEO Rowan Saunders, adding that Definity has been growing faster than the rest of the industry. For consumers, this could mean more options under Canadian leadership, as Definity plans to expand personal and commercial lines, including specialty insurance like cyber, marine, and professional liability. Jobs and services to stay Travelers Canada employs over 1,400 people across Vancouver, Calgary, Toronto, Ottawa, and Montreal. Definity has confirmed that all employees will be retained, and operations will be combined under one brand. Live Events The continuity of jobs and local operations means policyholders should not expect sudden service disruptions. Travelers will, however, keep its Canadian surety business. What's in it for customers? With this acquisition, Definity adds about $1.6 billion in new premiums, including $1 billion in personal insurance alone, a 30 per cent jump. More scale can help the company invest in better digital tools, expand coverage types, and offer competitive pricing. Definity already operates brands like Sonnet (a digital-first insurer), Petline, and Family Insurance. The expanded size may also allow it to negotiate better rates with reinsurers, potentially benefiting consumers in the long run. Sign of bigger shifts ahead? This deal also highlights a growing trend: consolidation. Strong Canadian firms are stepping up as foreign players like Travelers pull back. Saunders hinted that more mergers may follow, especially with over 100 insurers still in the market. 'If a big, strong, North American company like Travelers feels scale is important… many others may be thinking the same,' he said. The transaction still needs regulatory approval and is expected to close by early 2026. Until then, customers of both companies can expect business as usual, but likely with big changes ahead.

The Common Shares will be offered at a price of $66.65 per Common Share, for gross proceeds of approximately $281 million (the "Offering"). The Underwriters intend to arrange for substituted purchasers for the Common Shares being issued in the Offering. The net proceeds from the Offering are intended to be used by Definity to fund a portion of the purchase price of the Transaction. The closing of the HOOPP Private Placement is conditional on the closing of the Offering, however the closing of the Offering is not conditional on the closing of the HOOPP Private Placement. The assets to be acquired as part of the Transaction represent most of Travelers' Canadian operations ("Travelers Canada"), excluding select business lines retained by Travelers, including its Canadian surety business. Travelers Canada is a national P&C insurer with a long history and approximately $1.6 billion in annual gross written premiums ("GWP") 1,5. Ranked #12 in Canada 6, it is a well-established multi-line business with an attractive commercial and specialty lines portfolio, and combined with its personal lines business, is highly complementary to Definity. Transaction Structure As part of the Transaction, Definity will acquire all of the issued and outstanding shares of 8527512 Canada Inc., a Canadian holding company, and Travelers Insurance Company of Canada and The Dominion of Canada General Insurance Company, both of which are Canadian insurance companies. Travelers will retain its Canadian surety business. Travelers will also retain its Canadian branch, St. Paul Fire and Marine Insurance Company, which will enter into assumption reinsurance agreements with Travelers Insurance Company of Canada to cause Travelers Insurance Company of Canada to assume the St. Paul Fire and Marine Insurance Company business that Definity is acquiring, and St. Paul Fire and Marine Insurance Company to assume the Travelers Insurance Company of Canada business that Travelers is retaining. The assumption reinsurance transactions are subject to their own insurance regulatory approvals but are expected to close concurrently with the Transaction.
